Notice regarding Business Ethics Policy on

Conflicts of Interest and Corporate Opportunities – Policy No. 18


AutoNation’s Conflicts of Interest and Corporate Opportunities Policy (“Conflicts of Interest Policy”) prohibits
actual and apparent conflicts of interest as set forth in the policy. Therefore, with regard to employment of
related persons, our Conflicts of Interest Policy requires that Teammates disclose to their department head and
Human Resources their relationship with any Immediate Family members who are applying to work for or are
currently working for the Company. The Company will then review and take any appropriate action.

AutoNation’s Conflicts of Interest Policy also includes certain hiring restrictions for Immediate Family members
as follows:

 Approvals Required for Hiring Certain Immediate Family Members

o Prior written approval of the Executive Committee is required to hire an Immediate Family
member of any Teammate:

 Who works in the Legal, Finance, Internal Audit or Human Resources functions or as a
general manager or equivalent of any operating subsidiary; or

 Where employment would create a direct or indirect (within two levels of employment)
supervisor/subordinate relationship between Immediate Family members.

o Prior written approval of the Corporate Governance Committee or the full Board of Directors is
required to hire an Immediate Family member of a Teammate who is an Executive Officer or
member of the Board of Directors.

 Exceptions to Hiring Restrictions

o Summer internship opportunities. The requirements above do not apply although the Company
will continue to closely monitor relationships of related persons within the organization.

 Definition of Immediate Family

o Includes (a) the Teammate’s or director’s spouse and children, and their spouses; (b) the parents
and siblings of the Teammate or director and the Teammate’s or director’s spouse; and (c) any
family members or romantic partners living in the same household as the Teammate or director.

The Employment of Family Members and Personal Relationships Policy in the Handbook includes these
restrictions as well.
