Sarbanes-Oxley Coordinator (Internal Controls)

REQUIRED RESPONSIBILITIES

• Serve in the legal department as the primary Sarbanes-Oxley Section 404 liaison (specifically with respect to
the control environment) between the legal, finance, IT and human resources departments and the company’s
independent auditors.
• Interface with department personnel to ensure that Sarbanes-Oxley Section 404 objectives, deliverables and
timelines are met.
• Work with process owners to develop, maintain and review the Sarbanes-Oxley Section 404 documentation.
• Assist in the documentation of internal control processes.
• Assist in the coordination and tracking of internal/external testing of controls and track the status of gaps and
remediation actions.
• Assist in the remediation of deficiencies in internal controls (specifically with respect to the control
environment).
• Learn to use an internal controls software tool (vendor/tool selection is in process).
• Assist in the coordination process to obtain management assessments of internal controls, including the
identification of weaknesses and opportunities for improvement.
• Assist in the periodic update and distribution of corporate governance documents (including D&O
questionnaires, insider trading policies, standards of business conduct, and other corporate governance
documents and policies).
• Coordinate with the IT department to ensure worldwide distribution of uniform corporate governance
documents and policies (including assistance with placement of such documents on local intranet sites
worldwide).
• Prepare presentation charts and provide status updates as needed for use by management.
• Assist in providing training on internal controls.
• Develop/maintain working knowledge of laws and industry guidance for establishing, maintaining and reporting
on internal controls.
• Assist with coordination of the quarterly and annual Sarbanes-Oxley processes.
