Pool Cleaning and water treatment Service Agreement.

This Agreement/the Contract is made on August 14, 2020.

BETWEEN

- 115/17’ Angsana Laguna owner residing at 115/17 Angsana Laguna Phuket, Srisoonthorn Road, Cherngtalay,
Amphur Thalang, Phuket (hereinafter referred to as the 'Hirer') of the one part.
AND

- Sea pool service Co.,Ltd, a Company Limited incorporated under the Laws of Thailand with registration number
0135562016647 having its registered address at 39/219 Moo6 Tambon Bangkhuwat Amphoe Muang Pathum
Thani, Pathum Thani 12000 through its authorized Director, Ms. Kittika Arkhomthon holding ID card number
1101400751711, hereinafter referred to as the “Contractor” of the other part.
As agreed, by upon both parties to make this Contract, a full condition and scope of service are given in the details below:

1. TERM

1.1 Unless being otherwise terminated pursuant to any conditions specified hereunder, this Contract shall valid for
the term of 1 year, commencing from August 14, 2020 until September 30, 2021. Also, without the notice of
termination, this contract shall be automatically extended for 45 days.

2. SCOPE OF SERVICE PROVIDED HEREUNDER.

2.1 The Hirer agree to hire the Contractor for pool cleaning and water treatment service by monthly payment, the
working area is located at 115/17 Angsana Laguna Phuket, Srisoonthorn Road, Cherngtalay, Amphur Thalang,
Phuket and the Contractor agree to provide such service by assigning the its Staff, who possess certain
qualification.
2.2 The Contractor provide pool cleaning and water treatment services for 3 times per week.
2.3 The Contractor hold responsible for the water treatment chemicals in order to perform the service.
2.4 The scope of service does not cover maintenance and repaired any of pool machines and its parts, electric system,
water flow system and pump system.

3. SERVICE FEE AND PAYMENT

3.1 Both parties agree that Service Fee for service rendered hereunder shall be paid monthly in the amount of 6,500
Baht (three thousand Bath) as Annex1 attached hereto and deemed as part of this Contract.
3.2 The Contractor invoices the Hirer for service fee on monthly basis, by sending an invoice for Service Fee and
extra Service Fee (if any) owed to the Contractor on the date of 20th of each calendar month. The Hirer agree to
pay Service Fee and extra Service Fee (if any) to the Contractor within 7 days from the date specified in each
invoice.
3.3 Service Fee under this Contract shall exclude 7% VAT, exclude subject to income tax withholding.

4. DUTY AND SCOPE OF RESPONSIBILITY

4.1 Duty and responsibility of the “Contractor”
4.1.1 The Contractor shall assign Staff who is well behaved to work under the scope of service, also staff must possess
proper qualification needs to carry out his/her duty hereunder.
4.1.2 The Contractor shall not be held responsible for the Hirer or its customer, and shall not be held liable to pay
damages to Hirer for loss of expected profit, income, usage, goodwill, ordinary loss or monetary loss or any other
claims demanding for indirect damages, special damages, except for damages resulting from intentional act of the
Contractor.
4.2 Duty and Scope of responsibility of the “Hirer”
4.2.1 The Hirer shall pay Service Fee to the Contractor at the rate and by term of payment specified herein
4.2.2 The Hirer shall provide working area, pool cleaning equipment, electricity and water supply to perform the
service.

5. TERMINATION OF THE CONTRACT

5.1 If any party to this Contract is in breach or fail to comply to any condition as specified in this Contract and the
non-breaching party has provide written notices thereof, however the breaching party fail to comply with the
Contract or fail to correct such breach within 30 days upon receiving such written. The non-breaching party shall
be entitled to terminate this Contract.
