WHAT IS RHINOPAY?

RhinoPay is an exciting new Quick Pay program offered to all qualified NTG Carriers.
Unlike traditional Quick Pay options, your company will be setup on a permanent payment program where you will receive
payment within two (2) business days via ACH direct deposit after receipt of the delivery paperwork. There is no cost for
the one-time setup, and there is only the low fee of 2.5% for each load you carry for NTG. We are committed to paying
our Carriers faster than any other broker in the industry and our RhinoPay program is our latest premium service offered
to ensure that your invoices are quickly paid and turned into working capital for you.

How to sign up for NTG’s RhinoPay program?

Step 1: Be an active Carrier for NTG.
Step 2: Complete this application and email it with required documents to RhinoPay@ntgfreight.com
Step 3: Upon approval, a test ACH deposit will be issued to your bank account.
Step 4: Verify you received the test ACH and notify NTG.
Step 5: Start receiving recurring NET-2 Day Quick Pay via ACH for all loads!

NTG’S EXCLUSIVE CARRIER PAYMENT PROGRAM
RHINOPAY TERMS AND CONDITIONS
PERTAINING TO SERVICE. RhinoPay is a premium Quick Payment program
offered to qualified NTG carriers to be paid via ACH direct deposit for all loads
the carrier runs for NTG. ACH payment will be issued within two (2) business days
from the date that all required delivery paperwork is received and processed.
The two (2) business days begin when the delivery paperwork is processed.
All paperwork must be received by 1:00PM EST to be processed that day.
Paperwork received after this time will be processed the next business day.
NTG must be able to verify with the receiver of each load that it has delivered
before payment will be issued. NTG reserves the right to forgo quick pay
services at any time and pay invoices within the NTG “Broker Carrier Agreement”
terms.
CARRIER REQUIREMENTS. RhinoPay Quick Payment program is available
to active NTG Carriers that meet the following criteria; (a) Carrier must be an
active Carrier with NTG. (b) Carrier must have been in business with an active
MC number for a minimum of four (4) months. (c) The business phone number
and address provided must be verifiable. (d) If a factoring company is being
used or on file with NTG, a letter of release must be provided and confirmed
before Carrier can be eligible for the RhinoPay program. (e) Carrier must
operate and be registered as a business in the United States of America. (f)
Carrier must have a signed “Broker Carrier Agreement” on file with NTG.
FRAUD PREVENTION. Once approved for RhinoPay, a test ACH payment will
be issued to the bank account provided by Carrier. Before ACH quick payments
can be issued, Carrier must confirm receipt of the test ACH and notify NTG
that funds were deposited and applied to the correct account. NTG is not
responsible for any improperly issued funds if Carrier provides incorrect or
false bank information at any time during their business dealing with NTG.
NTG will only issue an ACH to bank accounts associated with the Carrier.
NTG reserves the right to verify with the bank any account information that is
provided.
FEES. Upon receipt of all the required delivery paperwork, each ACH
payment will be processed in exchange for a two and a half percent (2.5%)
discount that will be taken from the remaining balance of each load.
PAPERWORK REQUIREMENTS. Carrier must provide all necessary delivery
paperwork needed to invoice our customer in order for the load(s) to be
processed for payment. (a) Proof of Delivery “POD” signed by the consignee
is required; all POD paperwork must be complete; all pages must be included
and accounted for to be processed for payment. (b) All necessary pages
must be signed by the appropriate parties where specified to be processed
for payment. (c) All documents received must be clear and legible. Delivery
paperwork not meeting these legibility requirements may result in delayed
payment for the load. (d) Loads not requiring original paperwork must be sent
to RhinoPay@ntgfreight.com for processing; failure to send paperwork to
this email address may result in delayed payment for the load. (e) When
applicable, Lumper receipts, Scale Tickets, Escort Fee receipts, Pallet/
Restacking Fee receipts, Oversize Fees, or any other service fee receipts
that resulted in additional charges must be included with the delivery paperwork
in order for the payment to be processed for the specific load. Failure to
provide backup documentation for assessorial charges may result in a delay
of payment or short payment. All charges must be preapproved in writing on
an NTG rate confirmation. (f) All Detention must be approved by broker prior
to invoicing.
ORIGINAL PAPERWORK EXCLUSIONS. Loads requiring Originals will not
be processed for payment until the original delivery paperwork has been
received by NTG. NET-2 day terms do not begin until the originals have been
received. NTG reserves the right to require original paperwork before payment
by any method on any load.

INSURANCE REQUIREMENTS. Carrier must have active insurance and a
valid insurance certificate on file with NTG throughout the duration of this
agreement; if Carrier’s insurance expires and an updated insurance certificate
is not provided to NTG, RhinoPay Quick Payment services will be suspended
until an updated insurance document is submitted by Carrier.
DAMAGES. POD must be free and clear of damages. If damages are
present, noted, or stated on the Proof of Delivery paperwork, payment for the
affected load will be delayed until NTG is able to verify with our customer that
a claim will not be filed on the load.
NOTICE. The contract provisions on both pages of this Agreement are
incorporated by reference and constitute a part of the agreement. Reference
should be made to the terms of this agreement for information about terms of
service, requirements, cancellation, procedures, and eligibility for RhinoPay
recurring Quick Payment services. All Carriers are bound by the continued
terms and conditions on NTG’s “Broker Carrier Agreement” and NTG Carrier
Rate confirmation. By signing this Agreement, Carrier authorizes Nolan
Transportation Group, LLC. to deduct the applicable discount and fees from
all Carrier ’s invoices that are to be paid via RhinoPay services. Carrier
understands and agree to the terms and conditions of NTG RhinoPay quick
payment program and the amount(s) deducted are nonrefundable for any
reason.
CANCELLATION. RhinoPay services must be active for a minimum of three
(3) months and a minimum of fifteen (15) loads must be run and paid before
services can be cancelled. RhinoPay will remain as the Carrier’s default
method of payment until a formal letter of release is submitted and approved
by NTG. Once cancellation has been confirmed by NTG, Carrier will allow
seven (7) days for RhinoPay services to terminate and understands that any
loads that have either (a) already been processed for payment; or (b) loads that
will be processed for payment within the seven (7) day cancellation period are
subject to be paid via RhinoPay. RhinoPay services option can only be
cancelled/discontinued with written approval by NTG and is not guaranteed.
Carriers that cancel RhinoPay services may not be eligible for renewal of service.
TERMINATION. RhinoPay service will continue until such time as Carrier
or NTG gives thirty (30) days prior written notice which must be given by
letter of release, unless termination or suspension is cause. NTG may terminate
or temporarily suspend service in the event that you breach any material
provision of this Agreement, Broker Carrier Agreement, or Carrier Rate
confirmation that, if it is capable of being cured, is not cured within seven (7)
days from notice to Carrier.
ELECTRONIC SIGNATURE (ESIGNATURE). Carrier consents and agrees
that their use of a key pad, mouse or other device to select an item, button,
icon or similar act/action while using any electronic service NTG offers; or in
accessing or making any transactions regarding any document, agreement,
acknowledgement, consent, term, disclosure, or condition constitutes Carrier’s
signature, acceptance and agreement as if actually signed by Carrier in
writing. Further, Carrier agrees that no certification authority or other third
party verification is necessary to validate Carrier’s electronic signature; and
that the lack of such certification or third party verification will not in any way
affect the enforceability of Carrier’s signature or resulting contract between
Carrier and NTG. Carrier understands and agrees that the eSignature
executed in conjunction with the electronic submission of the application
will be legally binding and such transaction will be considered authorized by
Carrier.
GOVERNING LAW; FORUM; SERVICE OF PROCESS. THIS AGREEMENT
AND ALL DISPUTES ARISING AS A RESULT OF THE PERFORMANCE OF
THIS AGREEMENT SHALL BE CONSTRUED UNDER AND GOVERNED BY
THE LAWS OF THE STATE OF GEORGIA, REGARDLESS OF CONFLICT
OF LAWS PROVISIONS. THE PARTIES SUBMIT TO THE EXCLUSIVE
JURISDICTION OF AND VENUE IN THE STATE COURTS LOCATED IN
COBB COUNTY, GEORGIA AND THE UNITED STATES DISTRICT COURTS
LOCATED IN THE NORTHERN DISTRICT OF GEORGIA. CARRIER WAIVES
ANY OBJECTION IT MAY HAVE TO EITHER THE JURISDICTION OF OR
VENUE IN THESE COURTS. THE PARTIES AGREE TO ACCEPT SERVICE
OF PROCESS BY RECEIPTED COURIER SERVICE OR BY HAND; PROVIDED
THAT SUCH SERVICE ALLOWS A REASONABLE TIME TO RESPOND.
