CONTRACT OF SUB-LEASE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE is made and executed at the City of Quezon, this 15th of December, 2017,
by and between:

RENATO FELIPE DAYAO JR. of legal age, single, Filipino, and with residence and postal address at
#67 Road 20, Project 8, Bahay Toro, Quezon City, hereinafter referred to as the SUB-LESSOR.

-AND-

JOHN PATRICK VALDEZ BERNARDINO and with postal address at #3 Remarville Ave. Bagbag
Novaliches, Quezon City, hereinafter reffered to as the SUB-LESSEE.

WITNESSETH; That

WHEREAS, SUB-LESSOR is authorized by its LESSOR to sub-lease its leased premises situated at
67 Road 20, Project 8, Bahay Toro, Quezon City;

WHEREAS, SUB-LESSE is willing to sublease a portion of the aforesaid leased premises by way of desk
space/s.

For and in consideration of {{Currency}}{{Amount}}monthly rental fee. SUB LESSOR hereby leases a
portion of its leased premises, particularly of commercial space in favor of the SUB-LESSEE under the
following terms and conditions agreed upon by the parties:

WHEREAS, the SUB-LESSOR OWNED THE PREMISES, a commercial property situated at #32-A V.
Bernardino Rd., Bagbag, Novaliches, Quezon City;

WHEREAS, THE LESSOR agrees to lease-out the property to the LESSEE and the LESSEE is willing to
lease the same;

NOW THEREFORE, for and in consideration of the foregoing premises, the LESSOR lease unto the
LESSEE and the LESSEE hereby accepts from the LESSOR and the LEASESD premises, subject to the
following:

TERMS AND CONDITIONS:

1. PURPOSE/S: that premises hereby leased shall be used exclusively by the SUB LESSEE for
Residential purpose only and shall not be diverted to other uses.

2. TERMS: This term of lease is for ONE (1) YEAR from January 2, 2018 –January 2, 2019.
Upon its expiration, this lease may be renewed under such terms and conditions as my be
mutually agreed upon by both parties, written notice of intention to renew the lease shall be
served to the LESSOR not later than seven (7) days prior to the expiry date of the period
herein agree upon.

3. RENTAL RATE: The monthly fixed rental rate for the leased premises shall obe in TEN
THOUSAND PESOS (Php. 10,000.00), in Philippines Currency, and inclusive of value
Added Tax and Witholding Tax as mandated by the Bureau of Internal Revenue. All rental
payments shall be payable to the LESSOR either in the form of cash of Cheque payment.

Payment shall be made pre-Paid every 1st week of the month (e.g., First payment shall be
made on January 4, 2018 for the consumption of rent for the entire month of December).
4. The LESSEE must deposit a NON-REFUNDABLE 2-month rental fee of Php. 20,000.00
(Thirty Thousand Pesos).

5. The LESSEE must deposit Php. 5,000.00 (Five Thousand Pesos) for utility bills (Meralco,
Maynilad, telephone and internet provider).

6. CONSTRUCTION GRACE PERIOD: It is agreed that the LESSEE be allowed ONE (1)
WEEK rent free grace period for construction from _________ up to __________.
7. The LESSEE must pay Php.100.00 (1% of the total monthly rent Php.10,000.00) as penalty
each day he misses to pay the rent. (Ex. If the LESSEE’S scheduled day to pay rent is on
January 4 pays on the 6th then he should pay the Php.10,000.00 rent plus the 300 penalty
charge.)

8. DEFAULT PAYMENT: in case of default by the LESSEE in the payment of the rent, such
as when the checks are dishonored, the LESSOR at its option may terminate this contract and
eject the LESSEE. The LESSOR has the right to padlock the premises when the LESSEE is
in default of payment for Three (3) consecutive months.

9. If the LESSEE fails to pay for 3 consecutive months and wishes to use the deposit he will
still need to pay the 1% penalty. The LESSEE should make adeposit again if he wishes to
continue leasing the commercial space.

10. SUB-LEASE: The LESSEE shall not directly or indirectly sublet, allow or permit the leased
premises to be occupied in whole or in part by any person, form or corporation, neither shall
the LESSEE ssign its rights hereunder to any other person or entity and no right of interest
thereto or therein shall be conferred on or vested in anyone by the LESSEE without the
LESSOR’S written approval.

11. PUBLIC UTILITIES: The LESSEE has temporary electric sub-meter and individual water
meter. Computation of Lessee’s Electricity and Water Expenses shall be based on the actual
Meralco and Water billing computed based on the Billing Statement.

Payment shall be made not later than 10 (Ten) working days upon receipt of Electrical and
Water Billing from the LESSOR. It is expressly agreed upon that the LESSOR shall not
charge a margin or profit from the Electricity and Water utilities of the leased premises.
It is also expressly agreed upon that the LESSEE shall NOT in any way be liable for penalty
charges from Meralco / Electricity and Maynilad / Water Utility that may arise due to the
LESSOR’s inability to pay the utility bills on a timely manner.

12. FORCE MAJEURE: If whole or any part of the leased premises shall be destroyed or
damaged by fire and flood that would depend on the cause, lighting typhoon, earthquake,
storm, riot or any other unforeseen disabling cause of acts of God, as to render the leased
premises during the term substantially unfit for use and occupation of the LESSEE, then this
lease contract may be terminated without compensation by the LESSOR or by the LESSEE
by notice in writing to the other.

13. LESSOR’S RIGHT OF ENTRY: The LESSOR or its authorized agent shall after giving
due notice to the LESSEE shall have the right to enter the premises in the presence of the
LESSEE or its representative at any reasonable hour to examine the same or make repairs
therein or for the operation and maintenance of the building or to exhibit the leased premises
to prospective LESSEE, or for any other lawful purposes which it may deem necessary.

14. EXPIRATION OF LEASE: At the expiration of the term of this lease or cancellation
thereof, as herein provided, the LESSEE will promptly deliver to the LESSOR the leased
premises with all corresponding keys and in as good and tenable condition as the same is
now, ordinary wear and tear expected devoid of all occupants, movable furniture and effects
of any kind.
15. TERMINATION CLAUSE: Both parties may only terminate this agreement in the form of
writing and with a grace period of 60 days before end or termination of the lease contract.

16. JUDICIAL RELIEF: Should any one of the parties herein be compelled to seek judicial
relief against the other, the losing party shall pay an amount of One Hundred (100)% of the
amount claimed in the complaint as attorney’s fees which shall in no case be less than
P50,000.00 pesos in addition to other cost and damages which the said party may be entitled
to under the law.

17. This CONTRACT OF LEASE shall be valid and binding between the parties, their
successors-in-interest, heirs, and assigns.

18. All installations and renovations are all subject for approval by the LESSOR.

19. The LESSEE must provide atleast 1 fire extinguisher and CCTV cameras.

20. The LESSEE must maintain the cleanliness of their vicinity including the frontage with 1
trash bin provided by the LESSEE.

21. The LESSEE must ensure that all devices, appliances and equipment thay may cause fire or
flood must be switched off upon closing.

22. The LESSEE must practice the Philippine Executive Order 26, entitled Providing for the
Establishment of Smoke Free Environments in Public and Enclosed Places.

This executive order invoked the Clean Air Act of 1999 and Tobacco Regulation Act of 2003
to impose a nationwide ban on smoking in all public places in the Philippines.

23. The LESSEE must ensure that loud music or anything that may disturb residents like
shouting or howling must be turned downand drinking liquors outside the shop is prohibited
as per City Ordinance.
