Dear Chairwoman Whitmer,

I am writing in response to your September 13, 2021 letter on behalf of Nevada Democratic Victory
(“NDV”), the federal account of the Democratic Party of Washoe County. Your letter provides an
extensive set of conditions and states that the Nevada State Democratic Party (“NSDP”) is willing to
withdraw the pending amendment to the NSDP bylaws only if all conditions are met.

I want to first thank you for your outreach. NDV agrees fully with the underlying sentiment of working
together and stopping the unnecessary and harmful pending amendment to the NSDP bylaws. That being
said, NDV strongly believes that the approach laid out in the letter is irreconcilable with a good faith
negotiation between members of the same political party. Your letter demands that NDV either agrees
promptly and fully to an extensive and unrealistic set of conditions or otherwise accepts that you will
move forward with a bylaw amendment that empowers the state party to arbitrarily withdraw the charter
of its county parties. In other words, you are attempting to force the NDV to agree to pages of restrictive
concessions under duress. This approach does not align with the values of the Democratic Party or quite
frankly any sincere attempt at cooperation.

Finally, the letter asks NDV to promise that other organizations, such as congressional, statewide and
legislative races, will run their coordinated campaign through the NSDP. NDV does not and cannot speak
for third parties whom it does not control.

The NDV wants to reiterate its willingness to work in cooperation with the NSDP if the NSDP withdraws
the pending bylaw amendment, removes the threat hanging over all Nevada county parties and comes to
the table in good faith.
