RIDE-SHARING MOBILE APPLICATION DEVELOPMENT

This Mobile App Development Agreement (the “Agreement”) has been made and entered
into on this 1 day of September 2021, at Kathmandu, Nepal, by and between:

Web Creation Nepal Pvt Ltd, a company incorporated and existing under the laws of Nepal with
registration number 84705/068/069 and having its registered office at Adwait Marga,Bagbazaar,
kathmandu (hereinafter referred to as the “DEVELOPER” whose expression shall, unless repugnant to the
subject or context thereof, include its successors-in-interest and permitted assignments) of the First Part.
AND
Rath App, a company incorporated and existing under the laws of Nepal with registration number
………….. and having its registered office at Kathmandu, Nepal (hereinafter referred to as the
“CUSTOMER” which expression shall, unless repugnant to the subject or context thereof, include its
successors-in-interest and permitted assigns) of the other part.

WHEREAS, Developer is in the business of providing certain technological services, including but not
limited to application development and technical solutions for his clients; and

WHEREAS, Customer desires to enter into this Agreement with Developer for certain services and the
development of certain applications, as described further under this Agreement.

ACCEPTANCE TESTS means the tests to be conducted for the purposes of testing the functional
operation of an Application and/or its compliance with any agreed Specifications for such Application.

APP STORES means any existing and future virtual or digital stores or marketplaces (currently known
as app stores), including but not limited to the Apple App Store and Google Play, Android MarketPlace.

PROCESS means to take any action or perform any operation or set of operations on any data,
information or other content, including without limitation to collect, receive, input, upload, download,
record, reproduce, store, organize, compile, combine, log, catalog, cross reference, manage, maintain,
copy, adapt, alter, translate, or make other derivative works or improvements, process, retrieve, output,
consult, use, perform, display, disseminate, transmit, submit, post, transfer, disclose, or otherwise provide
or make available, or block, erase or destroy. "Processing" and "Processed" have correlative meanings.

THIRD-PARTY MATERIALS means materials and information, in any form or medium, including any
software, (including open­source software), documents, data, content, specifications, products, equipment
or components of or relating to the Application that are not proprietary to Provider.
DOCUMENTATION means any and all instructions, specifications, and other documents and materials
that Web Creation Nepal provides or makes available to Customer in any medium and which describe the
functionality, components, features or requirements of the Application, including the installation,
configuration, integration, operation, use, support or maintenance thereof.

END USER (s) means the individual(s) that download, install, or use the Application as a client of
Customer.

INTELLECTUAL PROPERTY RIGHT means any and all registered and unregistered rights granted,
applied for or otherwise now or hereafter in existence under or related to any patent, copyright,
trademark, trade secret, database protection or other intellectual property rights laws, and all similar or
equivalent rights or forms of protection, in any part of the world. Law means any statute, law, ordinance,
regulation, rule, code, order, constitution, treaty, common law, judgment, decree or other requirement of
any federal, state, local or foreign government or political subdivision thereof, or any arbitrator, court or
tribunal of competent jurisdiction.

NOW THEREFORE, the Parties hereto agree as follows:

Develop, Design and Assist in the launch of a Mobile Application focused on Ride Sharing related to
online base Transportation booking system in Nepal.

The following basic requirements for the project has been identified:

● The mobile application for Android & iOS devices for passengers and drivers.
● An Admin Panel to manage ride sharing and marketing services.
● Develop a unique application for the project.
● Dedicated Server Setup, Configuration and Deployment.
● Firewall & Cloud front for server Security.
● Load Balancer & Autos calling for Server Resource Manage.
● Provide consultancy and training to manage the total system.

Passenger Application:

● Real-time available vehicle search on a configurable location
● Shortest Route Suggestion & Estimated Fare Calculation

TRAINING MAINTENANCE AND SUPPORT.

Training Support: Web Creation Nepal will provide to Customers with training through the recorded
tutorial videos or scheduled private virtual demonstrations with the customer. Web Creation Nepal will
provide Customers with commercially reasonable maintenance and support services with regard to the
use and distribution of the Application during the Term of the Agreement.

Updates: Web Creation Nepal, at its sole option, may from time to time provide updates to the
Application (the “Updates”). Customer is required to accept Updates, and Customer acknowledges that,
by downloading or installing the Updates, that those Updates will be considered part of the Application
and subject to the terms and conditions of this Agreement.

EFFECTIVE DATE AND TERM

This Agreement shall come into effect on Sep 1, 2021 (the “Effective Date”) and shall remain valid until
the full performance (of all obligations) by both Parties, unless terminated earlier by either Party under
the terms of this Agreement.

The DEVELOPER hereby agrees to deliver all Services in relation to the CUSTOMER’s share-riding within
two hundred fifty (250) days of placing of Purchase Order by the CUSTOMER (the “Completion Date”).

This Agreement shall suo moto expire upon full performance (of all obligations) by both Parties.

PAYMENT

In consideration of the Services as well as Training to be provided under this Agreement, the Web
Creation Nepal shall be entitled to receive a total (one-time) fee of NRs. 22,25,000/- (Nepalese Rupees
Twenty-two lakh, Twenty-five Thousand Only) (“Fees”).
Advance payment 20% Rs. 450,000/-

Upon approval of apps user interface design 40% Rs. 900,000/-

Upon completion of the project 40% Rs. 900,000/-

The Fees as defined above shall be exclusive of applicable VAT and subject to deduction of applicable
withholding taxes, in accordance with the laws of Nepal, at the time of payment.

The Fees shall be paid only upon final acceptance of the apps by the CUSTOMER pursuant of this
Agreement.

Upon completion of such Acceptance Testing and final acceptance of the website by the CUSTOMER, the
DEVELOPER shall raise a valid VAT invoice upon the CUSTOMER for payment in accordance with this
Section.

TRAINING

The DESIGNER shall conduct two (2) to three (3) sessions for training the CUSTOMER’s personnel, as
per the requirement communicated by the CUSTOMER, upon final delivery of the website.

The number of CUSTOMER’s personnel to whom such training is to be rendered shall not exceed ten (10).

The DEVELOPER acknowledges and agrees that the cost of training is included within the Fees and no
separate charges shall be applicable for the same.

This Agreement shall be executed in two (2) counterparts. Each counterpart together shall constitute one
and the same instrument.

IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed on mutually agreed
terms and set their signatures hereunder on this 6 day of September 2021 at Kathmandu, Nepal.
