ELITE VENDOR AGREEMENT

Hi!

Thank you so much for agreeing to be one of the very few meticulously selected brands of Good Gang’s
re-launch. We are very excited to have you on board and grow together as a team! Our main goal is to be
a digital marketing and creative community that offers a variety of cool, unique products. Post pandemic,
we also plan on holding really fun Good Gang socials or shopping parties where we invite influencers,
media and guests! We feel that you and your brand would be vital in making this happen!

I. VENDOR PRIVILEGES
By being a vendor of the Good Gang, you will have the following privileges:
1. (1) month free consignment services on Good Gang
a. Uploading your products for sale on the site
b. Updating your inventory
c. Promoting your products on Good Gang’s Instagram account
d. Promoting your products on all of Killa Kush’s social media platforms
e. Packing of your orders
f. Shipping your orders
2. PR seeding to influencers to promote the new Good Gang (optional, only if the brand wants
to give extra products for influencer seeding)
3. Open to collaborating with Killa Kush and Good Gang on a limited edition collection to
further push sales and market your brand
4. Option to extend consignment services for an elite discounted rate. The discounted rates are
as follows:
a. For products worth 100-500php, it costs 750/week +15% of sales
b. For products worth 500-1,000php, it costs 1,200/week + 15% of sales
c. For products 1,000php and up, it costs 1,500php/week + 15% of sales
5. Your brand will be top of mind when we hold Good Gang socials in the future

II. COMPENSATION
In exchange for these, all we ask in return are the following:

● A ONE-TIME shoot & site upload fee : To professionally shoot your products in
studio and for social media content:
■ 3-5 products: 500PHP
■ 6-8 products : 750PHP
■ 9-12 products : 1100 PHP
■ PER ADDITIONAL PRODUCT/VARIANT : 100 PHP
 ● 1. 9% of the (1) free month’s sales to be transferred to the vendor’s
BDO/BPI/Gcash on the 30th of the month
● 2. 1-2 weekly IG stories promoting the new Good Gang and having you onboard
● 3. 2-3 IG feed posts during the free (1) month, promoting the new Good Gang and
having you onboard
● 4. Products sent to us by SEPTEMBER 12 , 2021 (shipping fee shouldered by
vendor)
● * NOTE: STRICTLY 5 KINDS/VARIANTS OF PRODUCTS ONLY PER BRAND
UPON FIRST FREE MONTH. ADDITIONAL PRODUCTS INCUR 100PHP COST
TO SHOOT & ADD TO SITE.
● 5. Inventory on Google Sheets/Excel emailed to us by SEPTEMBER 12,2021
● 6. Product photos, videos and any content you’re comfortable with us sharing on
our multiple social media platforms in a GDrive emailed to us by SEPTEMBER 12,2021

III. LOSSES/DAMAGES

Good Gang will be held completely liable for any losses and damages found 2 days after product
acceptance. However, Good Gang has 1-2 days upon receiving the products to quality check each item to
make sure that customers get 100% perfect goods. Should the products have any damages upon
acceptance, we will kindly let you know and send them back to the vendor. The vendor will have the
option to exchange this item for a saleable product.

IV. TERMINATION OF CONTRACT

Should you wish to leave as a vendor at Good Gang, kindly inform Good Gang at least (7) days in
advance so that the team has enough time to adjust since we will be removing photos from your site,
accepting a new brand to replace yours, updating our collaterals, etc. Should there be any breach of the
contract that is irresolvable through verbal communication, Good Gang also reserves the right to remove
your brand should they deem necessary.
