SECTION D SCOPE OF WORK

The works to be performed under this Subcontract are the whole Civil Package A of ESF Works for JUBAIL-3B
INDEPENDENT WATER PROJECT project as required and conditioned under the Contract. The listing and/or
description of the Subcontract Works as stated in the Subcontract Documents shall not be taken to limit the
nature, range, and extent of such Works which shall be completed in accordance with the Subcontract
Conditions, Technique Specifications and Drawings, and be handed-over in a fully functional condition to the
entire satisfaction and approval of the Contractor, the Engineer, the Owner

The scope of works is deemed to include, but not limited to, the design, supply, installation, provision of all
equipment, devices, material, testing, commissioning, and warranty of the Civil Package A of ESF Works as
detailed and implied in the Contract documents. The scope does further includes but not limited to reviewing of
the Conditions, Drawings and Specifications, and reporting to the Contractor of any shortage, discrepancy or
omission therein, provision of site test records including test procedures, provision of operation & maintenance
manuals, preparation of design development, shop and as-built drawings in coordination with the Contractor,
other concerned subcontractors and presentation of all relevant documentation required for the Project
handing-over to the Owner

All works covered by this document shall conform to the latest edition of the ACWA's standard specifications
supplemented with latest applicable industry Standards, Codes and specifications.

Without prejudice to or limitation of the Scope of Work inclusion and the contents of the Contract
requirements, Bill of Quantities, Specifications and Drawings, the items of the Scope of Works to be supplied,
installed and maintained are listed as follows:

It is hereby understood and agreed that the total value of the works executed under items … to ….above shall
be on the basis of the Milestone Payment Schedule and the actual quantities executed and approved by the
Contractor (if applicable).

It is also understood and agreed that each item of the Subcontract Works is a complete unit, and the listing of
these units or their description in the Contractor, shall not limit the nature, range or extent of the
Subcontractor’s obligations to meet the requirements pertaining to such works which must be completed in
accordance with and to fit the purpose intended in the Contract and be handed over in a fully functional
condition to the entire satisfaction and approval of the Contractor and Owner .

It is also understood and agreed that Contractor is entitled to adjust the scope of work according to the actual
construction capacity of Subcontractor and progress of site work, Subcontractor shall follow the adjustment
unconditionally without any additional cost.

It is further understood and agreed that the scope of works includes all related accessories and components
and all fixing accessories whether mentioned in the Drawings and/or Technical Specifications or not. The
Subcontractor is deemed to have allowed for the provision of all materials, works and services necessary for
execution and completion of the Subcontract works.

Whenever the Contractor is required to provide the Owner with a Warranty or Guarantee for certain material or
installation under contract between Contractor and Owner, the Subcontractor shall before clearance is made,
provide the Contractor with such Warranties and/or Guarantees as required by the Contractor.

The Contractor has the right to correct and/or amend the measurement statements and the progress payments
pertaining to the Subcontract works in order to reflect the right position and any correction or amendment
made by the Owner in this respect. Consequently the Contractor has the right to recover from the
Subcontractor the sums that were paid to the Subcontractor – if any- in excess of the right dues before doing
such reduction and/or amendment and such until Defects Liability Certificate.

This project involves the Civil Package A of ESF


The subcontractor shall perform on LSTK basis, the design, engineering, materials procurement, quality
management, factory inspection/testing, transport and delivery to site, installation, construction, site
inspection, testing and commissioning, all associated WORK and services until final handing over of Civil
Package A of ESF WORK and communication WORK in a satisfactorily working and operating condition with
guarantee as specified in this scope of work. All work for this project according the Final OTS and PTS
requirement.

The scope of work will include but not limited the following:
1) Provide various documentations in accordance with the Contract.
2) Supply all necessary materials, equipment and consumables which are not specified by Contractor, in a new
and unused condition of common first quality.
3) Customs clearance, port clearance, inland transportation of offshore, unloading, storage and preservation
for all equipment and materials required for the facility as a whole.
4) Provide various documentations in accordance with the Contract. Submit all of as-built documents under
the scope of this contract.
5) Construction management and administration including supervision and procuring statutory
clearances/approvals within the scope of the Contractor as defined herein under.
6) Supply all necessary temporary work for proper execution of the Contract provided by the Subcontractor at
his own cost and inclusive of all materials, labour, supervision and other facilities, which are not specified
by Conrtactor.
7) Provide all equipment, tools, timber, steel formwork, scaffolding/scaffold board and other means, materials
and labor necessary for the proper execution of the work within required period of time up to final
completion.
8) Clearance, chipping and transport all scrap, residual and waste materials to waste storage yard appointed
by the Contractor, trimming and levelling of the area after completion.
9) The Subcontractor shall be responsible to provide the construction water and power for all the Works as
well as for domestic purpose at his own cost.
10) All arrangements regarding travel, boarding, lodging, medical facilities etc. of the Subcontractor /Sub-
subcontractor’s team members will be in Subcontractor’s scope.
11) The data attached with this contract provide a general description and interface boundary line about the
work to be performed under the scope of this contract. However, the work has to be executed according to
the drawings “Released for Construction” from time to time supplied by the Contractor.

12) Submittal the vendor list for approval;


13) Submitting the foundation treatment method statement, QC documents;
14) Project Management;
15) Comply the ITP requirements provided along with foundation treatment specification as per code;
16) The material prefabrication works and Transport the productions from factory to the site;
17) Deploying the required man power for erection of ESF area foundation treatment work at site;
18) Arranging the accommodation, food, local travel, providing Visa /air ticket for the erection team;
19) Arranging tools and machineries, hydraulic jacks, scaffolding, support etc. required for the ESF area
foundation treatment work;
20) Full comply with project HSE & QA/QC requirements;
21) Arranging Power required for Fabrication and Erection of ESF area foundation treatment work;
22) Hydra mobile crane for ESF area foundation treatment work;
23) Insurance for the material covering up to Site
24) All the testing equipment and construction equipment should Calibration by approval third party
25) Handing over of ESF area foundation treatment work.
26) Dismantling and removal of waste material to the approved point work

Subcontractor shall understand and agreed that interfaces of each item of the Works are expressly and
concededly. If any conflictions or ambiguities found by Subcontractor, Subcontractor should inform Contractor
immediately, and perform under the instructions of Contractor without extra payment and time.

1. Within 15 days of signing the contract, the Contractor shall mobilization strictly in accordance with the above

schedule.

2. The machinery Deployment is Contractor necessary requirement, if can not match with the actual demand,

subcontractor must increase relevant equipment.

3.1Notwithstanding the above, in case progress on the execution of the contract at various stages is not as per

phased time schedule and is not found satisfactory in the opinion of the Contractor. The Subcontractor shall pay

delay damages. Besides, the Contractor shall give a writing notice to the Subcontractor and be entitled to

require the latter to increase manpower, machine and relevant resource. If the Subcontractor fails to take any

effective measurement within 7 days after receiving the writing notice from the Contractor, or yet not able to

accomplish the next work schedule of the work, the Contractor shall be entitled to adjust the contract scope or

work quantity or relieve the contract directly without consent of the Subcontractor. The Contractor will take out

the adjusted quantities to other agency on the cost and risk of the Subcontractor and inform the Subcontractor

in writing form. The Contractor does not bear any loss of the Subcontractor.

3.2 The Subcontractor shall submit Key Personnel list to Contractor for approval along with respective power

attorney letter, in which their respective titles and obligations shall be indicated. They must communicate in

English with Contractor’s engineer.

If Subcontractor Resident manager needs to be replaced, the head office is required to give the Contractor no

less than 21 day’s notice. The head office shall reappoint a qualified person to deputize project manager’s

function, and the latter can not leave the site without approval from Contractor site engineer. If Subcontractor

Resident manager needs to leave the site for a while, it is required to give the Contractor no less than 3 day’s

notice and reappoint a qualified person to deputize project manager’s function for approval.

If the Subcontractor infringes the agreement by replacing new Resident manager without prior consent of

Contractor site engineer, he is subject to pay liquidated damages USD 10, 000/person-time to the Contractor.

3.3 The Subcontractor shall arrange relevant manpower and machine in accordance with the resource

deployment list under Clause 6, and comply with the machine and personnel demobilization plan in accordance

with the provision above. Suppose quantity of machines or personnel fails to reach the amount of the resource

deployment list or demobilization proceeded ahead of schedule, the Subcontractor is subject to pay liquidated

damages USD 10,000/day/ no. of machines, USD 1,000/day/person. Besides, the Contractor is entitled to lease

relevant machines at the Subcontractor cost. The required rent charges will be deducted from the payment due

to Subcontractor.

3.4 The subcontractor shall take charge of submission, clarification, reply to CRS for all the submitted
documents to SEC. If any engineering meeting required, the subcontractor shall make the appointment with
Owner.
All facility required by OTS and PTS but not specially mentioned in this section shall be included in
subcontractor scope as well.
The subcontractor shall make all effort to get the approval of the submitted documentation to Owner and all
these efforts will be considered as subcontractor’s obligation.
3.6 The geotechnical field investigation, the close of geotechnical survey report, foundation treatment

specification and construction are in the scope of the subcontractor. All civil ancillary infrastructure, such as
cable trench, etc., are in the scope of the subcontractor(if applicable).
