TRADING TERMS AND CONDITIONS

This Agreement governs all online accounts which I/we open with PHILSTOCKS FINANCIAL, INC. (“Philstocks”), the use of the Philstocks Website, its content
and any third-party content on the Philstocks Website. Philstocks online trading platform shall herein be referred to as “Philstocks” or “Philstocks Website” or
“Website”.

1. AGREEMENT TO USE OF ONLINE BROKERAGE SERVICES

1.1. I/we have received, read and understood this and that the contents of this Agreement are in a language, which I/we understand. By signing below
and/or using the Philstocks Website, I/we hereby agree to be bound by the agreement of this Agreement and the other Agreement as indicated in the
Philstocks Website from time to time.

1.2. I/We have the legal capacity to enter into this Agreement.

1.3. I/we warrant that all information or documents that I/we provide or will provide are true and correct or are genuine and authentic.

1.4. If there are two or more of us who signed this Agreement, our liability shall be solidary and Philstocks may accept orders and instructions from any of
us. Upon receipt of any inconsistent order or instruction or court order, Philstocks may suspend or terminate my/our trading account at its discretion.

1.5. I/We will be solely responsible for the confidentiality, protection and use of the password and/or trading PIN that provides electronic access to my/our
Account. Any orders or instructions that are received under my/our Account are authorized by and binding on me/us.

1.6. I/We authorize Philstocks to record and monitor any telephone or electronic communications with me/us or my/our agents.

1.7. I/We authorize Philstocks to verify my creditworthiness and to provide information to credit agencies. Negative credit information may be submitted to a
credit reporting agency if I/we fail to fulfill the terms of my/our credit obligations.

1.8. I/We agree to conduct business with Philstocks by electronic means. I/We have and know how to use a computer with internet access, an e-mail
address and services for online access of my/our account, and to download, save or print electronic records. I/We are obliged to maintain my/our computer
and services for my/our online account.

1.9. My/Our use of electronic signatures to sign Philstocks documents legally binds me/us in the same manner as if I/we had manually signed. If I/we sign
electronically, I/we represent that I/we have the ability to access and retain a record of the documents. I/We are obliged to review periodically the website for
changes or modifications.

1.10. I/We agree to comply with all laws, rules and regulations, promulgated by governing and regulatory institutions including Philstocks company policies
applicable to my/our account.

2. ONLINE ACCOUNT

2.1. I/We fully understand that Philstocks online securities trading account for purchases and sales of securities carried out through Philstocks are self-
directed.

2.2. I/We am/are fully aware that the securities market can be a rapidly changing market and that there is an inherent risk in incurring losses in the amount
invested. Depending on the prevailing stock market conditions, I/we am/are aware that my/our investments in these shares are subject to investment risks
including possible loss of principal. I/we am/are also fully aware that the value of my/our investments in these shares may go up and down depending on the
movement of the prices of these shares and that the prices of the shares I/we purchased may fall below my/our original purchase price. Therefore, returns of
my/our investments would be difficult to predict. I/We will make my/our own investment judgments and decisions without reliance on Philstocks and will
assume full and exclusive responsibility for all transactions in or for my/our account. I/we will not hold Philstocks liable for any/all costs, losses, damages,
fines, penalties and taxes that I/we may incur arising out of or in connection with the exercise of any of its functions as a broker.

2.3. I/We acknowledge that stocks quotes, data and other information provided by the Philippine Stock Exchange (PSE) and other third-party data providers
found in the Philstocks Website are for informational purposes only, and that Philstocks does not guarantee the accuracy of these data and information. I/We
agree that Philstocks will not be responsible for any loss or damage of whatever nature in connection with any trade made in reliance upon such quotes or
information.

2.4. I/We understand that there is no intent to solicit any action from me/us to buy or sell securities that may be shown on the Website or provided by
Philstocks. All information must be taken by me/us in context of all other materials that they supplement or support on the Website.

2.5. Philstocks requires full payment, or an acceptable equity deposit, prior to the acceptance of my/our orders. I/We will deposit the required cash in my
Account prior to the execution and/or settlement of a purchase transaction, and the required securities in my/our account prior to the execution and/or
settlement of a long sale. I/We am/are not allowed to make any short sales.

2.6. I/we agree to pay Philstocks commission rate for transactions in my/our account which will be indicated in my/our Customer Account Information Form
(CAIF). I/We agree that the commission rates may vary among clients and that Philstocks has the absolute right to change the commission structure at any
time Philstocks deems it necessary. As such, reasonable notice from Philstocks will be given if changes are to be implemented.

2.7. I/We understand and agree that I/we am/are obligated to pay the commission rates, transaction fees and other charges, such as Value-Added Tax on
Commission, Sales Tax, Philippine Central Depository, Securities Clearing Corporation of the Philippines, and Stock and Transfer Agent Fees, upon my
purchase and sale of securities as displayed in my/our Portfolio and/or other documents.

2.8. I/We understand and agree that the computation for the gains/loss in my/our Portfolio is derived from the net amount of my/our trade execution, that is,
my/our total transaction cost minus the commission rates/ transaction fees and other charges.

2.9. All orders for the purchase or sale of stocks using Philstocks is considered authorized by me/us. Philstocks will execute said orders with the knowledge
that I/we intend to actually purchase or sell and that I/we will undertake all responsibility to ensure accuracy of execution of orders from my/our account, as
well as to ensure my/our stock position and availability of funds prior to any purchase or sale.

2.10. I/we understand and agree that Philstocks will, at its own discretion, review certain types of orders manually in order to check compliance of orders to
regulations. I/we understand that said actions may cause delays in processing of said orders given by me/us. As such, I/we undertake and accept any risks
associated with the time difference, such as price fluctuation risks that may happen as a result of the manual review of orders.

2.11. I/we agree that Philstocks reserves the right to reverse and/or cancel any/all accepted and executed orders found by Philstocks to be without sufficient

funds, or made in violation of any terms of this Agreement, or any applicable law, rules and regulations, or upon instructions of any governing or regulatory
institutions. I/we accept liability for all payments and/or additional fees upon demand of any obligations owing to my/our account.

2.12. I/we understand that Philstocks will keep all securities which I/we purchase with the Philippine Central Depository, Inc. Also, securities that I/we have
purchased will be under the custodianship of Philstocks, unless any contrary written instruction/s from me/us were issued.

TRADING TERMS AND CONDITIONS

2.13. Philstocks will have a continuing security interest in, right of set-off to and lien on all securities and cash in my/our account. Subject to applicable law and
rules, and without prior notice to me, Philstocks may sell or transfer the cash or securities to satisfy any/ all obligations under my/our account with full
discretion to determine which securities are to be sold.

2.14. It is my/our obligation to review trade confirmations and my/our account statements promptly. Trade confirmations and my/our account statements will be
posted on
the Website after settlement for each trading day. The account statements will be binding on me/us unless notify Philstocks in writing of any objections c/o
Customer Experience within twenty- four (24) hours from settlement/trading date.

2.15. I/We may terminate my/our trading account by giving Philstocks thirty (30) days written notice. Philstocks may terminate my/our account for violations of the
Agreement of this Agreement, other Agreement as indicated in the Philstocks Website, or for any other grounds prescribed by the PSE, SEC or any applicable
law. Such termination will not affect any right that Philstocks may have that arose prior thereto.

3. BROKERAGE SERVICES

3.1. Philstocks does not guarantee access to the Website at any particular time and that such access may be limited or unavailable during periods of peak
demand, market volatility, system failures, maintenance or upgrades or other reasons.

3.2. The online services are provided on an “as is” and “as available” basis. Philstocks, its third party providers, licensors, contractors, sub-contractors,
employees and agents make no warranties with respect to the system. I/We will not hold Philstocks, its affiliates, directors, officers, employees, or agents for
damages or losses resulting from a cause over which Philstocks have no direct control including, but not limited to, the failure of electronic or mechanical
equipment or communication lines, telephone or other interconnection problems including the inability to connect with my/our internet service provider, or for
any problems, technical or otherwise, that might prevent me/us from entering orders or prevent Philstocks from executing orders, or allow Philstocks to cancel
orders; or from any failure of electronic or mechanical equipment, software or systems malfunction, errors or delays and any and all technical problems that will
arise in the course of providing the Philstocks online services.

3.3. Philstocks provides tutorial materials found in the Website and/or in print and through training seminars that are considered useful for my/our trading.
I/We understand that I/we am/are responsible to use these materials and/or attend these seminars for my/our benefit.

4. PAYMENTS AND WITHDRAWALS

4.1. All payments to my/our account with Philstocks are to be dispensed through different payment media, such as but not limited to: cash, check, bank
drafts, telegraphic transfers, electronic transfers, and other means of payment. Said payments will either be delivered to the Philstocks office or will be
deposited to the designated bank account(s) of Philstocks, as indicated in my/our CAIF. Changes in the designated bank(s) will be announced through the
Philstocks Website.

4.2. All payment to Philstocks shall not be credited to my/our trading account until funds are properly credited in Philstocks designated bank account(s).

4.3. All requests for cash/shares out of my/our Philstocks account will be made by me/us through Philstocks. Upon receipt of the request, Philstocks will
automatically restrict the trading of the subject shares. All requests for shares out will be irreversible after confirmation by Philstocks.

5. COMMUNICATIONS

5.1. All communications, whether by telephone, messenger, mail, electronic, or via the Philstocks Website or any other means, sent to me/us at the address
indicated in this Agreement, any other information sheet, or at such other addresses as I/we may hereafter give Philstocks in writing and/or electronically, will
constitute personal delivery to me/us, whether actually received or not. In the event of my/our failure to notify Philstocks in writing of any change of address, all
communications will be directed to said last known address appearing in its records. The contents of all communications sent to my/our indicated address will
be conclusive and binding on me/us in the absence of a written objection received by Philstocks within twenty-four (24) hours from the time the communication
was sent to my/our address.

5.2. All notices to Philstocks will be sent to:

OR to the branch(es) nearest to my/our place of residence.

6. MISCELLANEOUS

6.1. If any provision of this Agreement is held to be illegal, invalid or unenforceable under present or future laws, such provision will be fully severable and
the remaining Agreement of this Agreement will remain in full force and effect.

6.2. All the terms thereof will be binding upon my/our heirs, executors, administrators, personal representatives and assigns.

6.3. In case of my/our death, Philstocks will not be obligated to act upon any orders or instructions from my/our heirs until the latter have submitted all
documents required by Philstocks to establish their claim.

6.4. This Agreement, any attachments thereto, the other Agreement referred to in this Agreement, the Agreement contained in the account statements and
confirmations and the Philstocks Website contain the entire Agreement between Philstocks and me/us.

6.5. I/We will not assign this Agreement or any rights and obligations under this Agreement without first obtaining the prior written consent of Philstocks.
Philstocks may assign, sell or transfer its rights to this Agreement, or any portion thereof, at any time, without my consent.

6.6. Philstocks reserves the right to amend this Agreement without prior written notice to me/us. The current version of the Agreement will be posted on the
Philstocks Website and my/our continued account activity after such amendment constitutes my/our Agreement to be bound by all amendments to this
Agreement, regardless of whether I/we have actually reviewed them.

6.7. Philstocks may, at its sole discretion, terminate this Agreement or close, deactivate or block access to my/our account.

6.8. Philstocks may discontinue the online services, either temporarily or permanently, without prior notice to me/us, in order to carry out system repairs,
maintenance, upgrades or to protect Philstocks or its clients from losses.

6.9. The failure of Philstocks to insist upon a strict performance of any of the terms, and conditions of this Agreement will not be deemed a relinquishment or
waiver of any right or remedy that Philstocks may have. No waiver by Philstocks of any right under this Agreement will be deemed to have been made unless
expressed in writing and signed by Philstocks.

7. DISPUTE SETTLEMENT

7.1. In the event of litigation or controversy arising out of this Agreement, Philstocks records will be final and conclusive evidence against me/us.

7.2. I/we agree that the exclusive venue for any suit arising from this Agreement will be the proper Regional Trial Court of Pasig City, Philippines.

TERMS OF USE OF WEBSITE

1. AGREEMENT TO ABIDE BY TERMS OF USE OF WEBSITE

The investor(s) should agree to abide by the terms provided in this agreement pertaining to website usage. The investor(s) is/are the only authorized user(s) of
their respective accounts. It is also the investor(s) responsibility to ensure the protection of the User ID and Password.

2. INTERNET USAGE AND SECURITY

The investor(s) should acknowledge that Philstocks Online Trading Platform by Philstocks Financial, Inc. will not be held liable for the availability or security of their
internet service provider, or lack thereof. Philstocks system is not liable if the investor(s) cannot secure a connection to the website because of faulty service from
their ISPs. Likewise, Philstocks cannot be held responsible in the event of a security breach coming from their ISP.

3. USE OF THIRD PARTY WEBSITES

For the benefit of our investors, Philstocks Online Trading Platform has links to other websites that contain information or materials that Philstocks believes would
be relevant to the investor’s online trading needs. This does not mean that Philstocks endorses these websites. Philstocks is not responsible for the contents of
these websites or the opinions expressed herein because these sites are not under the control of Philstocks.

4. OTHER MEDIA AND MODES OF COMMUNICATION

Philstocks services are not limited to Philstocks website, it may include software and other applications for use in different electronic devices. Services are also
available in other social networking sites and we shall call these modes of communication as Social Media.

Philstocks Financial, Inc. welcomes and appreciates investor(s) posting dissatisfaction, disagreements and other differing opinions related to our policies, network
systems and other products and services. However, the investor(s) are also in agreement to NOT do any of the following:

4.1. Abuse, threaten, harass, defame, stalk, or violate the legal rights of Philstocks Financial, Inc. administrators and other Philstocks Financial, Inc. members and
clients;

4.2. Publish, post, distribute or disseminate any material or information that may be defamatory, infringing, obscene, indecent or unlawful;

4.3. Upload or attach files that are not in their direct control, in accordance with the enforcement of Intellectual Property laws;

4.4. Upload or attach files that may contain viruses, corrupted files or other software or programs that can damage the operation of another person’s computer;

4.5. Delete any author attributions, legal notices or proprietary designations or labels in any file that is uploaded;

4.6. Misrepresenting or altering the origin or source of any material, software of file that is uploaded;

4.7. Dissemination of any advertising materials, offers to sell any goods or services, conduction or forwarding of surveys, contests or chain letters; and

4.8. Violate any existing laws, statutes, rules and regulations protecting the rights of a person—individual or juridical.

3.3. Investigation of Illegal Activities
We believe it is necessary to share information in order to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving
potential threats to the physical safety of any person, violations of Philstocks Financial, Inc. terms of use, or as otherwise required by law.

3.4. We do not readily share your information with our advertisers.

We value your privacy. Philstocks Financial, Inc. does not rent, sell or share your personal information with non-affiliated companies or individuals and this
includes advertisers. In the event that you interact with or view a targeted ad, please be assured that we will not give out your personal information. However,
you must be aware that by doing so, you are consenting to the possibility that the advertiser will make the assumption that you meet the targeting criteria
used for ad display.
Philstocks Financial, Inc. advertisers include financial service providers such as banks.

4. Can Philstock Financial, Inc. set and access my cookies?

No. Our system cannot and will not attempt to access your personal cookies on your computer. However, we can only determine a limited set of data about the
computer that you were using to access the system, such as the IP address of the computer that you used to log in to Philstocks Financial, Inc. and the kind of
browser that you were using when you logged in to the website.

5. Can advertisers on Philstocks Financial, Inc. set and access my cookies?

Other companies' use of their cookies is subject to their own privacy policies. Advertisers or other companies do not have access to Philstocks Financial, Inc.
cookies.

6. Am I free to edit my Account Information?

Yes, you are. You may edit/update your Account Information at any time, subject to administrative procedures required by our Company and the governing
rules and regulations of the Exchange.

7. Can I opt out of being sent updates and newsletters?

Yes, you may anytime you desire. However, we reserve the right to send you certain communications relating to the Philstocks’ service, such as service
announcements, administrative messages and the Philstocks Newsletter. These are considered part of your Philstocks account and are invaluable tools for
your continuing knowledge in online trading and the stock market.

8. Who has access to my information?

In order to give you the best products and services, some of our authorized employees have access to your personal information but if, and only if, this is
necessary for them to do their jobs. We have physical, electronic, and procedural safeguards that comply with existing laws & regulations to protect personal
information about you.

9. How will I know if there are any changes to this policy?

The Philstocks team will be sure to notify you about significant changes in this policy. We will do so by sending a notice to the email address specified in your
Philstocks account or by placing a notice on our site so as to keep you updated.

I agree with Philstocks Financial, Inc. Terms of Use of Website, Privacy Policy, and Trading Terms and Conditions, and abide by them unconditionally.

 DATA PRIVACY AGREEMENT
CLIENT (the term CLIENT shall be used whether CLIENT is only one or numerous, and shall also mean “I”, “WE” AND/OR,
OR ACCOUNT” and such other terms as may have been intended to refer to CLIENT in the relevant documents/s) understands that
PHILSTOCKS FINANCIAL, INC. (the “Company”) Philstocks is committed to protecting the privacy of Personal Information, including
Personal Information related individuals who may be customers. By opening an account at Philstocks, you consented to the
processing of your Personal Information in accordance with the Data Privacy Act of 2012.

CLIENT hereby agrees, consents, and authorizes Philstocks or any of its agents to collect, use, disclose, transfer, store,
obtain, record, share, update, modify, monitor and/or process (Collectively, “Process/Processing”) CLIENT’S confidential information,
personal information, and sensitive personal information, as defined under RA 10173 “The Data Privacy Act of 2012” and its
implementing rules and regulations and any of its amendments, as well as other laws relevant to the confidentiality of their personal
data with the company, and data privacy and protection (collectively, ‘Information”), whether manually or in electronic or digital
form, in relation to any and all information CLIENT provided in the Stock Broker’s forms and/or documents such as application forms,
client account opening forms, written or electronic communications, and/or otherwise possessed, or collected or gathered by
Philstocks through its own verification and validation, through the public domain, and/or through other legally permissible methods
and means, for one or more of the purposes, which in summary includes but are not limited to the following:

(a) processing of application for various services and products of the stock Broker as well as services
and products of its
business partners ("third parties");
(b) administering and/or managing relationship and/or account(s)
(c) providing marketing, advertising, and promotional information of various products/services that the
company, its
business partners, and related companies may offer (“Marketing purpose”) through short messages, Philstocks Financial, Inc. Data
Privacy Notice and Consent Form, telephone or mobile calls, email messages, fax messages, and /or postal mail;
(d) such agreement, consent, and authority to disclose and provide such Information shall include the
following Recipients and Purposes:
(i) the Broker accredited service providers, and other third parties whether situated within or outside
the Philippines for
purposes of servicing the needs of CLIENT, and/or to enable the Broker to perform its contractual obligations.
(ii) regulatory authorities situated within or outside the Philippines which disclosure may be necessary
or incidental to
the conduct of business by the Broker, and/or service providers, and/or counterparties;
(iii) such other Recipients now existing and may hereafter exist, for the purpose of servicing the
requirements of the CLIENT and/or to enable the Broker and/or service providers, whether these recipients are located
within or outside the Philippines, to conduct their businesses, perform their contractual obligations, and/or comply with
regulatory requirements (collectively the “Purposes”, and the “Recipients”).

Accordingly, CLIENT hereby gives his/her/their consent and authority to disclose to the Recipients and for the Purposes,
any and all Information pertaining to CLIENT’s existing and transactions with the Broker.“The Data Privacy Act of 2012” and such
amendatory laws, and under other relevant laws, rules, and regulations.

CLIENT also acknowledges that he/she/they is/are aware that he/she/they and his/her/their Contacts are entitled to
certain rights in relation to the Personal Data that may be collected from him/her/them (and by him/her/them from his/her/their
Contacts), including the right to access, correction, and to object to the processing, as well as the right to lodge a complaint before
the National Privacy Commission in case of violation of his/her/their rights and his/her/their Contacts’ rights as data subject. CLIENT
warrants that he/she/they has/have obtained the Consent of his/her/their Contacts for the Processing of their Information for the
above Purposes and disclosure to the Recipients. Furthermore, if CLIENT has any feedback or inquiries relating to his/hers/their/its
Information, CLIENT may send an email to info@philstocks.ph.

CLIENT undertakes to immediately inform the Broker should he/she/they have any updates or changes on his/her/their
Information through the branch of account or call the Philstocks Customer Care Hotline at (02) 588-1900 or email at
info@philstocks.ph. The consent and authority herein given shall apply to such updates and/or changes in the Information.

CLIENT understands that if he/she/they do not promptly provide Information which the company reasonably requested,
or withdraw any consent to Information which the company is required to process, store, update, disclose, or transfer for the above
Purposes and recipients, the company has the option and hereby reserves the right not to pursue its relationship with CLIENT
without any liability to CLIENT nor to any third party.

CLIENT hereby agrees and acknowledges that the above consent shall remain valid, and that the Information will be
retained in the Company’s records upon opening of the Account and until ten (10) years after closing of the Account or last
transaction involving the Account, or termination of my/our relationship with the company in whatever manner, unless such consent
is otherwise revoked in writing, whichever comes earlier. However, if the Account becomes subject of investigation or litigation in
court, or administrative body or regulatory agency, the ten (10) year period shall be reckoned from the date of finality of judgment of
the court or of the administrative or regulatory agency.

CLIENT agrees that the Information will be deleted/destroyed by the company after this period in accordance with
applicable laws and regulations. CLIENT agrees that the company shall not be liable to CLIENT, and that CLIENT shall save the
company free and harmless from, and indemnify and reimburse the company and its Directors, Officers, Shareholders, Employees,
and Representatives for any and liabilities, claims, assessment penalties, costs, and expenses of any kind whatsoever, that may be
imposed and/or incurred by CLIENT relative to, or in connection with the consent and authority to Process, and/or to the disclosure
of such Information including those of the CLIENT’s Contacts, documents, and/or records for the Purposes and to the Recipients and
such other persons and entities in connection with the account, and in connection with any discontinuance of the relationship
between CLIENT and Philstocks regardless of which party initiated such discontinuance.
