This Contract (hereinafter the Contract or this Contract) is entered in to


in______________, on __________, 2021 by and between:

referred to as the ‘’ Master Agent)

And

whose address indicated on “Agent Registration form”, (hereinafter referred to as “Agent''
(each a ''Party' and together the ''Parties”)

Whereas, the Master agent has signed contract (Master Agent contract) with ethio telecom
for the execution of master agent telebirr services

Whereas, up on the consent of ethio telecom, the Master agent is interested to further
assign _______________________ as an agent, and the latter has accepted as part of
telebirr provision chain of the Master agent and committed to engage in the provision of
telebirr service to end users

TERMS AND CONDITIONS

DEFINITIONS

For the purpose of this Contract, the following terms and abbreviations shall have the
meaning herein assigned to them
Account: Means any account operated or managed by ethio telecom and which
belongs to the customer

telebirr Means a Mobile Money service that enables customers to deposit, receive,
transfer and spend money using their mobile phone numbers easily

Agent: Means a person contracted by ethio telecom to facilitate provision of agency


business service in the name and on behalf of ethio telecom in a manner specified in
Use of Agents Directive and other relevant laws

Cash in: Means the process by which a customer exchanges cash for electronic
value. Cash-in transactions usually result in increase in the users’ electronic money
account balance

Cash-out: Means the process by which a user exchanges electronic money for cash
and transactions resulting in a decrease in the users' electronic money account
balance

Electronic money Means: a monetary value represented by a claim on its issuer with
the following attributes (i) issued up on receipt of Ethiopian Birr, (ii) it is accepted as a
means of payment by persons other than the issuer, (iii) it has equal value with other
electronic money issued in Ethiopian Birr, (iv) stored on an electronic device;

Electronic Device: means device including computer, tablet, point of sale, automated
teller machine, TV, Mobile Phone (with mobile network and/or Internet), chip, prepaid
card, credit card, debit card, stored value product/ device, and other similar electronic
device used to undertake electronic money and related financial products and services

Outlet: Shall mean place of business which is established by the Master Agent and/or
its agents or ethio telecom point of sales that serve as point of telebirr business

Person: Means natural or juridical person;

Anti-Money Laundering Rules and Regulations: Means a set of procedures laws


or regulations designed to stop the practice of generating income through illegal action
which is issued by the National Bank of Ethiopia.
Cash Float: Means the cash to be maintained by the Agent at the Outlet for the
provision of the relevant Agent Services

Master-Agent: Is a legal person which has an overarching agreement with ethio


telecom to contract and manage its agents (including outlets) that provide agent
service to customers on behalf of a ethio telecom. The Master- agent enters into
contract with the agents for the provision of agent service on behalf of ethio telecom.

Subscriber: Means a person who has telebirr account or uses telebirr service;

Know Your Customer (KYC): Means a set of due diligence measures undertaken by
a financial institution or a payment instrument issuer, including policies and
procedures, to identify a user and the motivation behind his financial activities.

Transaction (Log) book: Means a written record of transactions performed by the


Agent at each Outlet and against which each customer is required to sign upon
successful completion of a transaction

ARTICLE 1
APPOINTMENT OF AGENT

1.1. The Master-Agent hereby appoints the Agent, and the Agent accepts such
appointment to offer telebirr service to customers for the duration on the terms set
out in this agreement
1.2. The Master Agent contract signed between ethio telecom and the Master Agent
along with its Annexes and Amendments thereto shall be deemed to form and be
read and taken as part of this Contract.
1.3. The Agent shall comply with aIl applicable Iaws, rules, regulations and statutory
requirements existing in Ethiopia from time to time, including aII applicable anti-
money Laundering (''AML'‘) requirements of National Bank of Ethiopia

ARTICLE 2
RIGHTS AND OBLIGATIONS OF THE AGENT

2.1. The agent shall be limited to the provision of telebirr related agent services such
as Opening of telebirr Account for customers, Collection of documents in relation
to account opening, Cash in and cash out service, Over the counter transactions,
Balance queries and any Other activities as may be introduced by ethio telecom
from time to time
2.2. Agent shall use its best endeavors to register new customers for the telebirr
Service
2.3. The agent shall use every effort to make sure applicants have the necessary
awareness with respect to the registration process and initial operation of their
telebirr accounts
2.4. The agent shall keep and secure registration forms filled by subscribers during
telebirr registration
2.5. The Agent shall maintain adequate balance in its telebirr account and cash float to
undertake cash in and cash out transactions

2.6. In undertaking Cash-out transactions, the agent shall ensure that any cash
payments are only made
2.6.1. Upon sufficient sums being available in its cash float,
2.6.2. Upon checking the accuracy and completeness of the relevant confirmation
SMS, and
2.6.3. Upon being satisfied that the recipient of the cash payments is the owner of
the mobile phone by verifying the customer’s ID against the details provided
in the confirmation SMS
2.7. ln the event that there are insufficient sums available in the telebirr float at the
relevant outlet to effect the transaction, the agent must decline to carry out the
transaction and should contact Master-agent under their hierarchy or ethio telecom
2.8. Agent shall handle user transactions against prefunded telebirr accounts and in real
time
2.9. All ethio telecom equipment’s supplied to the Agent by the Master-agent shall remain
the property of ethio telecom and shall be returned during termination of this contract.
2.10. The Agent shall not be entitled to give or assign any rights granted under this
Agreement to any other person
2.11. Agent shall not relocate, transfer or close its agency business service premises
without the 30 days’ prior written notification to the Master Agent
2.12. The agent shall comply with any telebirr related instructions and/or directions that
Master Agent and /or ethio telecom give from time to time
2.13. The Agent shall comply with the territorial boundaries set by ethio telecom
2.14. The Agent shall fulfill and maintain the requirements as defined under Annex 3 of
this contract, for effective and efficient performance of its obligation under this
contract
2.15. The agent shall have dedicated customer care telephone numbers (toll free 894) to
lodge their complaints
2.16. Agent shall undertake proper and fair handling of customers
2.17. The Agent shall ensure that all customer complaints that could be solved at agent
level are resolved within a reasonable time

2.18. The agent shall only engage in the provision of telebirr service only under a single
master agent at a time. The agent shall bound not to shift to other master agents
without good cause and without acquiring clearance from the previous master agents
2.19. The agent shall put the following information in a conspicuous or visible place in its
premises for its customers:
2.19.1. Its certificate of agency
2.19.2. List of agency business facilitated by the agent
2.19.3. Name and logo of ethio telecom
2.19.4. A written notice to the effect that if the electronic system is down, no
transaction shall be carried out
2.19.5. list of fees or charges applicable for each service which are payable to the
financial institution by the customers
2.19.6. The name, telephone numbers and location of ethio telecom’s or Master
agents branch and sub-branch to which the agent reports its activities
2.20. The agent shall acknowledge that National Bank of Ethiopia shall have full and timely
access to the internal systems, documents, reports, records, staff and premises of
the agent in so far as the agency business service is concerned and shall exercise
such powers as it may deem necessary
2.21. The agent shall acknowledge that its employees shall not be treated as employees
of ethio telecom or the Master agent and the rights and duties of such shall be agreed
upon between ethio telecom, the master agent, and the agent
2.22. The agent shall perform telebirr related business minimum within an ordinary
business hour (8AM to 5PM)

ARTICLE 3
ACCOUNT TYPES AND LIMITS

3.1 The agent shall acknowledge an electronic account belonging to an agent shall have
no amount limit for transactions made in relation to users
3.2 Ethio telecom shall set the maximum account balance, aggregate daily transaction limit
and aggregate monthly transaction limit performed by the customers based on level of
their accounts. Accordingly

3.2.1 Level 1 accounts shall be subject to a maximum account balance of


Ethiopian Birr 5,000, an aggregate daily transaction limit of Ethiopian Birr
1,000 and an aggregate monthly transaction limit of Ethiopian Birr 10,000.
3.2.2 Level 2 accounts shall be subject to a maximum account balance of
Ethiopian Birr 20,000, an aggregate daily transaction limit of Ethiopian Birr
5,000 and an aggregate monthly transaction limit of Ethiopian Birr 40, 000.
3.2.3 Level 3 accounts shall be subject to a maximum account balance of
Ethiopian Birr 30,000, an aggregate daily transaction limit of Ethiopian Birr
8,000 and an aggregate monthly transaction limit of Ethiopian Birr 60,000.

ARTICLE 4
RIGHTS AND OBLIGATIONS OF THE MASTER AGENT
Master agent:
4.1 Shall recruit potential agents for the provision of telebirr service
4.2 Shall select potential agents according to the criteria set by ethiotelcom (as listed on
Annex 3) and shall send the list to ethio telecom for verification and validation purpose
4.3 Shall provide appropriate Training and Support to telebirr agents under their hierarchy
4.4 Shall make sure that float management at recruited outlets and agents are maintained
4.5 Shall nurture and maintain relationships with agents under their hierarchy to ensure
retention
4.6 Shall put in place a mechanism to manage, monitor and coordinate agents under their
hierarchy
4.7 Shall ensure that promotion of the telebirr services and branding of the agent premises
are done according to ethio telecom brand guideline
4.8 Shall Terminate its relationship with an agent that fails to comply with this contract or
any other operating conditions specified by ethio telecom and the National Bank of
Ethiopia
4.9 Shall makes sure that product and operational manuals and guidelines developed and
communicated by ethio telecom are effectively implemented by their agents
4.10 Shall provide agents with sufficient trainings, including those related to the know your
customer (KYC) requirements, customer service, anti-money laundering and /or

counter financing terrorism (CFT), confidentiality of customer information, cash


security, record keeping and financial education
4.11 Shall grant promotional materials it gets from ethio telecom in reasonable quantities
necessary for the proper advertising and promotion of telebirr
4.12 Conduct objectively and continuously performance evaluation of its agents as per the
criteria and time set by ethio telecom
4.13 Make sure that the agents perform in good condition to meet performance targets
and handle customers effectively and avoid violations
4.14 Avoid any unjustifiable discrimination among agents under their hierarchy
4.15 Maintain and create the good will and brand image of ethio telecom by promoting and
providing telebirr service

ARTICLE 5
CUSTOMER IDENTIFICATION GUIDELINE

5.1 The agent shall ensure Due Diligence requirements are met during registration and
updating of telebirr customers’ KYC information. The agent shall also ensure that KYC
information is received from subscribers depending on the level of customer accounts
set by ethio telecom:
5.1.1 For Level 1 accounts name, date of birth, residential address, telephone
number, recent photo of the subscriber and the subscriber shall be
introduced by another person who already maintains telebirr account with
Ethio telecom.
5.1.2 For Level 2 accounts name, date of birth, residential address, telephone
number and recent photo and identity card of the subscriber and shall be
captured in the system.
5.1.3 For Level 3 accounts name, date of birth, residential/business address,
telephone number, a photo and identification card of the account holder shall
be captured in the system whichever is appropriate for individuals and
entities

5.2 An agent shall scan and upload customer's Identity to the telebirr system during
customer registration process.
5.3 The agent shall be entitled to accept the following renewed customer ID’s for individuals
telebirr subscription:
• Valid kebele ID
• Valid passport
• Valid tax payer’s ID
• Valid Driver’s license
• Student ID
• Employment ID
5.4 An agent shall decline to perform the transaction and/or subscription of customers if
he/she, based on sufficiency of information provided in the ID, is not satisfied with the
proof of the customer’s identity
5.5 The agent shall ensure the ID is original, readable, comprehensive and shall ensure
that the customers ID is not expired

ARTICLE 6
PROHIBITIONS

The agent shall not:


6.1 Undertake agency business service beyond its designated geographical area.
6.2 Undertake transactions in the absence of system or network connectivity.
6.3 Deny issuance of receipt or advice to users.
6.4 Undertake transactions when issuance of receipt or advice is not possible
6.5 Charge or collect any fees from users directly
6.6 Open regular accounts, grant loans, or carry out any appraisal function for purposes of
opening an account or granting of a loan or any other facility except as may be
permitted by any other written law to which the agent is subject
6.7 Undertake cheque deposit and encashment of cheque.
6.8 Transact in foreign currency.
6.9 Impose separate terms and conditions apart from those provided by ethio telecom.

6.10 Perform against or beyond the agency contract


6.11 Undertake other activities that are prohibited by the National Bank of Ethiopia
6.12 Break down transactions to earn more commission
6.13 Provide customers less money than what is due to them
6.14 Withdraw customer float without their consent
6.15 Falsely register to earn undeserving commissions
6.16 Register without dully filling and signing and not using ID when registering customers
6.17 Incorrectly enter or record customer information
6.18 Charging customers any fee
6.19 Transferring customer funds to personal account.
6.20 Duplicated customer’s registration.
6.21 Accesses customer information available in the system.

ARTICLE 7
FEES AND COMMISSIONS
7.1 The agent shall be entitled to get commission/payments in the agreed as per the
commission structure of ethio telecom (as stated in Annex2)
7.2 Ethio telecom shall have the right to unilaterally change or adjust any or all of the
remuneration to be paid to the agents from time to time. The change made by ethio
telecom will be effective immediately up on giving of notice to the Master Agent. The
Master Agent shall immediately notify the same to the agents

ARTICLE 8
RECORD KEEPING AND REPORTING

8.1 The Agent shall keep proper records in relation to its provision of the telebirr services
and shall ensure that the registration particulars of each customer on the transaction
(Log Book) are promptly sent to its respective Master agents and/or ethio telecom
8.2 All transactions carried out by the agent shall be accounted for and shown in the books
of ethio telecom by the end of the next working day for ethio telecoms safe keeping

ARTICLE 9
CHECKING AND INSPECTION
9.1 Parties to this Contract acknowledged and agreed that ethio telecom shall have the
right to access the premises of master agents and agents and the right to inspect their
outlets, documents and records and any other related documents covering all
transactions relating to the undertakings of this contractual agreement, during ordinary
business hours
9.2 The Master agent shall have the same right to access the premises and any documents
of its agents for checking and inspection, during ordinary business hours

ARTICLE 10
BRANDING, PROMOTIONAL MATERIAL AND
INTELLECTUAL PROPERTY

10.1 Ethio telecom shall provide to master agents and master agents in turn provide the
agents with branding and advertising material but which shall at all times remain the
property of ethio telecom returnable on demand or upon termination of this agreement
10.2 The Agent shall erect, display and use all such branding and promotional materials
in such manner agreed upon by both parties
10.3 The Agent shall promptly notify the Master Agent of any actual, threatened or
suspected infringement or improper or wrongful use of any ethio telecom Trademarks
& Trade names or other intellectual property rights belonging to ethio telecom which
comes to the Agent’s attention or notice

ARTICLE 11
RISK MANAGEMENT

11.1 In the event of any Ioss or theft of any equipment by the Agent or its staff, an
immediate written report or email of such Ioss or theft must be forwarded to Master

agent by the Agent, Master agents shall report same to ethio telecom so that ethio
telecom will freeze or immobilize the effective use of the same
11.2 The Agent shall, for its own protection, keep confidential all personal identification
or security numbers used with the equipment for the provision of the telebirr Services
and ensure that they are not disclosed to any one
11.3 The agent shall promptly report to the master agent and/or ethio telecom any
suspected or confirmed cases of fraud, major security breaches, any material
service interruption or other significant issues

ARTICLE 12
AMENDMENTS

No provision of the Agreement may be amended, modified and/or waived, otherwise than
by the express written Agreement of the Parties

ARTICLE 13
FORCE MAJEURE

13.1 The presence and absence of Force majeure shall be determined by the relevant
laws of Ethiopia. If the Force-majeure continues for more than 3 (three) months, each
Party is entitled to terminate this Contract with a prior notice.
13.2 The non-performing party shall not be liable where non-performance is due to force
majeure

ARTICLE 14
PENALTIES FOR TERRITORY VIOLATION

14.1 Where the agents committed any territory violation and/or any activity which disturb
the market the Master Agent shall have the right to take measures from giving warning
notice up to termination of this contract without prior notice.

14.2 Where the territory violation agent committed is gross violation (based on the
judgment of the Master agent or ethio telecom), the Master agent shall terminate the
present contract without prior notice

ARTICLE 15
TERMINATION

15.1 If either of the parties violate any of its obligations or conditions of this Contract, the
other Party shall be entitled to terminate the Contract herein by giving 30 (thirty) days'
prior notice in writing to the Party in breach, unless the Party in breach shall completely
remedy the violation during that period and satisfy the other Party that such violation has
been remedied
15.2 The Master Agent may unilaterally and unconditionally terminate this Contract,
without giving notice if an agent,
15.2.1 Ceased main commercial activity
15.2.2 Is guilty of a criminal offence involving fraud, dishonesty or other financial
impropriety
15.2.3 Sustain a financial loss or damage to such degree which, in the opinion of
ethio telecom, makes it impossible for the agent to gain its financial
soundness within three months from date of the loss or damage
15.2.4 Is being dissolved or wound up through court or otherwise
15.2.5 Dies or mentally becomes incapacitated, in case of natural person
15.2.6 Relocates or closes its premises without prior written consent of ethio
telecom
15.2.7 Performs any of prohibitions stated under article 6 of this contract
15.2.8 Not compliance with Prevention and Suppression of Money laundering and
terrorist financing proclamation no. 780/2013, Licensing and Authorization
of Payment Instrument Issuers Directive No. ONPS/01/2020 and related
proclamation and directives.

15.3 ethio telecom can order/request at any time the termination of this contract in the
exercise of its powers, duties, and responsibilities.
15.4 Either Party is entitled to unilaterally terminate this contract any time by providing
3(three) months prior written notice to the other Party.
15.5 Upon termination of the contract,
15.5.1 All logos and promotional materials used for the promotion of the agency
business service shall be removed from the premises of the agent
15.5.2 Master agent shall ensure that an agent does not continue with agency
business service when it is affected by any of the provisions of sub-article
15.2 of this article
15.5.3 The Agent shall no longer hold itself out as being an agent of ethio telecom
for the provision of telebirr Services and shall immediately cease providing
telebirr Services
15.5.4 The Agent shall cease forth with to use the Equipment, the Trade names
and Trademarks
15.6 National Bank of Ethiopia can order/request at any time the termination of this
contract in the exercise of its powers, duties, and responsibilities

ARTICLE 16
CONFIDENTIALITY

16.1 Each party undertakes and warrants that it will treat as confidential all information
related to and received from the other party, which it acquires as a result of the
operation of this Agreement
16.2 The agent shall acknowledge that all the information or data collected from
customers, ethio telecom or from other sources in relation to the provision of this
contract is the property of ethio telecom

ARTICLE 17
DISPUTE RESOLUTION
Any dispute arising out of and/or related to this contract shall be settled by the parties
amicably through negotiation. Should parties fail to reach an agreement, both parties
agreed to submit their case before the Competent Federal court

ARTICLE 18
TERM AND RENEWAL OF THE CONTRACT

18.1 This Contract is signed on ______________ and shall remain valid for the duration
of the Master agent contract signed between ethio telecom and the Master Agent
18.2 Unless this contract is terminated, automatic renewal is presumed when the Master
Agent Contract signed between ethio telecom and the Master agent is renewed
18.3 In case the Master Agent contract signed between ethio telecom and the Master
agent is terminated on any ground; the agent may, up on the approval of ethio
telecom, establish agent contract with new Master Agent which substitutes the
terminated Master Agent. In the meantime until the substituting Master agent is
assigned, ethio telecom may facilitate to the agent to undertake telebirr Service

ARTICLE 19
NOTICES

All notices of this contract shall be sent by e-mail, SMS or written letter, by the addresses
defined in the application form and this agreement

• Partial bill payment via agent is not applicable. Bill payment at OTC shall be in full (Total and monthly

▪ Agents will get 5% of the revenue and commission saved from self-service
transactions made by customers under their hierarchy.
▪ Annuity shall be calculated from self-service revenue plus total airtime and ethio
bill commission savings.
Example:
Annuity ▪ 5% of the revenue earned by telebirr from P2P transfer, charge from
organizations (Non agent activities).
▪ 5% of the 11% airtime commission saved by self-recharge (=0.55% of Airtime
value) and
▪ Shall be calculated for transaction made by customers registered on the
system regardless of level.
