Dear Mr. Kogon:

This shall constitute our Letter of Intent for a pre-application meeting for the subject
property comprising the existing Dolphin Station transit site located at 11897 NW 12th Street
and the vacant parcel located approximately at the northwest intersection of NW 14th Street and
NW 118th Place, under folio numbers 30-3936-000-0104 and 30-3936-007-0010, on behalf of
Terra International Services, LLC (the “Applicant”). The subject property is approximately
shown in the below aerial photograph, and consists of approximately 47 acres. The subject
property is owned by Miami-Dade County, and the southern portion of the property is used as a
transit station and associated surface parking. The Applicant was recently selected by Miami-
Dade County for award of a contract to redevelop the subject property.

Pursuant to the development agreement entered into between the Applicant and the
County, the subject property is to be developed with a variety of uses intended to enhance and
support the use of the transit station. A copy of the development agreement is attached for your
convenience. As the agreement provides, the proposed development will consist of number of
uses, including the existing transit station and associated parking, offices, hotel, life sciences, a
school, retail and other commercial uses, and multi-family residential units.

In order to effectuate the development agreement, the County and Terra contemplate that
a new Rapid Transit Zone Subzone encompassing the subject property will be added to the
County's zoning ordinance. We anticipate that an ordinance effectuating that amendment will be
scheduled for first reading before the Board of County Commissioners shortly.

As we have discussed, the County's Rapid Transit Zone ordinance provides that each
subzone will have an overall plan of development approved through a special exception process,
and thereafter individual projects will be approved through the ordinary development process.
For the proposed Dolphin Station Subzone, Terra intends to submit an application requesting a
public hearing for special exception approval for the entirety of the subject property. Terra
further intends to develop the overall subject property in phases, with each phase comprising a
portion of both the northern parcel and the southern parcel. Approval for the specific
development for each phase will be sought through a separate administrative site plan review.
The accompanying overall phasing plan shows the overall development program that will be
requested in the special exception and the rough outline of each of the project phases.

The first phase will comprise the central portion of the northern parcel and the southwest
portion of the southern parcel. The accompanying additional plan documents generally show the
proposed development program for that first phase and the allocation between the northern and
southern parcels. The total development program for the first phase will consist of
approximately 709 residential units and 50,000 gross square feet of retail space, together with
parking to accommodate the proposed and existing uses.

Accordingly, we are requesting a pre-application meeting to discuss the two applications


that will be submitted shortly: the Special Exception request for the entire Dolphin Station
property, and the Administrative Site Plan Review for the first phase site plan.
