Invitation to Tender – Zimbabwe Platinum Mines – Ngezi Concentrator Insurance Spares, Chemicals
and Gas Cylinders Sheds

Zimbabwe Platinum Mines (Private) Limited (Zimplats) is involved in the mining and processing of platinum
group metals at its Ngezi Mine in Ngezi and its Selous Metallurgical Complex (SMC) in Selous.

Subject to the tender guidelines and procedures set out in this Tender Document, you are being invited to
tender for the provision of Ngezi Concentrator Insurance Spares, Chemicals and Gas Cylinders Sheds at
Zimbabwe Platinum Mines.

Please find attached the tender documents. The closing date for submission of tenders to Zimplats is the 14th
May 2021.

Zimplats does not bind itself to accept the lowest or any Tender and reserves the right to award the Tender
wholly or in part.

INTRODUCTION

Enquiries for tender submission are issued with the objective of obtaining firm offers from suppliers
for the services described in the various sections of this document.

Tender opening, adjudication and final selection will be performed by Zimplats utilising Zimplats
procedures. You are encouraged to provide Information for a full range of services; however, your
responses should be limited to those items, which fit your current capacities and capabilities

SECTION 1

CONDITIONS OF TENDER

Tenderers are invited to submit their tenders for the provision of Ngezi Concentrator Insurance
Spares, Chemicals and Gas Cylinders Sheds at Zimbabwe Platinum Mines.

All work and equipment shall comply with all relevant Zimbabwean laws including the Mining
(Management and Safety) Regulations, 1990, Statutory Instrument 109 of 1990.

1.1. GENERAL
i. It is understood, that in submitting an offer, the Tenderer has fully acquainted himself with all
conditions relating to this tender (Enquiry) and that any information, specifications,
performance requirements, commercial conditions, site conditions, etc. have been fully
assessed and accepted unless otherwise notified in writing upon tender submission.
Qualifications, including, but not limited to exclusions, non-conformances or exceptions to the
specification must be clearly stated in the tender document.
ii. Costs incurred in the preparation and submission of the tender will be for the Tenderer’s
account and Zimplats shall in no way be held responsible for any of these costs whether the
tender is successful or not.
iii. Tenders submitted late may not be considered. Acceptance of late tenders will be purely at
the discretion of Zimplats.
iv. Tenders which have been deposited in the incorrect box or delivered to the incorrect address
shall not be considered.
v. Zimplats’ selection of the successful tender will be final and no representations will be
accepted from Tenderers in this respect.
vi. Zimplats will notify the successful Tenderer of the acceptance of his tender. Immediately
thereafter Zimplats shall draft a contract which shall be signed by both the Tenderer and
Zimplats, the contract shall be binding on the parties.

1.2. TENDER INFORMATION REQUIREMENT AND FORMAT


The Tenderer shall include the following information in the tender documents:

i. A detailed pricing schedule;


ii. The Tenderer’s track record of similar projects as well as current reference letters from
current clients;
iii. Tenderers’ ownership and management structure;
iv. The qualifications and Curriculum Vitaes (CVs) of the Tenderers personnel which will be
assigned to provide services for this tender;
v. Details of the Tenderer’s Quality Assurance/Quality Control (QA/QC) standards,
certification, etc.;
vi. The Tenderers banking details and a current reference letter from the tenderers bankers;
vii. Professional Indemnity Insurance provided;
viii. Information regarding Tenderer's Insurers;
ix. Proof of VAT Registration and tax clearance certificates;
x. Authorisation of signatory;
xi. Returned forms to be completed – Section 4.

1.3. PRICE BASIS AND VALIDITY


Rates and prices should be firm, with a validity of three months (90 days) from date of tender submission.
The contract will be executed on a re-measurable cost basis. Progress claims will be based on Zimplats
approved monthly cost summaries and a forecast schedule submitted by the Tenderer. Supporting
documentation for all personnel working on the project is to be provided by the Tenderer.

Progress payments by Zimplats shall be made 30 days after submission of a tax invoice and statement
of account by the Tenderer to the Zimplats prior to the 30th of each month.

1.4. SITE INSPECTION


Site Inspection is a prerequisite.

1.5. PROGRAMME
Tenderers are to submit their proposed project programme indicating key actions with their tender
submission.

1.6. COMMERCIAL TERMS AND CONDITIONS


The commercial terms and conditions relating to this enquiry are contained in the Zimplats General
Conditions Of Contract , Appendix B of this document.
The Zimplats General Conditions of Contract document is one of the documents that will
form part of the agreement between Zimplats and the successful tenderer in relation to the
scope of work hereof. Any agreement between Zimplats and the prospective Contractor
shall only become binding when reduced to writing and signed by both parties.
The Tenderer acknowledges that the inclusion of the General Conditions herein does not
amount to a contract between Zimplats and the Tenderer.
A template of the Special Conditions of Contract has been included under Appendix B of
this document so that the Tenderer is appraised of Zimplats expected terms of the contract
between Zimplats and the successful Tenderer (Available on request).

1.7. IMPORT TAXES AND DUTIES

Import duties and taxes for equipment that will be owned by Zimplats will be for Zimplats
account. The Tenderer shall be responsible for import duties and taxes of equipment that
they own. The application for any duty payment (If applicable) will be facilitated by the
nominated transport/shipping agent.

1.8. NON-RESIDENTS WITHOLDING TAX (FOREIGN TENDERERS)


a. Zimplats shall, as required by the Income Tax Act (Chapter 23:06) as read with the Finance Act
(Chapter 23:04) and the Double Taxation Agreement entered into between Zimbabwe and South Africa,
withhold the relevant non-residents’ withholding tax (currently 5%) on payments due to the winning
tenderer for work undertaken under this Agreement and shall remit the amount so withheld to the
Zimbabwe Revenue Authority.

b. Zimplats shall, where it withholds any withholding tax from the payment due to winning tenderer,
provide the Contractor with a withholding tax certificate"

1.9. SAFETY, HEALTH, ENVIRONMENT AND QUALITY (SHEQ) AND BUSINESS MANAGEMENT
SYSTEMS (BMS) PENALTIES

The successful Tenderer shall be provided with Zimplats’ business management systems
(BMS) policy and the safety, health, environmental or quality (SHEQ) policies and
procedures before commencement of work. Any breach by the Tenderer, it’s employees,
agents and/or sub-contractors, of Zimplats’ BMS and/or any of the Zimplats’ SHEQ policies
and procedures, or any acts or omissions of the Tenderer, its employees, agents and/or
sub-contractors, which result in the following occurrences/incidences due to negligence
shall attract the following penalties for each occurrence/incidence (expressed as a
percentage of the Monthly Certificate Value):
1.9.1 First Aid Case: 0.25% of the average monthly certificate value;
1.9.2 Medical Treatment Case: 0.5% of the average monthly certificate value;
1.9.3 Lost Time Injury: 3% of the average monthly certificate value;
1.9.4 Fatality: 5% of the average monthly certificate value;
Subject to a cap of 5% of the total contract value.
1.9.5 Failure to report an injury will attract a penalty twice the penalty payable for the
particular injury concerned.
Delay Damages
A penalty of 0.5% of the total contract value per each day’s delay (up to a maximum of 5%
of the total contract value, will be levied for failure to meet the project schedule or for delays
in completing the project on time.

1.10. CLOSING DATE
The closing date for this enquiry is 1200 hours on the 15th of May 2021.

The Tender shall be submitted on the enclosed “Form of Tender”. It shall include all supporting
schedules and documentation and it shall be priced and totalled.

No alteration shall be made to the Tender Form or to any other Contract Documents. If any such
alteration is made, or if the Schedules or Lump Sum Prices are not properly completed, or if these
instructions are not fully complied with, the Tender may be rejected.

All spaces in the Tender Form must be completed and handwritten or typed. Alteration to the parts so
completed must be initialled by the person or persons executing the Tender on behalf of the Tenderer.
This initialling must be immediately beside the alterations.

The Tender shall be signed by an authorised Director of the Tenderer’s company, together with a copy
of the relevant resolution of the Board of Directors, duly signed and dated.

The Tenderer shall return the completed document including the Conditions of Contract, Specifications
and Drawings, irrespective of whether he is tendering or not.
Tenderers wishing to withdraw from the tender before the time specified for the receipt of tenders
(whether a tender has been submitted or not) shall notify Zimplats in writing and shall ensure that all the
tender documents are returned to Zimplats prior to this time.

Note:
1. Late Tenders may be rejected.
2. Tenders addressed and sent contrary to the above will not be considered.
3. No Email, Fax or Oral Tenders will be accepted.
4. The onus will be on the Tenderer to ensure that his Tender is correctly marked, addressed and
delivered by hand so as to reach the above address in time.
5. Tenders which have been deposited in the incorrect box or delivered to the incorrect address shall
not be considered.

1.13. DELIVERY TO SITE OF ZIMPLATS EQUIPMENT
The Tenderer will utilise road, freight and clearing agents recommended by Zimplats.

1.14. ADDENDA AND CORRIGENDA


The Tenderer shall carefully examine the Tender Documents (including any other specifications referred
to therein), the Drawings and Commercial Terms and Conditions of Contract and taking note of the order
of precedence, if he notices any ambiguity, discrepancy or error between any of these documents which
he considers may affect the quality of his tender he shall immediately notify Zimplats.
Zimplats may issue addenda or corrigenda in writing to clarify the Tender Documents at any time prior
to the tender submission date. Tenderers shall incorporate any such clarifications into the Tender
Documents.

1.15. EMPLOYMENT OF LOCAL LABOUR AND SUB CONTRACTORS


Tenderers are advised that the creation of job opportunities within Zimbabwe and within the community
in which Zimplats operates is very important to Zimplats. Tenderers are requested to take this into
account when submitting their tenders.

Should the need to sub contract part of the tendered scope arise, the Tenderer is to give precedence to
Zimbabwean companies. The Tenderer shall enter the name and address of each proposed sub-
contractor in Section 4 on the form provided. The schedule shall be signed and returned with the tender.

1.16. INFORMATION TO BE SUBMITTED WITH THE TENDER


• Tenderers shall complete and sign the following sections of the Tender Documents and submit all
supporting information required in the Works Information, Schedules and the document sections listed
below:
i. Form of tender
ii. Tenderer’s Pricing Schedules
iii. Tender documentation
iv. Annexures to tender (enquiry).

• Tenderers are advised that part of the tender evaluation procedure will entail an assessment of the
information provided by Tenderers in the pricing Schedules, which should therefore be comprehensive
and sufficiently detailed to enable comparison of competing tenders.
• Tenders accompanied by significant qualifications, to be indicated in Section 4 (Alterations by
Tenderer), may be rejected unless such qualifications are considered by Zimplats to be warranted.

1.17. ESCALATION
The Tenderer shall provide comprehensive details of any escalation applicable in his tender.

1.18. CONFIDENTIALITY

The whole of the Contract documents and all information provided by Zimplats for the purpose of or in
connection with the Tender shall be dealt with by the Tenderer as confidential to him and not be disclosed
by him otherwise than to his employees, sub-contractors or agents as appropriate for the sole purpose
of the Tender. The Tenderer shall not, except with the prior consent in writing of Zimplats, publish,
advertise announce or disclose or permit to be published, advertised, announced or disclosed any
photograph, drawings or written matter concerning the Tender or the Works nor use or permit the use
of the name of Zimplats in any publication or advertisement. No advertisements shall appear on any
part of the Works. All press representatives shall be referred to Zimplats. Photographs for publication
shall not be made of any part of the Works without the prior written authorisation of Zimplats. Such
authorisation if granted shall be in the form of itemised approvals for each exposure concerned.

SECTION 2
2.0 SCOPE OF WORK/SERVICES
2.1 Scope of work

Construction of:

• Insurance Spares Storage Shed as per the attached drawings


• Chemicals Storage Shed as per the attached drawings
• Gas Cylinders Storage Shed per the attached drawings.

Zimplats will source and free issue the materials required for this construction project. All
contractors will be required to provide a detailed materials BOQ with the relevant technical
specifications and quantities as part of the tender.

2.2 DELIVERABLES

a. Contractor to adhere to Zimplats contractor management requirements in addition to all other


Zimplats BMS rules and procedures
b. Contractor to comply with the Zimplats Covid-19 Code Of Practice and the Ministry of Health
National Guidelines
c. Site establishment, vegetation clearing, demolition works, etc.
d. Foundations: Excavation, backfilling and compaction to founding level, steel fixing, concrete
works and finishing
e. Building/Shed Construction: All mechanical and structural work.
f. Mechanical installation & commissioning of the 20T Overhead Crane
g. Demobilisation and housekeeping
h. Completion of the work with Zero SHEQ incidences

2.2.4 Limits and Exclusions

b. Contractor to have adequate safety gear for example PPE, Harnesses, First Aid Kits, etc.

c. All lifting and other equipment to be inspected and certified for use on entry into the
premises
d. Contractor to supply own Mobile Crane for all lifting equipment on the project
e. Electrical & Instrumentation scope is excluded from this scope

2.3 FAITHFUL ADVISER


The Contractor shall, in all professional matters, act as a faithful adviser to the Principal and, in so far
as any of its duties are discretionary, act fairly between the Principal and third parties.

2.4 SKILL CARE AND DILIGENCE


a. The Contractor shall exercise all reasonable skill, care and diligence in the performance of the
Services and shall carry out all its responsibilities in accordance with recognized professional
standards.
b. The Contractor shall bring in its own personnel to perform its duties and it shall be responsible for
supervising its own employees.
c. The Contractor shall deploy to Zimplats only properly qualified, trained and skilled employees to
undertake any obligations in terms of the tendered scope of works. By deploying any such
employees, the contractor represents and warrants that its personnel are so skilled and qualified.

4.1. ALTERATIONS BY TENDERER

Should the Tenderer desire to make any departures from or Modifications to the Purchase Terms
and Conditions of Contract, Specifications, Schedule of Quantities or Drawings, or to qualify his
tender in any way, he shall set out his proposals clearly hereunder or alternatively state them in a
covering letter attached to his tender and referred to hereunder, failing which the tender will be
deemed to be unqualified.

4.3. RATES FOR PERSONNEL

The Tenderer is referred to the Scope of Work. He shall insert hereunder the required hourly rates for
various designations of employees which he proposes to have on the project and which may be
requested to do additional work etc. Should Zimplats consider any of these rates to be unbalanced he
shall be entitled to negotiate acceptable rates with the Tenderer.

4.4. METHOD STATEMENTS

The Tenderer shall attach method statements required by the Tender Document. A
histogram showing the personnel to be employed on the project and time periods of
employment must also be provided
Tenderers to also list methodology that will be applied in executing the project.

The Tenderer shall include a statement setting out the position of his organisation with
reference to ISO 9000 Quality Assurance.
Accredited firms shall attach copies of their certificate and assessment schedules.

Tender. Qualifications and amendments will be clearly identified and only accepted if inserted

4.8. CONTRACT PROGRAMME
The Tenderer shall submit with his Tender a programme sufficiently detailed to indicate the Tenderer’s
ability to complete the Works within the completion time requested herein. The programme shall be
accompanied by detailed information, which reflects the placing of resources upon which his Tender is
based.
