I, ATTY. REGIDOR A. PONFERRADA, of legal age, Filipino, and with address at 22C
Ayala Tower One and Exchange Plaza, Ayala Triangle, Makati City, after having been duly sworn in
accordance with law, hereby certify that:

1. I am the duly elected and incumbent Corporate Secretary of 777 ACE

ENTERTAINMENT, INC. (the “Corporation”), a corporation duly organized and
existing under and by virtue of the laws of the Republic of the Philippines, with principal
office at the Administration Complex of the Cagayan Economic Zone Authority (CEZA)
Cagayan Special Economic Zone and Freeport, Sta. Ana, Province of Cagayan.

2. At the Special Meeting of the Board of Directors of the Corporation held on

10 October 2014, at which meeting a quorum was present and acting throughout, the
following were unanimously approved and adopted:

“RESOLVED, That the Corporation be, as it is hereby, authorized and

empowered, to lease Unit 4-R, Fourth (4 th) Floor of 2153 Chino Roces
Avenue, Barangay Pio Del Pilar, Makati City;

“RESOLVED, FURTHER, That the Corporation’s Documentation

President, JOJESLYN JOY A. LAZO, be, as she is hereby, authorized and
empowered to sign, execute, deliver, receive, and receipt, for and on behalf of
the Corporation, the appropriate contract/s of lease and other documents
necessary to effect the lease of the above-mentioned office space/s in the
name of the Corporation.”

3. The foregoing resolutions have not been revoked, amended, nor in any manner modified,
and accordingly, the same may be relied upon until written notice to the contrary is issued
by the Corporation.
