Right to Information Act, 2005: Particulars of Organisation, Functions and Duties of the Department of
Disinvestment (Vinivesh Vibhag).

Functions and Duties: In terms of the Government of India (Allocation of Business) Rules, 1961, as
amended from time to time, the Department is entrusted with the following functions and duties:

1. (a) All matters relating to disinvestment of Central Government equity from Central Public
Sector Undertakings.
(b) All matters relating to sale of Central Government equity through offer for sale or private
placement in the erstwhile Central Public Sector Undertakings

Note: All other post disinvestments matters, including those relating to and arising out of the
exercise of Call option by the Strategic Partner in the erstwhile Central Public Sector
Undertakings, shall continue to be handled by the administrative Ministry or Department
concerned, where necessary, in consultation with the Department of Disinvestment.

2. Decisions on the recommendations of the Disinvestment Commission on the modalities of


disinvestment, including restructuring.
3. Implementation of disinvestment decisions, including appointment of advisers, pricing of
shares, and other terms and conditions of disinvestment.
4. Disinvestment Commission. *
5. Central Public Sector Undertakings for purposes of disinvestment of Government equity only.
6. Financial policy in regard to the utilization of the proceeds of disinvestment channelised into
the National Investment Fund.

Organisation: The Department of Disinvestment is one of the Departments under the Ministry of Finance. The
Department has no attached or subordinate office under its administrative control. The organisation chart of
the Department is at Annexure. The office of the Department of Disinvestment is located at Blocks Nos. 11 &
14 of the CGO Complex, Lodhi Road, New Delhi.

Right to Information Act, 2005: Powers and Duties of officers and employees of
the Department of Disinvestment (Vinivesh Vibhag).

Powers and Duties of Officers and Employees: In terms of the Government of India
(Allocation of Business) Rules, 1961, as amended from time to time, the Department is
not entrusted with any statutory functions and duties.

The Officers and Employees of the Department of Disinvestment do not have any
statutory powers. In relation to the performance of the functions allocated under the
Government of India, (Allocation of Business) Rules, 1961, the officers and employees
of the Department of Disinvestment are required to follow the laid down procedures
and obtain approval of the prescribed authorities. In relation to running of the office
including matters relating to personnel administration, the officers and employees of
the Department have the same powers as laid down for other similar Central
Government Ministries / Departments in the relevant rules namely the Fundamental
and Supplementary Rules, the General Financial Rules, the Delegation of Financial
Power Rules etc.

Right to Information Act, 2005: The procedure followed in decision-making


process including channels of supervision and accountability in Department of
Disinvestment (Vinivesh Vibhag).

Procedure followed in Decision-making Process: In relation to the substantive


functions namely those allocated under the Government of India (Allocation of
Business) Rules, 1961, the decision making process is described in the publication
"Disinvestment - Policy, Procedure and Progress" (2nd Edition, February, 2003). The
publication is already placed on the website of the Department of Disinvestment
(www.divest.nic.in and www.divest.gov.in).

Channels for Submission: The Department functions on an officer oriented pattern.


All matters relating to substantive functions of the Department are handled by officers
not below the rank of Under Secretary. The housekeeping functions relating to the
Department however are handled through the conventional system at the Section
level. The channels of submission for disinvestment related matters are as under:

I. When the dealing officer level is Under Secretary:

Dealing Officer (Under Secretary) - Deputy Secretary / Director - Joint Secretary -


Secretary - Minister of Finance.

II. When the dealing officer level is Deputy Secretary / Director:

Dealing Officer (Deputy Secretary / Director) - Joint Secretary - Secretary -


Minister of Finance.

Note: Depending on the nature of the proposal, the cases are finally disposed of at the
competent administrative level and again, depending upon the nature of the proposal,
the cases are also required to be referred to the Internal Finance Wing, submitted to
the Core Group of Secretaries on Disinvestment and to the Cabinet or the concerned
Cabinet Committee.

III. For housekeeping functions

Dealing hand- Section Officer / Administrative Officer - Under Secretary - Deputy


Secretary - Joint Secretary - Secretary - Minister of Finance.

Note: Depending on the nature of the proposal, the cases are finally disposed of at
the competent administrative level and again ,depending upon the nature of the
proposal, the cases are also required to be referred to the Internal Finance Wing.

Accountability: The Budget and functioning of the Department is subject to scrutiny of


the Parliament particularly through the Standing Committee of Parliament on Finance.
The functioning of the Department including decisions taken are subject to audit by the
Comptroller and Auditor General of India.

(Vinivesh Vibhag) for the discharge of its functions.

Records held by the Department of Disinvestment or used by the employees of
Department of Disinvestment for discharging the allocated functions.

Rules, Regulations, Instructions, Manuals etc.: In relation to the substantive


functions namely those allocated under the Government of India (Allocation of
Business) Rules, 1961, the decision making process is described in the publication
"Disinvestment - Policy, Procedure and Progress" (2nd Edition, February, 2003). The
publication is placed on the website of the Department of Disinvestment
(www.divest.nic.in and www.divest.gov.in).

In respect of the housekeeping functions including personnel matters of the


employees, the Department has no specific powers to make rules except in the case
of Recruitment Rules for isolated posts not included in any organised central service.
The Department has made the Recruitment Rules for the posts of Staff Car Driver,
Group D posts. The service conditions including conduct and discipline are governed
by the applicable service rules besides the Fundamental and Supplementary Rules,
which are commonly applicable to Central Government Employees. The Rules
generally used by officers / employees of the Department for the purpose of
discharging the housekeeping and personnel functions are the General Financial
Rules, the Delegation of Financial Power Rules, the Central Civil Services (Conduct)
Rules, the Central Civil Services (Classification, Control and Appeal) Rules, the All
India Services Rules, the General Provident Fund Rules etc.

Right to Information Act, 2005: Statement indicating the categories of


documents that are held by or are under the control of the Department of
Disinvestment.

The categories of documents held by or under the control of the


Department of Disinvestment are as follows:

1. Files relating to various disinvestment transactions, appointment to various


posts of the Department, personal files of employees, court cases and housekeeping
functions.

2. Copies of transactions documents such as Shareholders Agreement(SHA),


Share Purchase Agreement(SPA) etc relating to disinvestment transactions, offer for
sale etc.

3. Business Valuation Reports of Public Sector Companies disinvested through


strategic sale since the year 2000.

4. Asset Valuation Reports of Public Sector Companies disinvested through


strategic sale since the year 2000.

5. Service Books of officers/employees on the rolls of the Department.

6. Pay Bill Registers from the year 2000.

7. Log Books of Staff Cars since the year 2000.

8. Cash Books since the year 2000.

9. Annual Reports of the Department since year 2000-01.

was constituted on 23 August 1996)

formulation of the Department's policy and implementation thereof.

In terms of the Government of India (Allocation of Business) Rules, 1961, as


amended from time to time, the Department is entrusted with the following
functions and duties:

1. (a) All matters relating to disinvestment of Central Government equity


from Central Public Sector Undertakings.
(b) All matters relating to sale of Central Government equity through
offer for sale or private placement in the erstwhile Central Public Sector
Undertakings

At present the Department of Disinvestment has no Board, Council or


Standing Committee. For the purposes of the National Investment Fund,
the Department has constituted, on 25 th January, 2006, a part time Advisory
Board with three part-time members namely (i) Shri S. B. Mathur, former
Chairman, Life Insurance Corporation of India; (ii) Shri B. D. Narang, former
Chairman and Managing Director, Oriental Bank of Commerce; and (iii) Dr.
D. H. Panandiker, President, RPG Foundation and Chairman, International
Life Sciences Institute, India.

In terms of the Government of India (Allocation of Business) Rules,


1961, as amended from time to time, the Department is entrusted with the
following functions and duties:

1. (a) All matters relating to disinvestment of Central Government equity


from Central Public Sector Undertakings.
(b) All matters relating to sale of Central Government equity through
offer for sale or private placement in the erstwhile Central Public Sector
Undertakings

Note: All other post disinvestments matters, including those relating to


and arising out of the exercise of Call option by the Strategic Partner in
the erstwhile Central Public Sector Undertakings, shall continue to be
handled by the administrative Ministry or Department concerned, where
necessary, in consultation with the Department of Disinvestment.

2. Decisions on the recommendations of the Disinvestment Commission on


the modalities of disinvestment, including restructuring.
3. Implementation of disinvestment decisions, including appointment of
advisers, pricing of shares, and other terms and conditions of
disinvestment.
4. Disinvestment Commission. *
5. Central Public Sector Undertakings for purposes of disinvestment of
Government equity only.
6. Financial policy in regard to the utilization of the proceeds of
disinvestment channelised into the National Investment Fund.
