MEMORANDUM OF UNDERSTANDING

This 1s a legal agreement between Joyce M Atrtso and Tim Ray Manchester and here are the
parameters of agreement.

1 Joyce M At,tso hereby agrees to give Tim Ray Manchester the legal rights to control
her funds once It Is released
2 Joyce M Abtso also agrees tor nm Ray Manchester to transfer to himself all Monies paid tor the
release of Joyce M Atttso inheritance
3 Apart from the Monies spent to acquire the rnhentance. nm Ray Manchester agrees never to
withdraw any funds without the permission of Joyce M Atrtso
4 All parties hereby agree that the funds are to be In nm Ray Manchester's name
5 At the conclusion ot the transacbon.once the funds have been received by nm Ray Manchester.
Joyce M At1tso hereby agrees to give nm Ray Manchester's 25% of the total rnhentance funds as
compensation
6 The 25% compensation Is separate from the repayment tor all Monies used ,n the use of
transaction, Tim Ray Manchester will be repaid whatever he has invested to release the
1nhere1tance,yet will also be given 25% of the total sum

The signing of this agreement Is CLEAR and IRREVOCABLE understanding that this agreement was
made by LEGALLY CONSENTING AOOLTS with full UNDERSTANDING of all PARAMETERS of
AGREEMENT
