and to all such other conditions and servitudes which may exist, and in the condition and to the extent such as it

1. MORTGAGE BOND

This agreement, other than the provisions of clause 2.2 and clause 9 both of which shall be of immediate force and
effect, is subject to the suspensive condition that the Purchaser, or the Seller, or JEXCO Properties on behalf of the
Purchaser, is able to raise a loan upon the security of a mortgage bond/s to be registered over the Property for an

that
it
is a

material term of this sale that he signs and submits all documentation necessary to make application for a mortgage bond
in fulfillment hereof. Failure to do so will constitute a breach of contract and shall have the effect of this clause being
fictionally fulfilled. The Purchaser warrants that he is aware and understands the customary requirements of Banks
regarding eligibility for loan finance based on income, credit ratings and other qualifications, and hereby warrants that to
the best of his knowledge and belief he is eligible for a loan in the amount and on the terms and conditions contemplated
in this Agreement. This condition shall be deemed to have been fulfilled upon the Purchaser being issued with a quotation
(as referred to in the National Credit Act 34 of 2005) by a Financial Institution for a loan in the said amount within the time
period specified above. If the loan is not approved through no fault of the Purchaser the sale shall lapse and be of no
force and effect and the deposit paid by the Purchaser shall be refunded to him together with any interest accrued
thereon. The parties agree that this clause has been inserted for the benefit of the Purchaser who may waive the terms
hereof. Burmain Properties declares that the financial institution granting the Purchaser and the entities referred to above
may pay an introductory commission to JEXCO Properties

• The Purchaser acknowledges and understands that the Agent (personally or via bond originators) and /or the Purchaser shall
apply for a bond to all major banks, including but not limited to First National Bank, Standard Bank, Absa Bank, Nedbank and
SA Homeloans. It is being understood by the Parties that this agreement shall only lapse if all of the above named Banks have
respectively declined the Purchaser’s applications for a bond.

• ELECTRICAL CERTIFICATE

The Seller undertakes to obtain from an accredited person an electrical certificate of compliance relating to the
Property and shall attend to the rectification and repair of any faults necessary to ensure everything is in normal
working order in accordance with the provisions of the Occupational Health & Safety Act (Act 85 of 1993) and he
undertakes to deliver it to the Purchaser prior to the date of occupation or on the date of lodgment of the transfer
documents at the Deeds Office, whichever date is the earlier.

1. COMMISSION

The Seller shall pay Agent’s commission to JEXCO Properties in an amount equivalent to 7.5% (plus VAT) of the
purchase price of the Property which commission shall be deemed to be earned on signature of this Agreement,
and should the agreement be subject to a suspensive condition, upon fulfillment of such condition. Commission
shall be payable upon registration of transfer of the Property into the Purchaser’s name. The commission shall
be the first charge against the deposit and/or the proceeds of the sale. Should this Agreement be cancelled by
mutual agreement, the Seller shall be liable for the Estate Agent’s commission. Should the Purchaser and/or
Seller breach this Agreement, then JEXCO Properties shall claim Estate Agent’s commission from the defaulting
party who shall pay it to JEXCO Properties. Money held in trust in respect of the deposit paid shall not be
released to any party whatsoever unless the Estate Agent’s commission is paid or payment is secured to the
satisfaction of JEXCO Properties.

1. TRANSFER

From Transfer, all benefits and risks of ownership in respect of the Property shall pass to the Purchaser.
Transfer of the Property shall be effected by the Seller’s conveyancer within a reasonable time and the
Purchaser and Seller shall do all things required of them by the Seller’s conveyancer as soon as reasonably
possible. All costs incidental to the transfer, including transfer duty (if applicable) shall be payable by the
Purchaser to the Seller’s conveyancer on demand. The Seller by his signature hereto irrevocably authorizes and
instructs the conveyancer to pay to JEXCO Properties the Estate Agent’s commission due to JEXCO Properties
in terms of this agreement, or the balance thereof, out of the proceeds of the sale upon registration of transfer of
the Property, and the Seller hereby irrevocably instructs the conveyancer to furnish JEXCO Properties with a
written undertaking to this effect.

1. OCCUPATION
Occupation of the Property shall be given to the Purchaser at 12h00 noon on

Neither JEXCO Properties nor the Seller’s conveyancer shall be responsible for the collection and/or payment
thereof.

1. FIXTURES AND FITTINGS

The Property includes all existing fixtures and fittings of a permanent nature which the Seller warrants are fully
paid for and are in normal working order and, if applicable, includes existing light fittings, fitted carpets, TV & M-
Net Aerial/s, Satellite Dish, curtain rods and rails, blinds, stove and oven, all geysers, swimming pool equipment,
automatic pool cleaner, remotes to gates, burglar alarm, perimeter electric security fence and all keys to internal
and external doors that are in the Seller’s possession on the occupation date specified in clause 7.

• BREACH
If either party fails to comply with any term of this Agreement, the other party will be entitled to give the defaulting
party written notice by hand delivery and/or registered post to the address furnished in the preamble hereto
and/or by fax to the number provided in this agreement, calling upon the latter to remedy such default and in the
event of the defaulting party failing to comply with such written notice within 7 (seven) days of delivery and/or
posting and/or fax thereof, the other party shall be entitled at their sole option and without prejudice to any other
rights in law —

• To cancel the Agreement of Sale and thereupon —

• Recover such damages as the party may be able to prove he has sustained, in which event any
deposits or payments in terms hereof shall be held in trust pending the determination of such
damages; or

• To retain all monies paid in terms hereof (less Estate Agent’s commission) as and by way of
rouwkoop or as ascertained, agreed or liquidated damages or as a penalty.

• To enforce performance of the terms hereof including payment of the full balance of the purchase price
owing at the date of the party’s breach aforementioned.

• GENERAL

• This Agreement constitutes the sole and entire agreement between the parties and no warranties,
representations, guarantees or other terms and conditions of whatsoever nature not contained or recorded
herein shall be of any force or effect.

• No variation of the terms and conditions of this Agreement or any purported consensual cancellation
thereof shall be of any force or effect unless reduced to writing and signed by the Parties or their duly
authorized representatives.

• The parties warrant to each other that all consents required in terms of the Matrimonial Property Act
No. 88 of 1984 have been duly furnished.

• Neither the Seller nor Burmain Properties warrant the correctness of the advertisements relating to the
Property, nor the square meterage of the stand or the square meterage of the buildings erected thereon.

• The Parties agree to grant consent to JEXCO Properties displaying a sold sign on the Property for a period
of 90 days from date of sale.

• The Parties acknowledge that the Offer to Purchase and its consequences have been explained and
that they are fully aware of all the implications thereof.

• The Seller shall remove all building rubble and other refuse from the property on or before the
occupation date specified in clause 7.

• Any reference to one gender shall include a reference to the other gender where appropriate.
• COMPANY OR CORPORATION

Should the Purchaser be —

i. A Company, Close Corporation, Trust or a Principal represented herein by an agent, the individuals signing this
offer on

behalf of the Purchaser hereby irrevocably interposes and binds themselves as surety for, and co-principal debtor
with the

Purchaser for the due and proper discharge of all the Purchaser’s obligations arising from this Agreement,

and further

hereby undertakes to sign all documents of suretyship, co-principal debtorship, or other documents which may be
required

by any mortgagee/s contemplated in this Agreement in order to ensure the fulfillment of all conditions, if any
to which this Agreement may be subject.

• A Person in his capacity as trustee for a Company or Close Corporation to be formed, such person in his
personal capacity shall be personally liable as Purchaser under this Agreement unless the Company or Close
Corporation is

formed and fully adopts and ratifies the terms of this Agreement within 30 (thirty) days of acceptance by
the Seller and shall —

• until the proposed Company or Close Corporation is formed and fully adopts and ratifies this
Agreement, be and have the rights and obligations of the Purchaser hereunder; and

• bind himself (and by his signature hereto does so) as surety for the co-principal debtor in solidum,
jointly and severally, with such Company or Close Corporation in favor of the Seller for all the
obligations of such Company or Close Corporation arising herefrom; and

• sign all documents of suretyship, co-principal debtorship, or any other such document of
indebtedness as may be required by any mortgagee/s contemplated in this Agreement.
