MEMORANDUM OF AGREEMENT

Ateneo Lex LM Drive 21’: Into A New ReaLM

Ateneo Lex and Kynd Studios

This Agreement is made and entered into by and between the Ateneo Lex, herein referred to as “Lex”, and
Kynd Studios, herein referred to as “CO-PRESENTER”. In consideration of the premises and mutual
promises set forth herein, the parties, intending to be legally bound, hereby agree as follows:

1. Project. Lex will hold an online event for LM Drive 21’, from August 23 to 25, 2021.

2. Responsibilities of Lex. Lex will:

a. Ensure that this Memorandum of Agreement (MOA) is sanctioned by the Loyola Schools –
Office of Student Activities (LS-OSA).
b. Coordinate with and inform Kynd Studios with regard to any changes or modifications to
format, content or presentation that Lex may make with respect to the event.
c. Provide
i. Company Logo Inclusion in all promotional materials.
ii. Posting of Kynd Studios’ advertising materials on the official Ateneo Lex
Facebook Page (6.3k likes) and Instagram Account (1.2k followers). [Maximum of
3 postings]
iii. Option to have members of the Ateneo Lex post Kynd Studios’ promotional
collaterals on their personal Facebook accounts and/or Instagram stories.
iv. Option to post Kynd Studios’ collaterals during the event (Maximum 2 posts for 2
days).
v. Acknowledgement by the host as co-presenter during the online event.
vi. Present 30-second video advertisement during the program.
vii. Option to have a segment in the program [e.g, games, product demonstration] for 5
minutes.
viii. Option to have a program segment named after Kynd Studios.
ix. Option to have members of the Ateneo Lex follow Kynd Studios' official
Instagram account (Maximum of 33 accounts).
x. Inclusion of company logo in the sponsor’s album of the Ateneo Lex
xi. Provide event documentation.

3. Responsibilities of the Kynd Studios.Kynd Studios will:

a. Sign this Memorandum of Agreement (MOA)
b. Provide the company logo.
a. Provide 50 e-vouchers of 100Php Off with a min. spend of P1000
c. Answer the Evaluation Form, which will be sent after the project.

4. Promotional Limitation
a. Except as expressly provided herein, neither Kynd Studios nor Lex shall have the right to use
in any way, the corporate or trade name, trademark(s), service mark(s), logo(s), or any other
identification of the other party after the event subject of this MOA without their written
consent.
 b. Kynd Studios hereby grants Lex a royalty-free, non-exclusive license to use and display its
trademarks associated with its products in all of Lex’s marketing and promotional material.
Such use shall be limited solely to the duration of the advertising and promotional activity
before and during the event. Kynd Studios and Lex acknowledge that the provisions of this
paragraph do not convey any right, title or ownership interest in the trademark.

5. Term and Termination. This Agreement shall be effective from the date of the signing of the
Partnership Agreement through the end of the period of the said project.

6. Termination Due to Default. Lex, by written notice, may terminate this Agreement in whole or in part
for failure of Kynd Studios to comply with its obligations stipulated in 3 above. In such an event, Kynd
Studios shall be liable for monetary equivalent of all its obligations stipulated in 3 above, including all
expenses incurred for procuring similar and/or equivalent equipment, materials, supplies or services. In
addition, Lex has the right to remove Kynd Studios’ name, trademark and logo from any promotional
materials as well as Kynd Studios’ merchandise and products from the event in cases where Kynd
Studios fails to comply with its obligations stipulated in 3 above.

7. Force Majeure. No party shall be responsible for events beyond its reasonable control, such as acts of
God, weather delays, or other fortuitous events. If the event/s is postponed due to inclement weather or
other conditions beyond Lex’s control, it may be rescheduled during the current school year. In such
cases, Kynd Studios shall be entitled to, and Lex agrees to give Kynd Studios, all of the advertising
and sponsorship rights set forth herein at no additional charge.

8. Entire Agreement. This Agreement contains the entire understanding between the parties hereto
relating to the subject matter contained herein and supersedes any and all prior agreements,
arrangement, communication, or representations, whether oral or written. This Agreement may not be
amended, altered, modified or changed except by a writing signed by both parties hereto.
