MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement executed by and between:

The Alliance In Motion Global Inc, a corporation duly organized, registered and
existing under and by virtue of the laws of the Republic of the Philippines, with
office address at Alliance In Motion Global Inc. Unit 301, 319, 320 AIC Burgundy
Empire Tower Cor. Garnet & Sapphire Streets Ortigas Center, Pasig City,
Philippines 1600, represented by its President, __________________, herein
referred to as “FIRST PARTY”;
-and-

ERIC CHUI, married, of legal age, Filipino, and a resident of


_____________________________________herein referred to as “SECOND
PARTY”

WITNESSETH: That,

 
WHEREAS, the FIRST PARTY is the owner of THE LEASED PREMISES, a
_______________property situated at ______________________________;

WHEREAS, in connection to the first ___________ agreement, the FIRST PARTY agrees


to lease-out the property to the SECOND PROPERTY and the LESSEE is willing to lease the
same;

WHEREAS, with hundreds of Filipinos infected, tens of deaths, and many more in
danger of infection, the Philippines is affected by COVID-19 which was declared by the World
Health Organization as a pandemic on 11 March 2020;

WHEREAS, President Rodrigo Roa Duterte, through Proclamation No. 922 dated 8
March 2020, declared a State of Public Health Emergency throughout the entire country. Republic Act
(RA) No. 11469 or the “Bayanihan to Heal as One Act” was then enacted to grant the President
additional powers to adopt temporary emergency measures to respond to the crisis. Recognizing that
there are many tenants living from paycheck to paycheck and that jobs and operations are disrupted as
a consequence of the community quarantine, one of the economic reliefs provided is the concession of
residential and commercial rental fees.

WHEREAS, the FIRST PARTY waived five (5) monthly rentals for construction and repair
periods;

WHEREAS, the FIRST PARTY waived all the penalties incurred for late payments and
issuance of bounced checks of the SECOND PARTY.

WHEREAS, the FIRST PARTY suspended the escalation of payment for two years,
covering the period of June 18, 2019 to June 18, 2021.
WHEREAS, the first party adjusted the payment terms from _____________________
to __________________;
 
WHEREAS, the SECOND PARTY failed to pay ________, sum of all the
__________________ despite several demands by the First Party; and

NOW THEREFORE, for and in consideration of the foregoing premises, the parties
hereby agree as follows: 

TERMS AND CONDITIONS

1. PROMISE TO PAY. In full settlement of the outstanding balance of


____________________, the SECOND PARTY shall pay the amount of ____________ until
________________. In addition, the SECOND PARTY hereby undertakes to pay its current
dues on time;

2. WAIVER AND FREE RENT. Upon payment of the outstanding balance of


_______________, the FIRST PARTY hereby waives to collect the sum of SIX HUNDRED SIXTY
SEVEN THOUSAND SIX HUNDRED TWENTY EIGHT AND SIXTY FOUR CENTAVOS (PHP
667,628.64) , aggregate amount of rent for three (3) monthly rental as follows:

3. MODE OF PAYMENT: Subject to the terms of the Agreement, the SECOND PARTY
shall make all payments on or before ______________ through CHECK in the name of
_________________________;

4. DEFAULT PAYMENT: In case of default by the SECOND PARTY in the payment of the
outstanding balance, such as when the checks are dishonored, the FIRST PARTY at its option
may terminate this contract and eject the SECOND PARTY. The FIRST PARTY has the right to
padlock the premises when the SECOND PARTY is in default of payment for _____________
and may forfeit whatever rental deposit or advances have been given by the second party.

5. JUDICIAL RELIEF: Should any one of the parties herein be compelled to seek judicial
relief against the other, the losing party shall pay an amount of One Hundred (100) % of the
amount clamed in the complaint as attorney's fees which shall in no case be less than

P50,000.00 pesos in addition to other cost and damages which the said party may be entitled
to under the law.

6. This MEMORANDUM OF AGREEMENT shall be valid and binding between the parties,
their successors-in-interest and assigns.

Known to me and to me known to be the same person(s) who executed the foregoing
instrument and who acknowledged to me that the same is their free and voluntary act and
deed, and that of the institutions respectively represented.

The foregoing instrument refers to a Memorandum of Agreement (MOA) consisting of seven


(7) pages, including the page in which this Acknowledgement is written, signed by the parties,
including their instrumental witnesses on each and every page thereof and sealed with my
notarial seal.
