ARTICLES OF INCORPORATION OF
FEDERATION/CONFEDERATION OF

KNOW ALL MEN BY THESE PRESENTS:

That the Homeowner Associations herein stated, through their authorized representatives, have this
day voluntarily federate/confederate for the purpose of forming a non-stock, non- profit association,
under the laws of the Republic of the Philippines, particularly R. A. No. 9904 otherwise known as
“Magna Carta for Homeowners and Homeowners Associations”.

AND HEREBY CERTIFY:

FIRST: That the name of the said FEDERATION/CONFEDERATION shall be

The Federation is composed of duly registered homeowners associations.

SECOND: THE PRIMARY PURPOSE is to serve as an umbrella organization of two or more


homeowners’ associations for the purpose of promoting the general welfare and to encourage the
fullest advantage of unified action towards the betterment of the economic, social, physical, moral,
and cultural conditions of the community.

To achieve the main purpose of mutuality, reciprocity and unity of the federation/confederation of the
member homeowners’ associations, the federation adopts the following objectives:

1. To promote mutual respect, understanding, acceptance, and recognition in policy and


practices among the different member associations/federations;

2. To promote mutual coordination and cooperation among the member


associations/federations;

3. To encourage mutual collaborations, linkages and joint actions in matters of common interest
and advocacies within the federation/confederation;

4. To promote mutual sharing of resources among the member


associations/federations;

5. To give assistance to any community, body and organizations as and when requested;

6. To take action on any community affairs as and when deemed necessary;

7. To correspond and collaborate with international, national, and regional
federation/confederation bodies, especially in areas of common concern;

8. To promote mutual fellowship and dialogue with the officers of other federations and
confederations ;

9. To establish amicable relationship with the national and local government, and to act in
accord with the applicable laws, practice, tradition, rules and regulations of the member
associations/federations together with and on their behalf in matters of community concerns;
and,

10. In general, to carry on any activity and to have and exercise all of the powers expressly
conferred by the Corporation Law and other laws of the Republic of the Philippines or
reasonably necessary or proper for or incidental to the realization of the purposes of the
federation/confederation.

Board of Directors may from time to time determine or the operations and activities of the
Federation/Confederation may require.

FOURTH: That the Federation/Confederation shall be maintained by the fees, dues, contributions
and assessments paid by the constituent homeowners associations/federations and/or donations
from private persons, partnerships, corporations and other entities.

FIFTH: That the term for which said Federation/Confederation is to exist is FIFTY (50) years
from and after the date of incorporation and may be extended for another fifty (50) years;

SIXTH: That the name of the homeowners associations and its representative, address and
residences of the incorporators of the federation/confederation are as follows:

Shall not be less than five (5) nor more than fifteen (15) directors or trustees pursuant to Section 17 [f], Rule
4 of the IRR of RA 9904.

Treasurer of the federation/confederation to act as such until his/her successor is duly elected and
qualified in accordance with the by-laws; and that as such Treasurer, he/she has been authorizes to
receive all fees, contributions or endowments given to, received by and appertaining to the said
federation/confederation.

TENTH: That the Federation/Confederation shall comply with the requirements of non- stock
corporation in the course of its operation.
