Articles of Incorporation (Reivised)

We, all of legal age, Filipinos citizens, and all of whom are residents of the
Philippines, have this day voluntarily associated together for the purpose of forming a
corporation under the laws of the Philippines:
SECOND: That the purpose or purposes for which such corporation is incorporated are:
1. To deal and engage land or real estate business, to hold, develop, manage
administer, sell, convey, purchase, acquire, rent, or otherwise deal in and dispose of, for
profit and advantage, it involves the purchase of raw land, rezoning, construction and
renovation of buildings, or any residential types such as; single-family homes,
apartments, condominiums, townhouses, and other types of living arrangements,
improve or unimproved, under such terms and conditions as may be permitted by law;
2. To acquire purchase, hold, manage, develop, and sell subdivision lots, with or
without building or improvements, for such consideration and in such manner or form as
the Corporation may determine or as the law permits; to erect, to construct, manage,
operate, lease, in whole or in part, buildings.
3. To acquire by purchase, lease, donation or otherwise and to own, use, improve,
develop, subdivide, sell, mortgage, exchange, lease, develop and hold for investment or
otherwise, real estate of all kinds, and to construct, improve, manage or otherwise
dispose of buildings, condominiums, and other structures of whatever kind, and, to
perform all and everything necessary and proper for the attainment of or in furtherance
of this purpose.
4. To borrow money, to make and issue notes, and other evidences of indebtedness of
all kinds and to secure the same by mortgage, pledge or otherwise, in amounts as the
business of the Corporation may acquire.
THIRD: That the principal office of the corporation is located is in Cayetano Avenue,
Taguig City of Metro Manila, Philippines ;
FOURTH: That the corporation shall have perpetual existence or a term of fifty (50)
years from the date of issuance of the certificate of incorporation;
FIFTH: That the names, nationalities, and residence addresses of the incorporators of
the corporation are as follows:

SIXTH: That the number of directors or trustees of the corporation shall be four (4); and
the names, nationalities, and residence addresses of the first directors or trustees of the
corporation are as follows:

SEVENTH: That the authorized share capital stock of the corporation is EIGHT
BILLION PESOS (₱8,000,000,000), divided into SIXTEEN MILLION PESOS
(₱16,000,000) shares with the par value of FIVE HUNDRED PESOS (₱ 500) per share.
EIGHT: That the amount of capital stock which has been actually subscribed shares is
TWO BILLION PESOS (₱2,000,000,000)
NINTH: That Karel May Garcia has been elected by the subscribers as the Treasurer
of the corporation to act as such until after the successor is duly elected and qualified in
accordance by the bylaws, that the Treasurer, authority has been given to receive the
name and for the benefit of the corporation, all subscriptions, contributions or donations
paid or given by subscribers , who certifies the information set forth in the seventh and
eight clauses above, and the paid portion of the subscription in cash and/ or property for
the benefit and credit of the corporations has been duly rely.
TENTH: That the incorporators undertake to change the name of the corporation
immediately upon receipt of notice from Commission that another corporation,
partnership, or person has acquired a prior right to the use such name, that the name
has been declared not distinguishable from a name already registered or reserved for
the use of another corporation, or that it is contrary to law, public morals, good customs
or public policy.
“No transfer of stock or interest which shall reduce the ownership of Filipino citizens to
less than the required percentage of capital stock as provided by existing laws shall be
allowed or permitted to be recorded in the proper books of the corporation, and this
restriction shall be indicated in all stock certificates issued by the corporations.”

affiants exhibited to me their respective competent evidence of identity describe below:

TREASURER’S AFFIDAVIT
I, Karel May C. Garcia, of legal age, after having been duly sworn in accordance with law,
hereby depose and state that:
That I have been elected by the subscribers of Lagentic Land, Inc. as Treasurer
thereof, to act as such until my successor has been duly elected and qualified in
accordance with the by-laws of the corporation, and that as such Treasurer, I hereby
certify under oath that at least twenty-five (25%) percent of the authorized capital stock
has been subscribed and at least twenty-five (25%) percent of the subscription has
been paid and received by me in cash for the benefit and credit of the corporation.
This is also to authorize the Securities and Exchange Commission (SEC) and Bangko
Sentral ng Pilipinas (BSP) to examine and verify the deposit in the Metrobank, Taguig
City branch in my name as Treasurer-in-Trust for Lagentic Land, Inc.. in the
amount of FIVE HUNDRED MILLION PESOS (P500,000,000) representing the paid-up
capital of the said corporation which is in the process of incorporation. This authority is
valid and inspection of said deposit may be made even after the issuance of the
Certificate of Incorporation to the corporation. Should the deposit be transferred to
another bank prior to or after incorporation, this will also serve as authority to examine
the pertinent books and records of accounts of the corporation as well as supporting
papers to determine the utilization and disbursement of the said paid-up capital.
