WHEREAS, RODOLFO S. CUENCA, Jr. is the absolute and registered owner of three
parcels of land in Lipa City with total land areas of three thousand three hundred fifty two
(3,352) square meters covered by Transfer Certificate of Title No. T-109619; nineteen
thousand six hundred forty (19,640) square meters covered by Transfer Certificate of
Title No. T-105966; and twenty one thousand three hundred ninety five (21,395) sq.m.,
covered by TCT No. T-105637; all three are of the Registry of Lipa City copies of which
titles are hereto attached as Annex "B-1", "B-2", and "B-3" respectively and made
integral parts hereof;

WHEREAS, CRISTINA VENTURES CORPORATION is the absolute and registered

owner of a parcel of land with a total area of forty two thousand seven hundred forty
seven square meters (42,747) covered by TCT No T-106276 of the Registry of Lipa City
copy of which title is hereto attached as Annex "CVC 4' and made an integral part hereof;

WHEREAS, DOMINGO I. TINIO is the absolute and registered owner of a parcel of

land in Lipa City, with a total area of eighteen thousand five hundred thirty four (18,534)
square meters covered by TCT No. T-108257, of the Registry of Lipa City, a copy of
which title is hereto attached as Annex "C-1" and made an integral part hereof;

WHEREAS, GABRIEL I. TINIO is the absolute and registered owner of a parcel of

land in Lipa City with a total land area of thirty seven thousand two hundred sixty nine
(37,269) square meters covered by TCT No. T-108256 of the Registry of Lipa City, copy
of which title is hereto attached as Annex "D-1" and'made an integral part hereof;

WHEREAS, MANIJEL I. TINIO is the absolute and registered owner of two parcels of
land with a total area of one thousand seven hundred seventy seven (1,777) square meters
covered by TCT No. T-106457 and another with a total area of twenty eight thousand
three hundred seventy (28,370) sq.m. covered by TCT No T-111942 both of the Registry
of Lipa and copies of which titles are hereto attached as Annex "E" and "E-1".and made
integral parts hereof;

WHEREAS all the collective total area of the above parcels equal two hundred seventy
three thousand nine hundred twenty six (273,926) square meters, hereinafter referred to
as "the PROPERTIES". SELLERS warrant that the "PROPERTIES" are free and clear
from any and all liens or encumbrances.

WHEREAS, BUYER has offered to buy and SELLERS are willing to sell to BUYER, the
above "PROPERTIES" collectively under the following terms and conditions:

PRICE — The purchase price is TWENTY SEVEN MILLION THREE HUNDRED

NINETY TWO THOUSAND SIX HUNDRED PESOS (P27,392,600.00) Philippine
