I/We was/were until recently in possession of the above mentioned Term

Deposit Receipt/s issued by you in my/our favour.

2. I/We regret to inform you that the abovementioned Deposit

Receipt/s has/have been either lost or misplaced and cannot be traced inspite
of my/our having made a due and diligent search for the same.

I/Weassureyouthatl/wehavenotcreatedanyrightorinterestinthesaidRece
ipt/s or in the debt represented by it in favour of any person whomsoever.

4. I/We have requested you-

a) To issue a duplicate Term Deposit Receipt/s in lieu of the
aforesaid Receipt/s which has/have been lost; and
b) To grant me/us an advance of Rs.______________ against the said
Receipt/s.

5. You have agreed to accede to my/our above request on the faith and
strength of my/our above representations and assurances and on giving you the
indemnities, undertakings, and authorities as hereinafter appearing.

6. In consideration of the premises, I so as to bind myself and my

heirs, executors, administrators, estates and effects/we so as to bind
ourselves jointly and severally and our heirs, executors, administrators,
estates and effects jointly and severally hereby agree and undertake with you
and your successors and assigns as under:-

i) To keep you safe and indemnified from time to time and at all
times from and against all claims, demands, actions,
proceedings, loss, damages, liability costs (legal costs
being between Attorney/Advocate and clients), charges and
expenses whatsoever, which may be mad6-or brought or
commenced against you or be paid, sustained, suffered or
incurred by you howsoever as consequence direct or indirect
of your issuing to me/us duplicate Term Deposit Receipt/s and
granting the advance as aforesaid;

ii)To pay to you and make good on demand by you the amount of
such loss, damage, liability, costs (legal costs being
between Attorney/Advocate and clients), charges and expenses
together with the interest at % p.a. from the date of payment
by you until reimbursement by me/us.

 iii) To return to you the original Term Deposit Receipt/s as
aforesaid should the same be found by me or us or should
again come into my/our possession at any time hereafter;

iv) Without prejudice to the right of lien and set-off conferred

on you as a banker by law you shall have a right to set-off
any amount payable by me/us to you hereunder against the
amount standing to the credit of my/our said Term Deposit
Receipt/s or any other account with you in any Branch of
your Bank.

7. In further consideration of the premises, I so as to bind myself

and my heirs, executors, administrators, estates and effects/we so as to bind
ourselves, jointly and severally and our heirs, executors, administrators,
estates and effects jointly and severally hereby irrevocably give you and
authorise you and your successors and assigns:-

i) to retain with you the duplicate Term Deposit Receipt No and

No of your Bank for Rs and Rs in lieu of the original
Receipt/s lost (hereinafter referred to as "the said
Receipt/s").handed over to you duly discharged by me/us and
to hold the same as a security for the outstanding balance
under the said advance with you with power to utilise the
proceeds thereof or any other Term Deposit Receipts issued in
renewal thereof, for adjustment against the said advance with
you or for recovering any amount from me/us under clause 6
hereinabove;

ii) if on a demand from you at any time I/we fail to pay the full
amount due from me/us to you under the said advance or any
amount due from me/us under the foregoing clause 6:-
a) To set-off and appropriate the amount of the said
Receipt/s or of any renewal Receipt/s plus interest
thereon towards the recovery of such amount/s due to you
from me/us;
b) To withdraw the amount of the said Receipt/s or any
renewal Receipt/s without interest or with such interest
that the Bank may pay even before the due date thereof
towards the recovery of such amount/s due from me/us to
you.
iii) to withhold the amount of the said Receipt/s or any renewed
Receipt/s with the accrued interest thereon even after its
due date for such time as you may deem fit in case my/our
liability to the Bank hereunder is likely to arise after the
said due date, and your opinion as to whether such liability
is likely to arise after the said due date shall be final and
binding on me/us.
