JOINT SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

WE, the undersigned HEIRS OF ROGELIO S.P. LEONARDO, namely:

EUSEBIA C. LEONARDO (surviving spouse of the deceased Rogelio S.P. Leonardo),

Filipino, of legal age, widow, a resident of Sto. Cristo,
Angat, Bulacan;

LUCILA LEONARDO VALENCIA (daughter of the deceased Rogelio S.P.

Leonardo), Filipino, of legal age, married, a resident of Sto.
Cristo, Angat, Bulacan;

MA. VICTORIA C. LEONARDO (daughter of the deceased Rogelio S.P. Leonardo),

Filipino, of legal age, single, a resident of Sto. Cristo, Angat,
Bulacan;

MARCELIA LEONARDO AOYAMA (daughter of the deceased Rogelio S.P.

Leonardo), Filipino, of legal age, married, a resident of Sto.
Cristo, Angat, Bulacan;

DO HEREBY NAME, CONSTITUTE AND APPOINT TEOFILO C. LEONARDO AND

LUCILA LEONARDO VALENCIA (legitimate children of above-named Eusebia C. Leonardo
with the deceased Rogelio S.P. Leonardo; and the legitimate brother/sister of above-named Ma.
Victoria C. Leonardo and Marcelia Leonardo Aoyama), a Filipinos, of legal ages, both married
and residents of Brgy. Sto. Cristo, Angat, Bulacan, to act as our Attorneys-In-Fact, for us and in
our names, place and stead, to do and perform the following acts and things in connection with
the Application for MINERAL PRODUCTION SHARING AGREEMENT (MPSA) that was
filed by our predecessor-In-Interest, the deceased ROGELIO S.P. LEONARDO before the
DENR, to wit:

1. To make representations with the DENR and all agencies attached thereto
including all government offices and instrumentalities for the purpose of making
the necessary follow-up, revival of application, substitution of the person of the
applicant and all matters necessary to be done in order to perpetuate, revive,
restore or substitute the subject Application for MPSA denominated as MPSA
Application No. MPSA-P-III-120 (APSA0000122 III); and for this purpose, our
said Attorneys.-In-Fact are hereby authorized to engage the legal services of
ATTY. LUCAS C. CARPIO, JR. of the CARPIO & CARPIO LAW OFFICES
(formerly Carpio & Bello Law Offices) to work for the approval of our
predecessor’s MPSA application and in the event of approval, for said law office to
devise all measures in order to protect and preserve our rights and interest in
subject MPSA; and to sign/execute the corresponding contract or agreement under
such terms and conditions which our said Attorneys-In-Fact may deem just, proper
and equitable in their sound discretion;

2. To negotiate, transact with and/or enter into any contracts, agreements or joint
ventures with any other person or entity be it natural or juridical and under such
terms and conditions as our said Attorneys-In-Fact may deem fit, equitable and
proper in order to protect and preserve our rights and interest as successors-in-
interest of the deceased ROGELIO S.P. LEONARDO in said MPSA and over the
properties subject of said MPSA Application; and to make representations with the
LGUs concerned and work for the needed permits/licenses, if necessary, in order to
effectuate and perpetuate the operation of said MPSA as soon as same is granted;

 3. To execute and sign the corresponding deeds, contracts, agreements or other
instruments including all documents or papers pertaining to and in connection with
the said agreements, and/or transactions entered into by our said Attorneys-in-Fact
involving said MPSA and the properties subject of said application;

4. To pay, receive and accept all kinds of payments and/or proceeds in connection
with the contract/s and agreement/s referred to above and to issue/accept the
corresponding receipts of payment/s;

5. To open a joint bank account in our names with authority to withdraw of deposits
intended for the satisfaction and perfection of all the contracts and transactions
adverted to above;

6. To initiate, bring and prosecute all suits or causes of action in the Courts of justice
or in any quasi-judicial and/or administrative bodies, against any and/or all third
parties in order to carry-out or enforce any and all of the powers herein granted;

7. To revoke and cancel all powers or authority that we conferred to any person or
entity by means of Special Powers of Attorney, Deeds of Assignment and/or
Memoranda of Agreements executed previously by all of us and/or by some of us;
and further, to consider as a revoked all SPAs, Deeds and Agreements previously
executed by all of us and/or by some of us at our said Attorneys-In-Fact’s sound
discretion.

HEREBY GRANTING AND GIVING unto our said Attorneys-In-Fact full power and
authority to do and perform all and every act or thing whatsoever necessary or incidental to be
done in and about the premises, as fully to all intent and purposes as we might or could lawfully
do if personally present with full power of substitution or revocation, and hereby ratifying and
confirming all that our Attorneys-In-Fact shall lawfully do or cause to be done by virtue hereof.
