This Copyright Assignment Agreement (this ³Agreement´), dated February 23,
2011, is between Marjorie Money (the ³Author´), and Dollars and Sense, LLC (the
³Assignee´).

WHEREAS, the parties wish to enter into this Agreement for the Author to assign
her copyrighted work over to the Assignee for certain considerations.

The parties agree as follows:

1. The ³Work´ for purposes of this agreement is described as:

An unpublished screenplay titled, ³Dollars and Sense´ (the ³Work´). The

Work has a Certificate of Registration No Pau 4-445566 registered with the
Copyright Office.

 

2. The Author hereby assigns to Assignee all right, title, and interest to the Work
and all proprietary rights, including all copyrights.



 



3. The Authorrepresents and warrants that:

3.1 The Work does infringe any valid copyright of any other person.

3.2 That the Author has the power to convey all rights granted and assigned in this
Agreement.

3.3 That the Work contains no libelous, defamatory or other unlawful material.

3.4 The Work is not in the public domain, and the Author will obtain permissions for
the use of the Work, and provide copies of such Permissions to the Assignee
before the work is published.

3.5 The Authorhas full power and authority to enter into this Agreement. Assignor
agrees to defend, indemnify, and hold harmless Assignee, for any claims, suits or
proceedings alleging a breach of these warranties.

3.6 The Author will not, without written consent of the Assignee, publish any abridged
or other version of the Work, any derivative work, or any work of similar character
tending to interfere with the sales of the Work covered by this Agreement. Such
consent will not be unreasonably withheld.

4. In consideration of the foregoing, Assignee agrees to pay Assignor fifty percent

of the net profits derived from the Film that is produced from this Work.

4.1 Assignee also agrees to credit the Author as writer of the screenplay.

5. This Agreement and its attachments, if any, incorporated herein, constitute the
entire understanding between the parties with respect to the subject matter
hereof, supersedes any and all prior understandings and agreements, oral and
written, relating hereto, and may be amended at any time only in a writing signed
by both parties.

5.1 The delay or failure o any party to exercise any of its rights under this Agreement
for a breach shall not be deemed as a waiver of such rights, nor shall the same
be deemed to be a waiver of any subsequent breach, either of the same
provision or otherwise.
