1. Terms of Reference

The Contractor undertakes to perform the services/achieve the results listed in Annex 1,
Terms of Reference.

2. Contract Term and Assignment of Personnel


In order to perform the services, the experts listed in the price schedule (Annex 2) in
accordance with Section 2.1 of the General Terms and Conditions of Contract during the
period from 22.11.2021 to 22.11.2022.

3. Procurement of Materials and Equipment

The corresponding procurement costs for materials and equipment are 10,000.00 EUR
(in words ten thousand EUR), as listed in the price schedule (Annex 2).

They consist of:


• 7,000.00 EUR (in words seven thousand EUR) for software license fees
• 3,000.00 EUR (in words three thousand EUR) for additional expenses
(e.g., electricity costs)

4. Reports/Appraisals
The final report (section 2.3.3 of the General Terms and Conditions of Contract) shall be
submitted to GIZ no later than 30.08.2022.

5. Remuneration and place of supply for VAT purposes


5.1 A total remuneration of up to 173,000.00 EUR

(in words one hundred seventy three thousand EUR) shall be agreed for the services to be
performed by the Contractor.

The corresponding individual rates and bases for settlement are listed in the price
schedule (Annex 2).
Settlement will be based on time statements pursuant to Section 3.5.2 of the General
Terms and Conditions of Contract.

5.2 Place of supply for VAT purposes
The Contractor provides services to the GIZ country office in 2nd floor, Bach Khoa Service
Center, No.1, Lane 17 Ta Quang Hanoi, Vietnam. In accordance with Section 3a,
Paragraph 2, Sentence 2 of the German VAT Act (Umsatzsteuergesetz – UStG), the
place of supply for VAT purposes is therefore in Vietnam (country).

6. Payments

The remuneration agreed in section 5 of this contract shall be paid as follows pursuant to
Section 3.5 of the General Terms and Conditions of Contract:

6.1 Advance payment


The advance payment shall be made no later than 15.12.2021 after receipt of a request
for advance payment, provided that the work commences no later than 22.11.2021. GIZ
shall be informed in writing of the day on which work commences.

Advance payment 50,000.00 EUR (in words fifty thousand EUR)


The advance payment shall be offset in accordance with the settlement plan or in the final
invoice.

6.2 Settlement plan and interim invoices


The following settlement plan applies to all interim invoices, adjustments to the advance
payment and the final invoice:

7. General Terms and Conditions of Contract


7.1 GIZ’s General Terms and Conditions of Contract in the version of August 2020 with all
annexes shall constitute a component of this contract. The Contractor hereby declares
that it is familiar with the General Terms and Conditions of Contract.

7.2 The annexes specified in section 9 of this contract shall constitute components of this
contract.

7.3 If restrictions arise due to the measures to combat the Corona virus / Covid-19
(restrictions in air transport and other travel, restrictions on admission, quarantine
measures, etc.) GIZ and the contractor are obliged to adjust their contractual services to
the changed conditions in good faith, e.g. in terms of period of performance, service
content and - if necessary - remuneration.
