This Memorandum of Understanding (herein after referred to as MOU) is made between
The Ramco Cements Limited incorporated as a company under the Companies Act having
its Corporate office at 98A , Dr Radhakrishnan Road, Mylapore, Chennai - 600004 hereafter
referred as party 1
And
Nehru Group of Institutions - Tamilnadu and Kerala Corporate Office : Nehru College
Campus, Kuniamuthur, Coimbatore- 641 008 run by Nehru College of Educational and
Charitable Trust .
Where as
Nehru College of Educational and Charitable Trust is established way back in 1968 by the
founder Chairman late Shri. PK Das an eminent Chartered Engineer a renowned
academician, a great industrialist and a well-known philanthropist with an objective of
imparting value added practical education of international standard in aviation and other fields
of technology. The trust, started initially with a college of aeronautics diversified later on to
establish a cluster of educational institutions both in Tamil Nadu and Kerala. The NGI has
emerged as one of the pioneer Educational groups in Kerala and Tamil Nadu having 21
recognized and reputed institutions which includes a 1000 bed super specialty hospital with a
leading medical college in Palakkad district.
Where as
The Ramco Cements Limited is the flagship company of the Ramco Group, a well-known
business group of South India. It is headquartered at Chennai. The main product of the
company is Portland cement, manufactured in eight state-of-the art production facilities that
include Integrated Cement plants and Grinding units with a current total production capacity
of 16.45 MTPA (out of which Satellite Grinding units capacity alone is 4 MTPA). The company
is the fifth largest cement producer in the country.  is the most popular cement brand in South
India. The company also produces Ready Mix Concrete and Dry Mortar products, and
operates one of the largest wind farms in the country.
WHEREAS, both The Ramco Cements Limited and Nehru Group of Institutions -
Tamilnadu and Kerala (herein after called "parties") desire to carry out programmes for
promoting industry-academic interaction, herein referred to as "Programme", jointly with the
diligence and efficiency as desired within this MOU in conformity with appropriate
administrative, financial and educational practices and implement all such plans and activities
and reforms as required for the Programme.
WHEREAS The Ramco Cements Limited and NGI agree to enter into industry-academic
interaction programmes and both the parties agree to enter into a MOU with the terms as
follows.
OBJECTIVES OF INDUSTRY-ACADEMIC INTERACTION PROGRAMME
The major objectives for which the parties associate with each other are:
a. Collaborate to share and exchange information between both parties for mutual benefit and
knowledge enhancement.
b. To enable the use of laboratories and test facilities in on a preferential basis and
concessional rate by the Company in NGI .
c. To provide opportunity to the students of NGI to visit Cement Plants at a date and time
mutually convenient to both Parties.
D. To conduct presentations/quiz/paper presentation for the benefit of NGI students by the
Technical Services team of The Ramco Cements Limited based on mutually acceptable terms
and conditions.

THE PROGRAMME
This MOU is to formalize joint programme activities that will help NGI to enhance its research
and educational capabilities, and The Ramco Cements Limited in achieving its business
objectives.
SEMINARS AND WORKSHOPS
The Ramco Cements Limited may also support NGI in the development and coordination of
conferences and workshops in areas of mutual need and concern.
NON-DISCLOSURE OF CONFIDENTIAL INFORMATION
The Ramco Cements Limited and Nehru Group of Institutuions agree that they will abide by
the non-disclosure of any confidential information exchange during the Programme.
FINANCE
Regarding the financial arrangements during the Project implementation, The Ramco Cements
Limited and NGI further agree to:
a. Both the Parties will engage services of the existing employees for the Programme and no
additional staff will be provided.
b. Both the partners will utilize existing infrastructure for industryacademic interaction
arrangement.
c. All expenses in connection with implementation and monitoring such as TA/DA,
boarding/lodging and conveyance of members will be borne by the respective institutions.
INDEMNITY
Both parties hereby indemnify and shall keep indemnified and protected the other party and
their respective officers and employees from and against any claims or actions arising out of or
in any way relating to the provision and implementation of the Programme as per this MoU.
DURATION
This MOU will be active for a period of five years from the date of this MOU. It will be extended
for further period by mutual consent.
It is also agreed that no other company in the Cement Industry is allowed to have collaboration
with NGI during the MOU period.
TERMINATION
Either party has the right to terminate this MOU by giving thirty days written notice to the other
party.
JURISDICTION
In the event of any dispute arising out of this MOU, the parties agree that the courts of
Chennai will have jurisdiction.
The two parties of this MoU agree to act in good faith and in a spirit of mutual understanding
and accommodation to facilitate the achievements of goals set under the programme .

In WITNESS WHEREOF the parties here to have caused this MoU to be signed in their
respective names as of the day and year
