Redundancy Notice and Pay Calculation

As you are aware Numerator, dba Market Track, (‘the Company”) will be ceasing operations in
Jamaica this year and as a result your position is being made redundant as of September 24,
2021.

This letter details the redundancy payment amount and breakdown. In addition to your salary for
the notice period, you will be paid for your 15.00 unused vacation days in the amount of
$77,400.00. Your regular pay for payroll 40 for the time worked up to termination will be
$25,800.00.

Your redundancy payment will be calculated based on your years of service with the Company.
Your years of service is calculated from the date you were hired, May 1, 2015, to your date of
termination September 24, 2021; giving an effective employment period of 6.5 years. You are
entitled to 2 weeks’ ordinary pay for each year up to and including ten years and three weeks’
ordinary pay for each subsequent year after that. You are, therefore, entitled to 13 weeks
ordinary pay totaling $335,400.00.

Your total gross payment for redundancy is $335,400.00. NIS, NHT, and Education Tax are all
applicable to this amount. Income Tax, for redundancy payments, is calculated differently,
allowing a larger amount of pay free of income tax. The tax-free income component of this
payment is $583,703.37.

Based on the above, the TOTAL PAYMENT being made to you is broken down as follows:

Full hours worked up to time of termination* $25,800.00

15.00 Unused vacation days $77,400.00

Redundancy Payment* $335,400.00

Total amount being paid $438,600.00

Your above total will be uploaded to your account on October 7, 2021, provided you execute our
standard release agreement on such date. Please review the information along with the
electronic bank transferred amount that you receive, in combination with your payslip to ensure
that these payments are correct. If you have any questions concerning the identified amounts,

We write without prejudice.
This agreement supersedes the previous release agreement issued
July 27, 2021.
Please see below breakdown for the amount of JMD $438,600.00. This
amount represents:
1. JMD $335,400.00 which is calculated according to the
Employment (Termination and Redundancy) Act;
2. JMD $77,400.00 for 15.00 accrued vacation days; and
3. JMD $25,800.00 for full hours worked up to September 24, 2021.

Please find enclosed the confirmation from the National Commercial
Bank electronic upload to your payroll account dated October 7, 2021 for
the net amount of JMD $405,965.62, less any personal deduction.
As advised in our letter of September 21, 2021, disbursement is
contingent upon your endorsement of the Release and Discharge framed
within the body of this correspondence. It is as follows:

I, Uton Lawrence accept the net sum of Four Hundred Five Thousand
Nine Hundred Sixty Five Dollars and Sixty Two Cents Dollars
Jamaican Currency (JMD $405,965.62) being in full and final
settlement and satisfaction of all claims, demands, expenses which I now
have or might have whether now or hereafter to become manifest and
which arising directly or indirectly from the review of confidential
determinations leading to the decision to terminate my position with
Market Track. IN CONSIDERATION of the said net sum of Four
Hundred Five Thousand Nine Hundred Sixty Five Dollars and Sixty
Two Cents Dollars Jamaican Currency (JMD $405,965.62) I HEREBY
RELEASE AND DISCHARGE MARKET TRACK as well as the servants
and/or agents of MARKET TRACK from all such claims and demands as
aforesaid and hereby undertake not to institute any legal proceedings of
any nature whatsoever against MARKET TRACK as well as its servants
and/or agents in respect of my termination from MARKET TRACK
which becomes effective on September 24, 2021.

I HEREBY AGREE that the terms and the very existence of this
RELEASE AND DISCHARGE will remain strictly confidential and will
not be disclosed to any third party without the prior written consent of
MARKET TRACK.

The aforesaid net sum is made payable to Uton Lawrence without ANY
admission of ANY liability on the part of MARKET TRACK or its servants
or agents.

The aforesaid net sum is payable to Uton Lawrence first upon the
execution of this RELEASE AND DISCHARGE.
