This memorandum of agreement is entered on this date ………………….... between Farm &
Forest Products (Surguja) at Ambikapur Chhattisgarh - 497001 (Hereinafter referred to as
Principal) and M/S ………………………………………..…….. (Hereinafter referred to as Distributor),
whereas the principals have agreed to market their products through the Distributor w.e.f
……………………… and principal desires to have written following terms and conditions by this
elaborate memorandum of agreement.

1. This is application and agreement form is to appoint an individual, firm or company

to become authorized distributor of Sarveshwari masala and company and
distributor are bound by the terms and conditions therein.
2. The distributor/SS should be 18 years of age at the time of application.
3. The distributor/SS must not make any claim which is not approved by the company.
4. The distributor/SS shall take appropriate steps to ensure protection of all confidential
information provided to him by the customer or company.
5. The distributor/SS must not sell the products and services outside of the area
assigned to him.
6. The distributor/SS must give detailed information about himself with signed address
and id Proof with complete Bank and GST details.
7. The distributor/SS will provide two blank cheques to the company as security of the
products and services provided to him which will be returned on termination of
distributorship.
8. Any complaint and grievance shall be sent to the ASM of the company for redressal
and the decision of the ASM must be final
9. The distributor/SS must place the order to the company in prescribed order form
which will be dispatched to him by the company with appropriate invoice and money
shall be sent to the company’s Bank account.
10. The distributor is free to resell the products at the appropriate price to the
wholesalers and retailers of the area provided to him.
11. The company will provide various schemes and advertisement and promotional
materials to increase the sale of products from time to time.
12. All disputes are subject to Ambikapur Jurisdiction.
