KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and entered into this __ day of ______________
2021 by and among:

The CITY OF ILOILO, a local government unit of the Republic of the Philippines,
with principal office at Plaza Libertad, Iloilo City represented by the City Mayor, HON. JERRY
P. TREÑAS, hereunto referred as the FIRST PARTY;

The ILOILO FESTIVALS FOUNDATION, INC. a duly registered non-stock non-

profit organization with business address at Kerr Building Annex, Ground Floor, Plaza Libertad,
Iloilo City, Philippines, herein represented by its Chairman, MR. RITO CARLOS PEÑA, as
duly authorized by the Foundation, hereunto referred to as the SECOND PARTY; and

The JCI ILOILO, Inc. a duly registered non-stock non-profit organization with address
at Iloilo Society Commercial Bldg., Timawa, Molo, Iloilo City represented herein by its
President, MR. JOSE ANGELO P. MOLEJONA, hereinafter referred to as the “THIRD
PARTY”.

WITNESSETH:

WHEREAS, the FIRST PARTY is cognizant of its role to promote the cultural, social,
education, economic and spiritual advancement of the people of Iloilo City;

WHEREAS, as expressed in its Article of Incorporation (AOI) the purposes for which
the SECOND PARTY has been organized and founded are, among others, to undertake and
oversee the major festivals of the City and Province of Iloilo including the Paraw Regatta
Festival and the upliftment of the cultural, social, educational, and economic well-being of the
people;

WHEREAS, the THIRD PARTY, through their voluntary involvement in civic and

community development projects undertaken with passion, have demonstrated that the same is a

and the progress of our nation.
WHEREAS, THE FIRST PARTY finds the partnership with the SECOND PARTY and
THIRD PARTY as helpful and essential in the conduct and success of the 2021 Paraw Regatta
Festivities;

WHEREAS, the Sangguniang Panlungsod of Iloilo City issued Resolution No. 2021-334
authorizing the Iloilo City Mayor to sign for and in behlaf of the City Government of Iloilo the
Memorandum of Agreement to be entered into by and among the Iloilo City Government, Iloilo
Festival Foundation Inc., (IFFI) and Junior Chamber International (JCI) Iloilo Inc., for the
hosting of the Paraw Regatta Festival 2021;

WHEREAS, due to unforeseen circumstances, an amendment of the aforementioned

Memorandum of Agreement is necessary to accurately reflect the roles and responsibilities of all
parties concerned;

NOW THEREFORE, for and in consideration ANGELO

foregoing premises and all the
City Mayor of Iloilo Chairman, IFFI President, JCI Iloilo
terms and conditions hereinafter set forth, the FIRST PARTY and the SECOND PARTY hereby
designate, authorize and appoint the THIRD PARTY to be their official managing partner in the
conduct of the 2021 PARAW REGATTA FESTIVAL as it celebrates its 49th Anniversary and
agree to act as such, subject to the respective undertakings, obligations and terms of reference
and conditions imposed upon on each of the herein parties, to wit;

1. The FIRST PARTY hereby agrees to create the 2021 PARAW FESTIVAL EXECUTIVE
BOARD which shall be composed of nine (9) members and a Chairman and the related
working committees to be designated by the City Mayor through an Executive Order. The
Iloilo Festivals Executive Board shall act as the decision-making body of all matters and
issues relating to the conduct of the 2021 Paraw Regatta Festival;

2. The FIRST PARTY hereby agrees to create a COMMITTEE ON HEALTH AND SAFETY
to ensure that national and local health and safety protocols are being observed during
auditions, rehearsals, performances and for every other activity conducted as part of the 2021
Paraw Regatta Festival;

3. The FIRST PARTY extends, as it hereby extends, recognition to all activities and programs
lined up for the celebration by the THIRD PARTY, and those activities and programs which
the THIRD PARTY may deem necessary for the successful holding of the festivities subject
to prior consultation with and recommending approval of the SECOND PARTY, the Paraw
Regatta Festival Executive Board and final approval of the FIRST PARTY;

4. The FIRST PARTY grants, as it hereby grants, that all community activities during the
Festival period which is on May 23-30, 2021 shall be officially managed by the THIRD
PARTY through the SECOND PARTY and the Paraw Regatta Festival Executive Board;

5. The FIRST PARTY shall provide all necessary permits and licenses necessary for the
celebration of the 2021 Paraw Regatta Festival, which it may issue, within the purview of its
power and jurisdiction, as granted and duly provided for under the Local Government Code,
without curtailing the power and jurisdiction and authority;

6. The PARTIES herein VINCENT

agree on the following:

a. The FIRST PARTY, SECOND PARTY and THIRD PARTIES agree to a target budget
of FOUR HUNDRED THOUSAND PESOS (Php 400,000.00) to cover expenses for the
Paraw Regatta Festival 2021 events including subsidies for participants, prizes, logistical
cost, marketing & promotion activities, security, etc.;

b. The SECOND & THIRD PARTIES also agree to jointly raise on best effort the target
budget in the amount of FOUR HUNDRED THOUSAND PESOS (PhP 400,000.00)
through fund-raising initiatives such as, but not limited to, sponsorship, donation,
advertisements, including income, if any, as may be determined in the profit-loss report
after the conclusion of the 2021 Paraw Regatta Festival;

c. The SECOND & THIRD PARTIES hereby agree to support funds by way of donations,
imposition of fees on advertisers and product promotions. PROVIDED, that these fees do
not constitute an imposition prohibited by the law or ordinance or in conflict with the
City Tax Code; PROVIDED FURTHER, that the SECOND and THIRD PARTIES shall
invite and allow companies and business establishments which are not in conflict with the
interest and values of the 2021 Paraw Regatta Festival and Iloilo City, to participate in
 the 2021 Paraw Regatta Festival activities, according to the rules and regulations set by
the Iloilo Festivals Executive Board;

d. The FIRST PARTY, in partnership with the Philippines National Police (PNP) and other
law enforcement agencies, shall provide necessary permits, security and maintenance of
peace and order during the Festival to be coordinated by the appropriateFestival
Committee designated for the purpose;

e. The FIRST PARTY authorizes as it hereby authorizes, the SECOND PARTY and the
THIRD PARTY to call on and get assistance from the offices, units or instrumentalities
of the Government, including its personnel, to assist, promote and render services free of
charge to ensure the success of the 2021 Paraw Regatta Festival 2021;

f. The SECOND PARTY and the THIRD PARTY shall render services and provide
resources to implement the objectives of the 2021 Paraw Regatta Festival on a primarily
voluntary basis;

g. The FIRST PARTY shall provide to the SECOND PARTY and THIRD PARTY all
indispensable support for the success of the 2021 Paraw Regatta Festival and its other
related promotional and marketing activities for the City of Iloilo;

h. The SECOND & THIRD PARTIES shall give equal access to accredited members of the
international, national, local and social media purposely to maximize media exposure and
coverage of the festivities; and

i. This agreement entered into good faith, shall take effect upon signing hereto by the
PARTIES.
