I. Payment Schedule: The Restaurant Partner shall be liable to pay Foodyz® the amounts set out below
(as applicable):
Platform Fee: (in % of Net Sales per order) Zero commission on restaurant charge from August1st
2021 - November 30th 2021.
10% commission on food cost applicable from 1st
December, 2021 (Restaurant will be formally informed
before the commission takes effect)
Cancellation Fee: All accepted orders that are paid for but not prepared
by restaurants will attract a refund of the exact cost to
Foodyz account.
Rejected food Foodyz® will take responsibility for all food item taken
out of the restaurant by delivery riders or pick up
service.
Discount: Restaurants reserves the right to change and
implement discounts and food prices without due
notice.

RESTAURANT PARTNER ENROLMENT FORM FOR ONLINE FOOD ORDERING SERVICES

II. Additional Terms

(i) Effective Dates, as set here in the enrolment form shall mean the date on which this form has
been signed and submitted to Foodyz®.
(ii) The restaurant partner hereby acknowledges and agrees that
(a) Foodyz® reserves the right to charge the Restaurant Partner retrospectively.
(b) Restaurant partner has checked the pricing on the app and agrees to continue with the
same. Changes in pricing will be entertained even with short notice.
(c) The Platform/Commission fee charged will be 10 % of Net Sales.
(iii) If, in any case, an order is placed and complaints from a customer is received regarding quality of
food, Foodyz® will engage the restaurant partner and if it is established that there were quality
issues, an agreement will be reached by both Foodyz® and the restaurant partner on the amount
to refund. In cases, such as arising of health-related issues to the customers after consuming
 food items from a restaurant, the restaurant partner agrees to indemnify Foodyz® of such losses
to the extent, providing if in such cases, any legal action is taken if it is investigated and proven
that contamination wasn’t from food handling by delivery riders.
(iv) Ratings & Reviews: Foodyz® has no control over, in any manner whatsoever, with respect to the
ratings and reviews received by the Restaurant Partner for their food services and quality,
affecting Customer’s experience in any way whatsoever.
(v) Taxes: Amounts payable for commission are inclusive of applicable taxes. However, in any case,
if any other amounts are charged from the restaurants, they will be exclusive of applicable taxes.
(vi) Restaurant Partner Compensation: As applicable and in accordance with the Terms &
Conditions above.

III. Payment Settlement Process:

Foodyz® shall transfer, the Order Value received, to the Restaurant Partner, after deduction of the following
amounts, as applicable:

(i) commission Fee

(ii) Cancellation Fee
(iii) Contribution towards Discount
(iv) Any other charges, that may be due to Foodyz® (related, but not limited to Advertising, Getting
Featured, etc.)

The parties acknowledge and agree that after the deduction of the aforementioned amounts, Foodyz® shall remit
the Order Value due to the restaurant Partner:

꙱ When the partner uses the Request Pay-out function provided on the dashboard of Foodyz® restaurant app.

꙱ Foodyz® shall remit the Order Value, due to the Restaurant Partner within 30 minutes of accepted order,
order will be prepared and packed afterwards.
