ARTICLES OF PARTNERSHIP

UPTOWN MILKTEA

KNOW ALL MEN BY THESE PRESENTS:

That, we the undersigned partners, all of legal age, residents and

citizens of the Philippines, have on this day voluntary associated ourselves
together for the purpose of forming a general partnership under the following
terms and conditions and subject to existing and applicable laws of the
Republic of the Philippines.

AND WE HEREBY CERTIFY:

ARTICLE I. That the name of this partnership shall be:

UPTOWN MILKTEA

That the nature of the business shall be:

Retailing and a Food Service company as it shall both retail the products and
provide the services to its customers.

That the purpose of formation is as follows:

1. To produce all kinds of flavors and types of Milk tea.
2. To produce not just delicious Milk tea tea but a healthy one; and
3. To sale in a good way and to have harmonious relationship with the
customers.

That the principal place of business of this partnership shall be located

at ,Barangay 9, Quezon Avenue, Lucena City

ARTICLE II. That the names, citizenship and residence of the partners of the
said partnership are as follows:

ARTICLE III. That the date of formation of the partnership shall be on January
10, 2022. The term for which the said partnership is to exist is 10 years from
the date of formation and/or the original recording of said partnership by the
Securities and Exchange Commission.

ARTICLE IV. That the capital of this partnership shall be Five Hundred
Thousand Pesos (₱500,000), Philippine Currency Contributed in cash by the
partners as follows:

ARTICLE V. That the right of each partner are:

1. Each partner has the right to be consulted in making economic decisions in

the partnership.
2. Each partner has the right to access the partnership books
3. Each partner has the right to receive return of their investment, also to the
losses of the partnership

ARTICLE VI. The accounting period to be adopted shall be a calendar year

and the nature of accounting records, financial statements and audits by the
independent public accountant.

ARTICLE VII. That the method of sharing profit or loss must be equally or in
other agreed ratio of each partner of the partnership.

ARTICLE VIII. That the drawings or salaries to be allowed to partners is

according to the amount of the capital contribution of each of the partners.

ARTICLE IX. In case the partnership will dispute, dissolute or liquidate, the
partnership will accept an investment of a new partner to the new partnership.
