ADDENDUM TO THE LEASE DEED

THIS ADDENDUM (Addendum) to the Lease Deed is executed on this ___ day of
_________________ by the following parties (Parties).

BTI Payments Private Limited, a company incorporated under the Companies Act 1956
and having its registered office at Diamond District, Block B, 8th Floor, 150, Old Airport
Road, Kodihalli, Bangalore 560 008 INDIA Represented by Mr. Chandan Shop___,
hereinafter referred to as “BTI Payments” (which expression shall unless it be repugnant to
the context or meaning thereof be deemed to mean and include its representatives,
successors-in-interest, and permitted assigns) of the One Part

And

Mr.RAM PRAKASH R/o MOHALLA AGRAWAL, HOME 3, KARHAL ROAD,


MAINPURI DIST, PINCODE 205001 hereinafter called “the Lessor” (which expression

shall unless repugnant to the context or meaning thereof be deemed to mean and include its
legal representatives, successors and permitted assigns) of the Other part.

BTI Payments Pvt. Ltd and Mr. RAM PRAKASH are separately referred to as “Party” and
together as the “Parties”

WHEREAS BTI Payments Pvt Ltd is engaged in the business of payment solutions to the
customers including but not limited to deployment of Automatic Teller Machines (“ATM”) to
various banks and is also a license holder from Reserve Bank of India (RBI) for deployment
of ATM under its own brand name “India1” (White Label ATM”) across the region of India;

BACKGROUND:

A. Pursuant to the Lease Deed entered into between the Parties, it was agreed that the
Lessor will grant lease of his property to BTI on the terms and conditions of the Lease
Deed.

B. The Parties agree to the modifications to the Lease Deed on the terms and conditions
contained in this Addendum.

NOW, THEREFORE, in consideration of the premises and mutual agreements and


covenants contained in this Addendum and other good and valuable consideration (the receipt
and adequacy of which are hereby mutually acknowledged), each of the Parties hereby agree
as follows:

MODIFICATION OF CLAUSE: Further, after the Clause 3, the following sub-clause will
be incorporated:

2 (i): The Agreement shall be further renewed for the period of Five (5) years
starting from 21/Aug/21 to 20/Aug/26 and same shall be automatically renewed or
extended for further period of Five (5) years, unless terminated by either party in accordance
to the term and condition of this Agreement.

ADDITION OF CLAUSE:

In case GST laws is applicable, the input tax credit of GST paid by Lessee to Lessor on rental fee
would be available only when the Lessor uploads correct and timely information on the GST
network. Accordingly, the Lessor should ensure the following:
a. Upload error free data relating to supplies made to Lessee, to ensure availability of timely
credit

b. The uploaded data shall be correctly auto-populated in GSTR – 2A of Lessee for availing
timely credit
c. Input correct GST number and HSN code and other details as prescribed
d. In case of any mismatch in the details declared by the Lessor, the same should be rectified
within the prescribed time limit
Timely submission of invoice would be the responsibility of Lessor. Lessee may reject acceptance
of any invoice if the GST Input credit is time-barred under GST provisions
Any GST liability arising on account of loss of GST credits for reasons such as failure, directly or
indirectly, by the Lessor to upload details of invoice with necessary particulars in GSTN would be
recovered by Lessee from the Lessor along with Interest@24% p.a.

In case on any future GST liability is to be borne by Lessee due to non-compliance of any GST
provision by the Lessor, the same will be claimed by Lessee from the Lessor through/by raising a
debit note (Inclusive of applicable interest and penalty, if any).

Further the Schedule A of the Lease Deed will be replaced by the Schedule A to this
addendum.

SEVERABILITY CLAUSE

In the event any one or more of the provisions of this Addendum shall for any reason
be held to be invalid or unenforceable, the remaining provisions herein shall be
unimpaired and the invalid or unenforceable provision shall be replaced by a mutually
acceptable provision that being valid and enforceable comes closest to the intention of
the parties underlying the invalid or unenforceable provision.

This Addendum is a supplement to and shall be read as part of the Lease Deed and all
provisions of the Lease Deed therefore apply to and are incorporated by reference into this
Addendum. In the event of any conflict between the provisions of the Lease Deed and this
Addendum, the provisions of this Addendum shall prevail. All the other clauses of the Lease
Deed and subsequent Addendums shall be read as part of this Addendum.

INTENDING TO BE BOUND, the Parties have executed this Addendum on the dates set out
below.

SCHEDULE A

lease by BTI Payments Pvt. Ltd. for a period of 5 years.
The initial term of the Lease shall be for a period of Five year/s from
LEASE TERM (No. of years) the Lease Commencement Date, unless terminated earlier in
2 accordance with this lease Deed. The Lessee may renew or extend
the term for such further periods on such terms and conditions as
may be mutually agreed between the Lessee and Lessor.

The lessee reserves the right to terminate the lease deed by giving
30 (thirty) days prior written notice or by paying an amount
