DEED OF SALE OF MOTOR VEHICLE WITH ASSUMPTION OF MORTGAGE

KNOW ALL MEN BY THESE PRESENTS:

That I Apolinario Padual Alday of legal age, (single/married/widowed) with residence and postal
address at B57 L36 CITYHOMES PH2, LANGKAAN 2- CHRV PH2, DASMARINAS CAVITE
hereinafter referred to as the VENDOR;

--and--

Mark Reingel Espinosa Paiso, of legal age, (single/married/widowed) with residence and postal address
at 0002 LT BLOCK 69 BLK MABUHAY HOMES 2000 PH V SALAWAG DASMARINAS CAVITE hereinafter
referred to as the VENDEE;

And We agreed as follows:

1.) That, the VENDOR is the registered owner and in possession of one (1)
2022 Toyota Vios 1.3 XLE CVT :

2.) The herein VENDOR hereby sells, transfers and conveys and the herein VENDEE has agreed to
buy the above described unit by way of CONDITIONAL SALE, subject to the following terms and
conditions.

a.) That, the VENDOR hereby warrants that said motor vehicle is still mortgage with
remaining balance of Nine Hundred Sixty Thousand Three Hundred Pesos (960.300.00).

b.) Parties herein have agreed that the VENDEE shall pay Monthly Amortization by
direct deposit to Toyota Financing Services (TFS) with LOAN ACCOUNT NO.
_________________ of the vehicle in the amount of Sixteen Thousand Five Pesos (16,005.00)
payment due every 25th of the month starting December , 2021.

c.) The VENDOR shall provide the VENDEE with copies of Official Receipts (ORs), sales
invoice, maintenance booklet, insurance booklet, and duplicate key;

d.) The VENDEE shall submit a yearly comprehensive insurance policy accredited by the
Bank, at his expense. Every year thereafter until the same shall have been paid in full;

e.) The Vendee shall deposit the monthly amortization of the unit on/or before the
maturity date.

f.) In case of sixty (60) consecutive days or 2 months of delayed payments, the VENDOR
has the right to immediately take the possession of the motor vehicle without court
intervention and consider this Deed of Sale terminated. The VENDEE shall voluntarily comply,
and the vehicle shall be free of damages and in good running condition.

g.) The VENDEE shall maintain the vehicle in good running condition. Repairs,
maintenance and car registration fees and insurance shall be maintain.

h.) In case of damage/s to, or loss of the vehicle, the VENDEE shall be accountable and
obligate to fully paid the remaining balance of said unit to the VENDOR

k.)That only after FULL PAYMENTS and the vehicle’s registration and full ownership
will be fully transferred to the vendee
i.) This DEED OF SALE strictly prohibited the VENDEE to sell the said vehicle to
any third party without his permission. In this case the VENDOR has a right to file a case for
car napping or termination of the contract.

j.) If the vehicle shall be used for public transportation, expenses relating to application
for franchise with LTFRB/LTO shall be for the account of the VENDEE. Penalties and fines for
violations such as colorum, if any, also apply;

k.) Upon full payment of the agreed purchase price, the VENDOR shall execute a DEED
OF ABSOLUTE SALE over said ______________________________ unto and in favor of the
herein VENDEE, , to his heirs, legal representatives or assigns, free and clear of any
encumbrances whatsoever;

l.) Any violation of the terms and conditions as stipulated herein shall be cause for the
termination of this contract, and the offended party has the right to sue the offending party for
damages.
