The parties hereto, having full legal capacity to contract, have agreed to form Limited Liability Company between
themselves in the city of Sidon in accordance with Commercial Companies law No. 716 and the following terms

:Article (2): Head Office of the Company

The Head Office of the Company is situated in the city of Sidon. It shall be permissible for the Company to establish
branches, offices or agencies by a decision from______ within or outside the Kingdom, after obtaining a written no-
.objection letter from the Companies Department

.‫وتمارس الشركة أنشطتها وفق األنظمة المتبعة وبعد الحصول على التراخيص الالزمة من الجهات المختصة إن وجدت‬

:Article (3): Objects of the Company

The Objects of the company is to carry out the financing- in accordance with the provisions of the Corporate
Regulation, the Regulation on the Control of Financial Companies, its implementing regulations, the relevant
regulations and the rules and instructions issued by the Corporate Service. The company shall conduct and implement
.the following objects
The company shall carry out its activities in accordance with the regulations in force and after obtaining the necessary
.licenses from the competent authorities, if any

:Article (4): Participation and Ownership in Corporations

After obtaining a written no-objection from the Corporate Department, the Company may participate in any way with
the bodies or companies that may assist it in achieving its purposes, and ... may own/hold shares in, integrate, merge
with or acquire any such companies, after fulfilling the requirements of the regulations and instructions followed in this
