Supplier Compliance Agreement

As LS&CO.'s Supplier, we understand that the Restricted Substances List program is an important
feature of LS&CO.'s business and adds significant value to LS&CO.'s brands. Accordingly, Supplier
hereby declares and agrees that:

We have received, read and fully understand LS&CO.'s Restricted Substances List, including its
prohibitions and limitations as published, and as it may be amended from time to time, hereafter
'(the
"RSL");
a That it is our responsibility to comply with the most up-to-date RSL.
a We have and may in the future receive orders from LS&CO. and/or from businesses that are
themselves sources of materials, component parts, sundries and other goods to LS&CO. These
businesses are described here as "sources;"
We understand that the success of the RSL program is significantly enhanced if Suppliers and
Sources of chemicals, compounds, substances and other goods, to LS&CO. comply with the
RSL;
Compliance with the RSL is a condition to and incorporated in each and every order placed by
LS&CO., and by an LS&CO. Source to us; each shipment constitutes our warranty that every
good shipped is in compliance with the RSL limitations and prohibitions;
We understand and agree that every order LS&CO. gives to us, every order LS&CO. gives its
Sources and every order the LS&CO. Sources give us, is in reliance on this agreement. LS&CO.
is an intended beneficiary of this agreement;
LS&CO. regularly updates the RSL and we will use best efforts to keep informed of these
updates as they occur;
We certify that each current and future chemical, compound and substance and other goods, that
we supply or otherwise deliver to LS&CO. and/or to an LS&CO. Source complies with and does
not violate the RSL prohibitions;
We will use best business practices to ensure that each chemical, compound, substance and other
goods, that we supply to LS&CO. and to an LS&CO. Source does not contribute to the violation
of the limitations and prohibitions in the RSL;
In addition to compliance with the RSL, we understand and agree that LS&CO. supports a ban
on the use of ZD}JC priority chemicals in LS&CO. products. In support of this goal, we will
ensure that all the chemical formulations used in our productions are free from these priority
substances and only LS&CO. RSL and ZDHC compliant chemical formulations are utilized for
all chemicals, compounds, substances and other goods that we supply or otherwise deliver to
LS&CO. and/or to an LS&CO. Source.
We will complete the attached Chemical Information Log and submit the completed Log to
LS&CO. and to each of our LS&CO. Source(s);
o We will agree to follow LS&CO. Performance standards and conduct yearly Random RSL
testing as requested by LS&CO. and demonstrate product compliance as needed. Also, we aware
that this test requirement will be in addition to regular LS&CO. performance standard test
requirements;

LS&CO. reseryes the right, but not the obligation, to test, by the RSl-specified method, or other
appropriate method, any ordered chemical, compound, substance and other goods, at any time or
stage of production;
Failure to comply with the RSL and the ZDHC Priority chemicals ban are a material breach of
any agreement we have with LS&CO. and with a LS&CO. Source notwithstanding any other
term of that agreement;
We do and will continue to hold the LS&CO. Sources, our customers, as well as LS&CO., its
agents and its employees harmless against, and will defend and indemnify the LS&CO. Source
as well as LS&CO., its agents and its employees iigainst, any and all claims, losses, liabilities,
expenses and damages, caused by our failure to comply with any prohibition, limitation or other
provision of the RSL and of the ban on the use of ZDHC Priority chemicals.
