MEMORANDUM OF AGREEMENT

This Memorandum of Agreement made and entered by and between:

Analog Devices Gen. Trias Inc. (ADGT), a corporation registered under

the laws of the Philippines with facilities located at Gateway Business
Park, Barangay Javalera, Gen. Trias, Cavite and represented in this act by
Manny Malaki, Engineering Director and Ma. Bernardita R. Khalid,
Human Resources Director, hereafter referred to as “ADGT”;

-and-

Cavite State University through the National Coffee Research,

Development & Extension Center (NCRDEC), with office address in
Indang, Cavite and represented in this act by Dr. Hernando D, Robles,
PhD. President of the University, hereinafter referred as “NCRDEC”.

WITNESSETH: That

WHEREAS, as part of Corporate Social Responsibility (CSR), ADGT offered

partnership with NCRDEC to improve coffee yield through soil analysis employing
ADGT’s Wireless Sensor Node IoT Platform.

WHEREAS, as an initial phase, ADGT shall endeavor with NCRDEC in the

development and implementation of an automated drip irrigation system focused on
coffee farming.

WHEREAS, ADGT intends to share the results of project to coffee farmers

specifically the members of Amadeo Coffee Cooperative.

WHEREAS, NCRDEC has accepted such partnership and committed to

cooperate towards the success of such CSR project.

NOW THEREFORE, both parties agreed to forge such partnership subject to the
terms and conditions hereinafter set forth:

I. OBLIGATIONS OF ADGT

1. As an initial phase, ADGT shall provide the various electronic modules needed
for the automation of a drip irrigation project at no cost for NCRDEC. Such
irrigation shall entail the installation of the following:
i. Wireless sensor nodes (WSN); and
ii. Gateway and irrigation control modules.

2. ADGT shall effect such installation and provide the necessary technical support
for all electronic modules (including repair). Further, ADGT shall be given access
to the ongoing data being gathered by NCRDEC; and

3. ADGT shall coordinate and cooperate with NCRDEC on the research and
infrastructure efforts being conducted by the latter. ADGT shall provide the
necessary update on its deliverables and conduct the necessary meetings with
NCRDEC.
 II. OBLIGATIONS OF NCRDEC

1. NCRDEC shall cooperate with ADGT for the realization of project by providing
the necessary technical guidelines;

2. Based on the initial phase, NCRDEC shall provide the drip irrigation facilities as
follows:
i. Pipings, laterals, risers, drippers;
ii. Water filters;
iii. Water pump (and possibly  fertigation pump – for automated
application of fertilizers); and
iv. Water tank/source.

3. NCRDEC shall provide maintenance of the drip irrigation system and ensure the
implementation and monitoring of the experiments being carried out by ADGT.

4. NCRDEC shall provide the necessary support by way of manpower, and all
other peripheral requirements for the success of this CSR project being driven by
ADGT.

III. DURATION THE CSR PROJECT

Both parties agreed that for the initial phase of this project insofar as the provision of a
drip irrigation system, ADGT shall implement the same by one (1) year reckoned from
the date of signing of this Agreement.

IV. NON DISCLOSURE AGREEMENT

As part of documentary requirements being required by ADGT, NCRDEC shall sign a

Non-Disclosure Agreement herein attached as Annex A and shall be made part and
parcel of this Memorandum of Agreement.

V. PRE-TERMINATION

Parties herein may pre-terminate this Memorandum of Agreement by serving a written

notice to the other at least thirty (30) days from the intended date of such pre-
termination.

VI. RELATIONSHIP OF THE PARTIES

Herein contractual agreement is one where ADGT in pursuit of a specific CSR Project,
shall conduct research and development of Wireless Soil Analysis for Smart Coffee
Agriculture and identified NCRDEC to partner on such project, thus there is no
employer-employee relationship created between ADGT and the staff of NCRDEC or
vice versa.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures this
