Dear Sir/Madam,

INTRODUCTION

The NGV Pilot Program is a project currently being undertaken by a consortium of partners
(Axxela, Scania (via IASL) and TSL (via TSL Metroline) in partnership with Lagos Metropolitan
Area Transport Authority (LAMATA). The project is the Operation of a gas (CNG)-fired NGV
Bus for 6 months as a pilot to demonstrate the technical and commercial viability of NGVs, the
environmental benefits, and the feasibility of CNG as a cleaner alternative fuel to PMS/Diesel
for commuter buses and for general transportation.

We are issuing this Request for Quotation (RFQ) for the EMISSIONS MEASUREMENTS ON
NGV BUS AND DIESEL CONTROL BUS Timetable for this process is as follows:

Date of release of RFQ 18th November, 2021

Deadline for Submission of 5pm, Monday 22th November, 2021

Quotations

1.1 REQUIREMENT

Requirements as defined hereunder, and documentation where specified is an integral part of

the scope of work/supply and shall be provided by bidder.

See Appendix “1” for the Scope of Works.

1.2 COMPLIANCE

The bidder's quotation should comply with the requirements of this RFQ. Any deviations from or
alternatives to the requirements, either technical or commercial, shall be clearly stated in the
following format in a separate document.
PART 2 - ADMINISTRATIVE INSTRUCTIONS TO BIDDERS

2.1 SUBMISSION OF RFQ

Clarification on the RFQ can be via the designated email quotes@axxelagroup.com

The RFQ can only be submitted into the same email box within the bid submission period.

Any RFQ not submitted using the instructions may be disqualified.

The subject of the email must be in the following format:

Failure to comply with the above set conditions will automatically disqualify your offer.

Any comments or assumptions you have on the RFQ document should be included, as any
observation made at later date will not be taken into consideration.

The Company reserves the right to request any additional technical or commercial information
deemed necessary after opening of the tenders including but not limited to the breakdown of
any pricing, rates, percentages etc.

All queries associated with the RFQ should be directed to the Procurement contact listed above
via email. This may be followed up by telephone once the email has been acknowledged.

It should be understood that Axxela is not bound to accept the lowest bidder. Axxela may
accept a tender in part or in the whole and reserves the right to reject any or all bids, or to
cancel this Call for Tender at its sole discretion. All tender preparation and submission costs are
for the sellers’ account

PART 3 – QUOTATION REQUIREMENTS

3.1 VALIDITY OF OFFER

All details of the RFQ and any subsequent clarification or amendment thereof, including
prices and rates shall remain valid for acceptance by the Company for a minimum period of 90
days from date of offer and on contract award shall thereafter remain fixed and firm for the
duration of the Contract unless expressly stated otherwise therein.

3.2 PRICING

The currency of the tender must be in naira. Each piece of work must be clearly quoted for
separately and all associated charges highlighted.

3.3 PAYMENT TERMS / CONDITIONS

Axxela’s Standard payment terms are 30 days from receipt of invoice. Any exceptions must be
clearly stated.
3.7 SUBCONTRACTORS AND RESOURCES

All subcontractors and resources must be clearly stated. Previous experience for each
subcontractor must be clearly stated and details provided.

Signed Memorandum of Understanding (MOU) with each of the subcontractors must be

attached.

3.7 LEAD TIME

Timelines for project completion should be stated along with your submissions and a gantt
charts to show how timelines would be achieved should be included.

3.6 DAMAGES

The Contractor's attention is drawn to the fact that the services to be provided shall be in the
vicinity of Company’s property and installations. The Contractor shall be held responsible for
any damage to the Company’s property or installations caused by its operations. Should the
Contractor damage any of the Company’s property or installations and cannot subsequently
repair it to the entire satisfaction of the Company, the same shall be replaced entirely at the
Contractors expense.

3.8 WARRANTIES

Warranties must be clearly stated

3.9 HEALTH, SAFETY AND ENVIRONMENT

(a) Contractor shall comply with the provisions of the Axxela EHS policy handbook (Please
visit the vendor page on Axxela corporate website for reference). Therefore, Contractor
shall have a structured system (documented EHS manual, procedures, etc) to ensure all
services are provided without any injury or illness, harm to the environment, and damage
to any assets.

To achieve this, Contractor shall as a minimum carry out the following:

(i) Safety: •Carry out job analysis to identify all hazards associated with the proposed
activities and

Provide adequate controls

• Obtain a work permit (for service projects)

• Provide PPE for all workers.

• Hold monthly EHS meetings and daily tool box to enlighten workers on EHS issues

• Report any incident occurring to Axxela, and investigate such to determine root
causes
 • Properly demarcate work location, and maintain good housekeeping at all times

(ii) Health: • Provide medical certification for workers (for service projects)

• Have a Medical retainership hospital to attend to any medical emergency for

workers

During contract execution

• Provide an equipped first aid box and a trained first aider at work locations.

• Provide SHOC/MSDS cards for workers use when handling chemicals

(iii) Environment •Have a good waste management system to manage all wastes generated.

(a) Contractor shall comply with the provisions of the Axxela Quality Policy Statement, Anti-
corruption Policy and Code of Conduct Business and Ethics (Please visit the vendor
page on Axxela corporate website for reference).

(b) Contractor shall comply with the best practices regarding Equality and the Immigration,
Asylum and Nationality Act 2006

(c) Contractor shall comply with global practices regarding rejection of modern slavery and
child labour practices in her supply chain.

(i) Quality Assurance: Contractors must ensure that the products and services delivered to
Axxela are of high quality in line with the Axxela Quality Policy Statement. The quality
specification of any requested products or services must be included in the scope of work.
When in doubt, contractors must clarify with the relevant contract holder or Buyer as only very
high quality products or services will be accepted.

PART 4 – SCOPE OF WORKS

Vendors are expected to send in commercial proposals aligned to the scope of work attached.
