NOTICE U/S 138 OF N.I. ACT

Under the instructions of and on behalf of our client M/s


Edgetech Air Systems Pvt. Ltd. through its Director Sh. Amit Goel,
having its office at 403-404, Gopal Heights, D-9, Netaji Subhash
Place, Pitam Pura, Delhi-110034 serve upon you the addressee the
following legal notice:-

1. That our client is a private limited company duly registered


under the Companies Act and being a juristic personality is
serving the present notice through its director who is well
conversant with the facts and circumstances of the present
case.

2. That our client specializes in manufacturing Air Handling


Systems, ranging from a complete array of Air Handling
Units and Fan Coil Units to Advanced Coils for applications
such as :
a. Comfort air conditioning for offices, institutions, hotels,
shopping malls etc.
b. Specialized applications for clean rooms,
pharmaceutical plants, hospitals, R&D Labs etc.
c. Fresh Air Application

3. That you the addressee no.1 is a private limited company


situated in Delhi, and addressee no.2 and addressee no. 3
are the active directors of the company and also liable and
responsible for day to day works, affairs and all acts of the
company.
4. That you the addressee no. 2 a had approached our client
for purchase of various goods and as per the instructions,
order, demands of you the addressees placed at our client’s
office at 403-404, Gopal Heights, D-9, Netaji Subhash
Place, Pitam Pura, Delhi-110034, our client had supplied
the goods to you the addressees from time to time through
invoices, bills, challan, purchase order and the goods were
delivered to you the addressees and you the addressees
have used and appropriated the same.

5. That our client and you the addressee have been having
transactions and a running account is maintained between
you the addresses and our client.

6. That in an apparent partial discharge of your liability, you


the addressees issued a cheque for Rs. 5,00,000/- (Rupees
Five Lakhs Only) vide cheque no. 049707 dated 09.07.2021
drawn on ICICI Bank Noida Branch duly signed by the
Authorized Signatory of your company. At the time of
issuing the cheque, you the addressees had assured and
promised our client that there was sufficient amount in your
bank account for encashment of the cheque.

7. That our client as per the directions and instructions of you


the addressees presented the cheque within the time
prescribed in Negotiable Instruments Act 1881 in its bank
i.e. Union Bank of India, Swarn Park, Mundka - 110041 and
the said cheque was returned by your banker with the
remark “FUNDS INSUFFICIENT” as follows :

8. That after receiving the aforesaid memos, our client


intimated you the addressees regarding the dishonor of the
aforesaid cheque and requested you the addressees to
fulfill your obligation and clear the outstanding amount
despite repeated requests to transfer the entire amount
you the addressees have failed to do so and are liable to
transfer the entire amount and such conduct on the part of
you the addressee has caused grave financial hardship and
loss to our client.

9. That you the addressees being the drawer of the cheque


were under a legal obligation to maintain your account for
honoring of the cheque and you the addressees
deliberately, willfully, knowingly and intentionally did not
maintain your bank account for encashment of the cheque
and you the addressee are fully aware about the fact that
the cheque were issued by you the addressees on account
of legally recoverable debts and you the addressees are
liable to make the payment of the cheque amount.

10. That you the addressees had issued the cheque on account
of legally recoverable debt.

11. That on account of the above facts, you the addressees are
liable to be prosecuted under section 138 of the Negotiable
Instrument Act, 1881 as amended upto date read with
section 420 of the India Penal Code, under which you the
addressees are liable to be punished with imprisonment
which may extend to two years or with fine which may
extend to twice the amount of the cheque or with both.

Under the circumstances, we call upon you all the


addressee to make the due payment of Rs.5,00,000/-
(Rupees Five Lakhs only) being the principal amount of the
aforesaid cheque along with interest at the rate of 18% p.a.
from the due date till the date of realization of the said
amount and a sum of Rs.55,000/- towards legal expenses
within fifteen days of the receipt of this notice, failing which
our client shall be constrained to initiate appropriate legal
proceeding against you the addressee in the court of law and
in that event you the addressee shall be liable for all costs
and consequences and we have already been given
instructions to this effect.

This is without prejudice to all other legal rights and


remedies available to our client for the above-stated purpose.
Copy of this notice is retained in our office for further
action if required.
