Group Assignment Corporate Governance and Control

1. Purpose: to submit a report on Uber (2019) case governance issues

2. Particular issues to be addressed (each question has equal weighting):
2.1 Can you relate Uber´s governance structure to the problems mentioned in the case
study that led to the resignation of CEO Kalanick? Please explain.
2.2 In a startup company like Uber that plans to go public through an IPO, what governance
structures do you think should be appropriate for investors to be willing to invest in such
company?
2.3 In your opinion, which of the following would you prefer: Kalanick with his
entrepreneurial energy, or Khosrowshahi with better governance? Please explain in
detail.
2.4 What insights can you get from this case study which could be applicable to other
comparable corporate settings?
3. Maximum size of report: 12 pages (excluding cover page and index page and appendices)
maximum (single line); you may include outside of this limit any appendices (unlimited in
size) you may feel to be useful
4. Plagiarism: please avoid using unquoted references from other sources; note that
assignments may be checked for plagiarism using different softwares; it is however
acceptable to use quotes from other sources as long as these are not an excessive part of
the assignment and are adequately referenced (put a list of all references used at the end of
the assignment). Also, notice that too much similarity between assignments of different
groups are likely to be strongly penalized
5. Further recommendations: it will be valuable if you can make links between the case in
questions and the topics and even academic papers that we discussed in class; also don´t be
afraid to voice clearly, but objectively and in a well-supported manner, your opinions and
suggestions – assume you could be an external advisor for corporate governance matters at
Satyam or an investor in that firm
6. Deadline: please upload your final report on the M-Team platform before 28 November,
2021, at 23h59. Late deliveries will be penalised proportionally to the delay
7. Format of essay: word, pdf or powerpoint file, to be uploaded on M-Team platform
