STANDARD TERMS & CONDITIONS :

ACCEPTANCE OF THE ORDER

In case the Purchase Order is not acceptable to you, you will communicate your non acceptance within two working days of P.O. date or else it will be deemed as accepted.

DELIVERY
1) Timely delivery is the essence of this order. We reserve the right to cancel this order without liability or waiver of any other remedies, if deliveries are not effected as specified herein or according to written delivery schedule furnished
by us or for unsatisfactory performance of this order. All such written delivery schedules shall be deemed to be incorporated herein and made a part thereof. Delay of more than 5 days from the including delivery date is subject to
penalty of 0.5% per week or part thereof to maximum 5% of PO value.

2) Goods must be delivered securely, packed without any changes, strictly as per specifications and delivery schedule furnished in the order, failing which we reverse the right to send back the material at your cost and risk and /or
cancel the order for the outstanding quantities or demand compensation for any loss or damage that may be caused to us on account of yours failure to meet our delivery schedule.

3) Unless otherwise specified, Insurance for transit has to be arranged by you and will be to your account, In case of the Non Insurance, the loss (if any) will be borne by you.

TEST CERTIFICATES

1) Original Mill test certificate or raw material test certificates for the supply material to be provided by you, if orgininal certificates are not available then testing has to be carried out in an NABL lab and testing charges will be borne by
you at your cost.

2) Material will not be accepted without Original test certificates or NABL lab test certificates.

APPROVAL OF GOODS
1) Goods supplied against this order are subject to inspection and approval in writing by our quality control department at our factory/site.

2) Since it is not feasible to check each and every piece supplied in a lot we reserve the right to reject & return the goods at your cost and risk, if found defective during the course of utilization. In such case you are liable to deliver free
replacement within a reasonable period specified by us if demanded or effect payment towards the original cost of the same, as per our discussion.

3) Rejected material should be removed from our store within 7 days from the date of intimation in the case of local suppliers & 15 days in the case of outstation suppliers, failing which, we reserve the rights to dispose off the same in
any manner considered suitable & recover the expenses incurred by us for conducting & effecting such sales payment if any made to you against such supplies will also be recovered from the same. If the sale proceeds fall short of the
expenses and payment made by you, you shall pay us difference immediately on intimation.

4) In all such contingencies if a part of the consignment is rejected & returned to you we reserve the right to cancel the order in respect of the unfulfilled portion of the same without giving any notice to you and/or without incurring or
accepting any liability for compensation.

5) You will effect replacement against rejections within a reasonable time specified by us, as per our requirement. All expenses incurred for effecting the replacement would be to your account.

Important Remarks :
1) Vendor is liable for Manufacturing/Service warranty of 18 months from the date of commercial invoice or 12 months from the date of installation, whichever is earlier.

2) Please ensure to include all documents (Original Invoice, Packing List, Certificate of Origin, Test Certificates, Weighing Slip) with the consignment.

3) Disputes of any nature arising out of this transaction shall be subject to the courts of Mumbai only.

4) KINDLY USE ECOFRIENDLY PACKING MATERIAL ONLY.
