MEMBERSHIP AGREEMENT

This Membership Agreement, hereinafter referred to as “Agreement”, is entered into and made
effective as of _________ by and between the following parties;

Youth Entrepreneurs’ Society of Mati (“the Organization”),


is a non-profit association, organized under the laws of
the Republic of the Philippines, having its official address
at YESOM Room, MPCI, Don Mariano Marcos Avenue, Brgy.
Sainz, City of Mati, Davao Oriental

and

all current and future members of the Organization,


specifically here the following member: __________________
(“Member”), the current individual agreeing to the
terms of this Agreement, with resident address
at ________________________________________________.

Organization and Member may be referred to individually as “Party” and collectively as


“Parties”.

RECITALS

WHEREAS, Organization is designed for the following purpose, elaborated on more fully in
its Constitution and By-Laws;

WHEREAS, Member would like to join the Organization and acknowledges and agrees to be
bound by the terms and conditions listed herein;

NOW, therefore, in consideration of the premises and covenants contained herein, as well
as other good and valuable consideration (the receipt and sufficiency of which is hereby
acknowledged), the Parties do agree as follows:

Article 1 – MEMBERSHIP

This Agreement forms a legally binding agreement between the Member and the Organization
and governs the Member’s duties and responsibilities, and use of the Organization’s
advertising services. This Agreement also covers the Organization’s provision of services.
Hereinafter, “you” and other third person pronouns will refer to Member.

Article 2 – MEMBERSHIP REQUIREMENTS

The Member shall submit to the Organization the following requirements:

1. Application Form;
2. 2x2 picture of the owner and the staff;
3. Cedula;
4. Health Card;
5. Photocopy of Identification Card (ID) with three signature specimen;
6. Menu List and Pricing; and
7. Notarized Contract

Article 3 – MEMBERSHIP BENEFITS

The Organization offers the following benefits to its Members:

1. Marketing thru online social media platforms;


2. Marketing thru physical and live selling;
3. Promotion of products and services;
4. Providing an economic market-place and avenue for growth of its members’ business
venture.

Article 3 – FEES

A non-refundable membership fee of the following amount is required: Php 100.00 (one
hundred pesos).

Member will be responsible for the payment of fees (“Fees”) to the organization every time
they display on scheduled night market / pop ups. The nightly fees will be Php 5.00 (five
pesos).
Article 4 – TERMINATION

This Membership Agreement shall continue until one year from the date that the agreement
has been signed and is subject for renewal provided that the member do not have any past
dues or delinquencies.

The following are the grounds for termination of agreement:

1. Breach of the terms of this Agreement;


2. Upon the death of the Member;
3. The inability of the Member to continue his/her business; liquidation, dissolution or
discontinuance of the organization in any manner.
4. Absence without valid excuse
1st offense – Stallholder won’t be allowed to operate on the current and following week;
2nd offense – Stallholder will be fined Php 500.00;
3rd offense – This agreement will be terminated and the Organization has the right to
expel the member.

Article 5 – MEMBERSHIP WARRANTIES

The warranties of the member shall be the following:

1. Agrees to submit and provide, in the format provided by the Organization, accurate,
updated and complete information about the availability, status, duration, menu, listing and
suggested retail price of each product or service that the Member makes available for sale;
2. Agrees to hold the Organization, affiliates and representatives, harmless from any
damage, whether tangible or intangible, during and even after the membership expires.
3. Agrees that the Organization makes no express or implied warranty as to the success or
profitability of the member during the conduct of the night market and pop ups.

Article 6 – REPRESENTATION

Member agrees that they are not less than 18 years of age, but not more than 32 years of
age, as to the Organization’s Constitution and By-Laws age requirement.

Article 7 – FINANCIAL AID

Member agrees that any financial aid given to the Organization for whatever purpose it may
serve shall be divided accordingly:
1. Fifty percent (50%) will go to the Organization’s operating reserve and the other fifty percent
(50%) will go to the Member. The specific breakdown of the twenty-five percent (25%) will be
the Member’s savings, under their own name, while the other twenty-five percent 25% will be
solely for the Organization’s operating expenses;

2. Member agrees that the twenty-five percent (25%) Member’s savings has a lock in period
of one (1) year. If Member fails to maintain his/her position in the Organization for less than a
year, Member won’t be able to withdraw the 25% savings;

3. In the event that a Member has not completed the one-year (1) lock in period, the twenty-
five percent (25%) savings under his/her name will be turned over to the Organization.
Member also agrees to return their fifty percent (50%) share back to the Organization.
