Distributor’s deposit constitutes an irrevocable offer to purchase rabbits, and if accepted. cannot be revoked. 3. Payment of Purchased Rabbits Distributor agrees to remit to Supplier a non-refundable deposit of 50% from the proforma invoice {as partial payment. No rabbits will be held for Distributor until signed Agreement and deposit are received by Supplier. And the remaining 50% payment should be received when the rabbits selection are completed. 4. The Rabbit Standard & Type Supplier selects the best rabbit available for Distributor as agreed on the proforma invoice, according to the type, weight, color, sex, quality, quantity and condition. Any choosen rabbit that doesn't match with the standard and requirements will be replaced accordingly. 5. Quarantine 2. Quarantine in Indonesia: According to the new regulation between BAI and indonesion Quarantine, the rabbit must stay for 30 days in the quarantine facility owned by the Supplier and registered in Indonesian Quarantine system. The rabbits will be checked by the official veterinary and declared healthy before being shipped to the Distributor. . Quarantine in Philippines: Quarantine required by BAI is V4 days ond the responsibility of the rabbits will be shouldered by BAl or the owner of the quarantine facility. 6. Shipment ‘a. Suppiier will provide all the documents needed for the export of the rabbits as well as the flight booking. Distributor has to prepared alll the documents and the requirements needed for the release of the rabbits. The flight will be booked after all the documents are completed and the quarantine:is finished. And the Supplier is obligated to ship the rabbis fo the distributor. ¢. The shipment process and export documentation will be handled by PT Perishable Logistics Indonesia. Rabbits Health ‘Supplier does not knowingly sell any sick or infirm rabbits without disclosure of such to Distributor. Distributor may at his/her expense have the rabbits veterinarian checked before taking possession of rabbits, Due to the stress of transportation and adjustment to new living conditions, management, ‘and differences in feed and water, Supplier takes no responsibilty for the health for the rabbits after itis shipped, Under no circumstances will the rabbis be allowed to return to Supplier after being shipped. 8. Period of This Appointment The Appointment will be effective until 31 December 2024. The party who wants to terminate this Appointment must give the other party (3) months notice. Upon the date of expiry or early termination. If there is no party disagree, it will be automatically extended into 1 year. 9. Force Majeure «@. If there is a force majeure or circumstances at the time of the implementation of the export, the Parties are ot responsible for the non-fulfilment of rights and obligations in this agreement. b. The meaning of force majeure in this agreement includes but is not limited to natural disasters, eatrhquakes, wars, riots, rebellions. epidemics and government actions in the financial sector which directly result in extraordinary losses. 10. Dispute Resolution If theres a dispute, differences of opinion or disputes arising in connection with or as a result of the contents of this agreement, the Supplier and the Distributor agree to resolve it by deliberation and family, and in the case of settlement and deliberation the family does not reach an agreement, The Parties agree to complete it legally at the Tangerang District court office according to the domicile of the Supplier.
