Cooperation Agreement for the Leasing of the Entire Frequency

of the Washington D.C. AMI 190 MW Radio Station

The two parties of this Agreement are:

Through equal and friendly negotiation, Party A and Party B have


agreed on the cooperation for the broadcast of all the air time on Radio
Station AMI 190 Medium Wave (“MW”) in Washington D.C. as follows:

Article I Content of Cooperation


L Party B agrees to lease the airtime of the Washington D.C.
AMI 190 MW Radio Station to Party A for the broadcasting of Party A’s
English programs and other programs approved by Party A. The program
shall be packaged by Party B according to the broadcast requirements,
broadcast according to the broadcast plan as agreed herein.
2. Party A’s programs are transmitted via satellite.

3. The Washington D.C. AMI 190 MW Radio Station is registered in


Virginia and headquartered in Falls Church in Virginia, and has a WCRW
MW Broadcast License (1190 kHz) issued by the Federal
Communications Commission. Its transmitting station is licensed to
Leesburg and located in Loudoun County, Virginia. Washington D.C.

AMI 190 Radio Station has transmitting devices operating at the


frequency of 1190 kHz. With a transmitting power of 50 KW, its
transmitting signals cover Washington D.C., Virginia and Maryland.

Article II Rights and Obligations of Both Parties


1. Rights and Obligations of Party A
(1) Under the premise of the faithful performance of the contract by
Party B, Party A shall make payments to Party B on time according to the
provisions of this Agreement.
(2) Party A is responsible for transmitting the English programs
produced by Party A to Party B via satellite.
(3) Party A has the right to supervise the implementation of the
matters entrusted in this Agreement, including but not limited to the
review of the broadcast reports, verification of program broadcasting,
appointment of a third party to monitor the broadcast effects of the

programs and other patterns of supervision.


(4) During the term of this Agreement, Party A has the right to
evaluate the broadcast effects of Washington D.C. AMI 190 MW Radio

Station on a periodic basis. Party B shall provide assistance as necessary.

2. Rights and Obligations of Party B


(1) From January 1, 2020 to December 31, 2021, Party B will lease
the airtime of the Washington D.C. AMI 190 MW Radio Station to Party
A for broadcasting Party A’s programs (As a daytime-broadcast station,
the start and end time of the daily broadcast varying with the local sunrise
and sunset times, it broadcasts on average 12 hours a day throughout the
year. See Annex 1 for the specific duration).

program in time, Party B will provide Party A a pro rata credit for the
missed programming.
(7) Party B shall ensure that the programs broadcast by Washington
D.C. AMI 190 MW Radio Station will be identical with the broadcast
plan, and Washington D.C. AMI 190 MW Radio Station will not
broadcast Party A's programs in part or insert any of Party A’s program
into other programs. Without the written permission of Party A, Party B

shall not cut in advertisements during Party A’s programs.


(8) Party B shall take full responsibility for the equipment used to
broadcast Party A’s programs as described in this Agreement, including
but not limited to all responsibilities regarding the equipment used for
receiving programs from the satellite, transmitting programs to
Washington D.C. AMI 190 MW Radio Station, and the broadcasting of
programs at 50 KW by Washington D.C. AMI 190 MW Radio Station.
(9) Party B is responsible for preparing broadcast reports based on the
actual broadcast of Party A’s programs and deliver the reports directly
issued by Washington D.C. AMI 190 MW Radio Station to Party A by
the time set forth in Clause 3, Article III herein. The broadcast reports

shall be strictly consistent with the actual broadcasts.


(10) Party B is responsible for assisting to provide Party A with data
and materials in writing quarterly reflecting the project effect, including
listening rate, audience feedback and evaluation from international

organizations and etc., as the basis for project evaluation and contract
renewal.
(11) Party B shall ensure that the rent paid by Party A is promptly
used in foil by Washington D.C. AMI 190 MW Radio Station for the

normal broadcast of Party A’s programs.

Article III Fees and Payment


1. The total rental fee in this Agreement is USD 2,182,606.08, annual
rental fee is USD 1,091,303.04 (Based on 365 Days per Year), By paid
for 12 hours a day, the hourly rental fee is about USD 249.15 The fee
above includes all of Party B’s costs required for the fulfillment of its
obligations set out in this Agreement. Party A shall complete the payment
according to the actual broadcast after the annual budget is released.
2. All taxes in connection with this Agreement imposed by the
Chinese government according current tax laws shall be paid by Party B.
Party A will perform its withholding obligations according to China’s
laws when making payments to Party B. The current tax rate is 10%.
3. The payment method:
First payment: After the signing of the agreement, Party A shall pay
Party B USD 818,477.28 of January-September 2020 in 30 days after
receiving the invoice submitted by Party B.
Second payment: Party A shall pay Party B USD 272,825.76 of
October-December 2020 in 30 days after receiving the invoice and the
program broadcast report for January-September 2020 submitted by Party
B in November 2020.
Third payment: Party A shall pay Party B USD 545,651.52 of
January-June 2021 in 30 days after receiving the invoice and the program
broadcast report for October 2020-April 2021 submitted by Party B in
May 2021.
Fourth payment: Party A shall pay Party B USD 454,709.6 of July-

November 2021 in 30 days after receiving the invoice and the program
broadcast report for May -July 2021 submitted by Party B in August 2021.
Fifth payment: After the Agreement performance period ends, Party
A shall pay Party B USD 90,941.92 of December 2021 in 60 days after
receiving the invoice and the program broadcast report for August -
December 2021 submitted by Party B.
Party B should issue correct and effective invoices in accordance with
Party A's financial requirements. The broadcast report of the program
should be consistent with the actual broadcast situation. If the program
cannot be broadcast normally according to the Agreement, the fee for the
non-broadcast period should be deducted upon next payment. Invoices
and broadcast reports shall be delivered by express delivery.
4. During the term of this Agreement, in the event of any changes in
tax rates due to changes to tax laws and regulations of both China and the
United States, both parties will promptly enter into a supplementary
agreement against the tax rate issues.

Article IV Representations and Warranties


1. Both parties are independent legal entities, which are legally
established and validly existing.
2. Both parties are entitled to engage in cooperation under this
Agreement, and such cooperation complies with the provisions of their
business scope.
3. Both parties mutually guarantee that each of their authorized
representatives has been fully authorized to sign this Agreement on each
Party’s behalf.
4. Both parties have the ability to perform their obligations under this
Agreement, and such behavior of performing obligations does not violate
any legal documents that are binding on the parties.

Article V Intellectual Property Rights and Confidentiality

1. The copyrights of all the programs set forth in this Agreement are

owned by Party A.

2. Party B has a responsibility to disclose the acquisition of the

copyrights and other relevant rights of the desired program materials, and

shall ensure that the programs can be legally broadcast locally. The

related costs shall be included in the rent.

3. Party B shall ensure that the programs produced and packaged by

Party B itself will not infringe upon the legal rights of any third parties,

including but not limited to portraiture rights, copyrights, etc.

4. Without Party A’s written consent, Party B shall not use Party A’s

programs for purposes other than those defined in this Agreement or

allow third parties to use Party A’s programs.

5. Party A and Party B are obligated to maintain confidentiality for

each other. Neither Party shall disclose the other Party’s trade secrets

learned in the contracting process to any third parties, unless required by

law, nor use related information for purposes other than those defined in

this Agreement. In the event of any losses are incurred by the disclosure

of related information, the affected party has the right to pursue the

accountability to the guilty party.

Article VI Liability for Breaches

1. Both Party A and Party B shall faithfully perform the obligations

set forth in this Agreement. If either party fails to fulfill the provisions of

this Agreement, that party shall be deemed as the breaching party. If

Party A has a delay in payment due to the late issuing of its financial

budgets, Party A shall not be liable for a breach of this Agreement.

2. During the broadcast, unless Party A fails td transmit its programs

to Party B, if Washington D.C. AMI 190 MW Radio Station fails to

broadcast Party A’s programs, no matter whether the failure was caused

by Party B or Washington D.C. AMI 190 MW Radio Station due to

downtime maintenances, technical corrections, technical repairs or

equipment failures, Party B shall not charge the cost of the programs

which were not broadcast to Party A and shall immediately notify Party A

of such a situation by text or email. If Party A suffers any actual losses

therefrom, Party B shall be liable for compensation to Party A.

3. If the programs broadcast by Party B are in violation of the

broadcast plan, Party A shall deduct a penalty of a monthly rent for each

occurrence.
4. If Party A's program fails to be broadcast due to major errors of

Party B, Party A shall deduct a penalty of 5 times the rent for this period.

5. If Party B causes any disputes due to violations of the warranties in

Clauses 2, 3 and 4 in Article V herein, in addition to compensating Party

A for the losses incurred therefrom, Party B shall also be liable for the

reasonable costs of Party A for the safeguarding of its legal rights, such as

travel expenses, attorney fees, etc.

Article VII Cancellation of Agreement


1. If one of the following occurs, Party A has the right to cancel this
Agreement in advance:
(1) Party B has failed to promptly receive Party A’s programs or
promptly transmit Party A’s programs to Washington D.C. AMI 190 MW
Radio Station twice;
(2) Party B fails to broadcast Party A’s programs as required, or
broadcasts Party A’s programs irregularly or in a poor quality for more
than 30 minutes;
(3) The equipment for broadcasting Party A’s programs breaks down,
and such equipment is still not able to broadcast programs after
continuous maintenance twice;
(4) Party B has provided the broadcast reports that are inconsistent
with the actual broadcast for one time;
(5) Breach of the provisions of Paragraph (6), Clause 2 “Rights and

Obligations of Party B”, Article II;


(6) Party A notifies Party B of the cancellation of this Agreement 30
days in advance according to the evaluation of broadcast effects and its
financial budget;
(7) Other serious breaches contrary to the purpose Party A entered
into this Agreement for.

2. If one of the following occurs, Party B has the right to ask Party A

for compensation or to cancel this Agreement in advance:

(1) Party B fails to receive Party A’s programs on time due to Party

A’s fault, and such a fault results in serious consequences;


(2) Other serious breaches contrary to the purpose Party B entered

into this Agreement for.


3. If either party wishes to cancel this Agreement in advance not due
to the circumstances in Clauses 1 and 2 of this Article, that party shall
notify the other party in writing 30 days in advance. This Agreement can

be canceled after both parties reach a consensus through consultation.

Article VIII Force Majeure

1. Force majeure mentioned herein refers to objective events that are


unforeseeable, unavoidable and insurmountable.

2. Failure of either party to perform this Agreement due to force


majeure does not constitute a breach of this Agreement, but the affected

party must promptly notify the other party of the reasons for their failure
to perform this Agreement and its measures taken in time. Then, the
affected party shall submit the proof issued by local authorities to the
other party within fifteen days after the force majeure event.

3. Party B shall immediately notify Party A of abnormal broadcasts


due to force majeure by text or email. Party A does not pay for the time
of programs that were not broadcast.

Article IX Dispute Settlement


Both parties agree to resolve disputes arising from the implementation
of this Agreement through friendly negotiation. For disputes that are not

settled through negotiation, both parties agree to submit to the court


where Party A is located for litigation.

Article X Term of This Agreement


1. This Agreement takes effect after being signed by both parties’
authorized representatives and ends after the fulfillment of all matters set
forth in this Agreement.
2. Party B’s implementation term of this Agreement is from January 1,
2020 to December 31, 2020.

Article XI Miscellaneous
1. This Agreement is written in both Chinese and English, each
version made in duplicate, with Party A holding five original copies and
Party B holding one original copy in each language, and each original
copy of Chinese and English shall have the same legal effect. If any
inconsistence occurs in the two texts, the Chinese translation shall prevail.

MW Radio Station is enclosed with this Agreement. Attachment is an
integral part of this Agreement and has the same legal effect as this
