able to purchase the following commodity as per the specification and in the quantity and for
the prices stated down below. This representation is made with full corporate authority and
responsibility.

Contract Period: 12 months with possible roll and extension

PROCEDURE:

1. Buyer to issue LOI

2. Seller issues FCO
3. Buyer signs FCO and returns to Seller
4. Seller issues draft contract open for amendment, Buyer and Seller sign and seal contract.
Buyer returns the final signed contract to Seller via Buyer Mandate thru email.
5. Sellers presents Certificate of Analysis and video footage and photos of product in the amount
of the first delivery with Buyer Name with current date stamp. Buyer should also be allowed
to send a Representative to inspect the Seller’s factory and view the product.
6. Buyer issues LC verbiage (via email) to Seller for checking and confirmation.
7. Buyer issues LC for each shipment.
8. Sellers Bank issue full Proof of Product (POP) by swift along with the 2% Performance Bond to
the Buyer’s bank to activate the LC shipment value to the Seller bank within five (5) banking
days.
9. Delivery commences per Buyer’s choice of loading/destination/discharge port at Sellers
expense within 30 days.
10. Payment for each cargo against shipping documents must be paid within 5 days bank/working
days at sight destination/discharging port upon BL, SGS Certificate, Origin Certificate, Packing
List etc. verified at site as per LC.

We understand that this Letter of Intent is a starting point for further negotiations and
operates as a framework underwhich the transaction can proceed. We look forward to
