MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT entered into by and between:

FLORDELIZA A. VASQUEZ

MEYER’S FOODS AND SERVICES, INC. an entity existing under and by

virtue of Philippine laws with principal office address at 1030 Belen
Street, Paco, Manila, represented by its President, FLORDELIZA A.
VASQUEZ, Filipino, of legal age, a resident of Manila, and hereinafter
referred to as “MEYERS”.

-AND-

RICO C. VIRTUDES, Filipino, of legal age, with principal office address at

1962 J.P. Laurel, National Highway, Lipa City represented herein by its
Dean of the College of Nursing, CONRADA BACONG, Filipino, of legal age,
hereinafter referred to as the “DE LA SALLE LIPA”;

FLORDELIZA WHEREAS, the DE LA SALLE LIPA, is an educational institution offering a course in
Bachelor of Science in Nursing with existing affiliations with different hospitals in

MR. securing the transportation and hotel/dormitory requirements of its students and/or
personnel in Metro Manila in accordance with the terms and conditions provided
hereunder.

NOW THEREFORE, for and in consideration of the foregoing premises, the parties

agree as follows:

1) HOTEL ACCOMMODATION - The students and clinical instructors of DE LA

SALLE LIPA shall be provided with hotel accommodations at ATRIUM HOTEL
located at Centrale Taft Exchange Centre, Taft Avenue corner Sen. Gil Puyat
Avenue, Pasay City and at BRICKWOOD SUITES located at 1820 Oroquieta
Street, Sta. Cruz, Manila.

A room shall be allocated free of charge to Clinical Instructors and staff who are
directly in-charge of students for every forty five (45) students booked in the
hotel .

The current room description is as follows.

 Hot and Cold Water

 Internet access
 Dining Hall (Air-conditioned)

2) CATERING SERVICES – MEYERS shall provide the students and clinical

instructors of DE LA SALLE LIPA with meals three (3) times a day with two (2)
viands per meal except for pack meals which shall contain one (1) viand.

3) LAUNDRY SERVICE - MEYERS shall provide the students and clinical

instructors of DE LA SALLE LIPA laundry services under the following
conditions:

i. Once a week pick up and delivery;

4) TRANSPORTATION SERVICES – MEYERS shall secure in behalf of DE LA SALLE

Breakdown of Service:
1. Drop-off and pick-up from Hotel to Designated hospital and vice-
versa.

Everyday except Saturdays, Sundays and Holidays.

● Applicable for one (1) round trip service only.

5) WARRANTIES – DE LA SALLE LIPA warrants that it shall provide MEYERS

more or less FORTY EIGHT (48) students except for some valid cases (guided by
the DLSL Student Handbook) like make-up duties of its students, each availing
of the services herein for a period of 5 days or more. During the entire
duration of this Agreement, DE LA SALLE LIPA agrees that MEYERS shall be the
exclusive and sole provider of the services provided herein for its students and
personnel.

6) RESERVATION – DE LA SALLE LIPA shall provide MEYERS fourteen (14) days

prior written notice for any specific reservation of the services at anytime during
the term of this Agreement, indicating the schedule of availment and the number
of students and clinical instructor/matron to be accommodated.

7) SUPERVISION – DE LA SALLE LIPA shall exercise close control and supervision

over its students and clinical instructors during the entire duration of this
Agreement and shall ensure their safety and proper behavior to prevent any
damage to the property, equipment and facilities of MEYERS and/or the hotel. It
shall also ensure that its students and clinical instructor/matron abide by the rules
and regulations implemented by MEYERS and the hotel. In this connection,
MEYERS shall see to it that the students and clinical instructor/matron of DE LA
CONRADA BAC

SALLE LIPA shall not bring appliances, electrical or otherwise, inside the hotel
without the written consent of the hotel management.

8) DEPOSIT OF VALUABLES - The students and clinical instructors of DE LA

SALLE LIPA shall deposit their personal belongings or valuables to the designated
representatives of the hotel for safekeeping. Unless deposited in the accordance
with this provision and the pertinent rules and regulations of the hotel, MEYERS
shall not be responsible for any loss or damage to the personal belongings or
valuables of such students and/or clinical instructors.

9) LIABILITY - MEYERS shall not be liable for failure on its part to comply with
the provisions of this Agreement or for any liability in case of labor disputes,
natural disasters, fortuitous event or those arising from the provision of services
not directly provided by MEYERS.

10) SERVICE FEES – DE LA SALLE LIPA shall pay the amount of NINE HUNDRED
FIFTY PESOS (PHP950.00) inclusive of VAT per student per day for each student
who shall avail of the services herein (20 day basis) payable after each schedule of
duty of every batch.

11) CANCELLATION CLAUSE – If DE LA SALLE LIPA makes a reservation for a

specified number of students on a particular date, and the number of students
that actually arrived is deficient by 10 or more persons, then a no-show
fee/penalty shall be imposed equivalent to one day accommodation rate for each

absent student in case of failure on the part of DE LA SALLE LIPA to inform

MEYERS of each absence/s at least one (1) week prior to the scheduled specific
date of arrival.

12) CONTRACT DURATION – This Agreement shall take effect upon signing
hereof and shall remain in full force and effect until completion of each clinical
rotation schedule listed below:

February 19 -24, 2012 48 students Brickwood Suites

April 8-13, 2012 39 students Atrium Hotel
April 15-20, 2012 29 students Atrium Hotel
April 22-27, 2012 48 students Atrium Hotel
April 29-May 4, 2012 28 students Atrium Hotel

13) AMENDMENT - This Agreement may be amended or modified only upon

mutual written consent of both parties.

14) VENUE – Any action that may arise by virtue of this Agreement shall be filed
with the appropriate court in the City of Manila, to the exclusion of all other
courts.

This Agreement consists of five (5) pages, including the page in which this
Acknowledgement is written, has been signed on the left margin of each and every page
thereof by CONRADA BACONG and FLORDELIZA A. VASQUEZ, their witnesses and
sealed with my Notary Seal.
