The above parties hereby agreed that Seller shall sell and Buyer shall buy the
following commodity with the following terms and conditions:

2. QUANTITY : 100.000MT more or less 5% at Seller’s option.

4. PACKAGING
AND MARKING
4.1. Packing o Vinpack brand.
o Rice to be packed in single new jute bags of 50
kgs net each, 50.4 kgs gross each, hand-sewn at
mouth with jute twine thread suitable for rough,
handling and sea transportation.
o The seller will supply 0.2% of new jute bags, free
of charge, out of quantity of bags shipped.

5. DELIVERY
5.1. Mode of : FOB Cai Cui Port, Vietnam - Incoterms 2020.

5.5. Delivered in general cargo.
5.6. Notice of The Buyer shall notify by fax to the Seller following
shipment shipping particulars at least 7 days before delivery date:
o Specific queuing location.
o Vessel’s name and nationality ( The Buyer shall
add other information if necessary).
o Estimated Time of Arrival (ETA).
The Buyer shall give 7, 5, 3, 2, 1 day(s) actual
shipment’s notice of arrival to the Seller.
5.7. If the vessel nominated by the Buyer for any reason fails to reach the
place of delivery, the Buyer is obliged to arrange an alternative vessel and pay
all costs for this. The Buyer may appoint the alternative vessel only for the
period specified in the contract.
5.8. The Seller shall notify the Buyer of the readiness to deliver the good
before the agreed period of delivery. If by the end of such period the Buyer
has not received this notice from the Seller, the Buyer has the right to presume
that the Seller was unwilling or unable to deliver the goods. The Buyer is then
not obligated to charter the vessel and is entitled to claim compensation for
damage caused by the Seller's failure to deliver the goods.
6. PRICE Price: USD 442/MT - FOB Cai Cui Port, Vietnam
(Incoterms 2020)
Total amount: 44,200.00 USD
In words: US Dollar Forty four thousand, two hundred
only.
All packing and loading charges are included.

7. PAYMENT 40% TT ADVANCE AFTER SIGNING CONTRACT,

60% BY TT AFTER SHIPMENT.

8. FORCE : The Force Majeure (exemption) clause of the

MAJEURE International Chamber of Commerce (ICC publication
No 421) is hereby incorporated in this contract.
9.ARBITRATION : The two parties agree to carry out this contract. Both
parties agree that any problems arising from this
contract will be resolved amicably. If the two parties
are unable to reach an agreement, the case will be
submitted to the Vietnam International Arbitration
Centre at the Vietnam Chamber of Commerce and
Industry, in accordance with its Arbitration Rules, on
the basis of presenting a complete and legal set of
documents for claiming, including an Inspection Note
from an authorized third party, the awards of which will
be final and binding on both parties. The losing party is
responsible for arbitration fees and other costs.
10. GOVERNING Issues related to this contract that cannot be resolved
LAW accordance with the provisions of the contract shall be
governed by the United Nations Convention on Contracts
for the International Sale of Goods (hereinafter referred to
as CISG).
Matters not covered by the CISG shall be governed by the
 UNIDROIT Principles on International Commercial
Contracts (hereinafter referred to as the UNIDROIT
Principles), and if such matters are not governed by the
UNIDROIT Principles, will be referred to Vietnamese
commercial law.
