    CONDITIONAL ACCEPTANCE

    Greeting: Lisa Gerner DBA CFO of First Premier Bank

    Please be advice that your offer received on 08 2020 and pay off coupon dated on 12/16/2020 is being
    conditionally accepted for value upon meeting the following conditions below:

    1. That all billing statements be signed or endorsed by an authorized agent of your agency
    2. That all interest in the goods be transferred to me upon acceptance
    3. That the goods once accepted will be negotiated for resale at a reasonable price agreeable by both
    parties.
    4. That the goods will be delivered to me free from any lien or interest withheld in them.
    First Premier Bank, PLEASE TAKE NOTICE THAT THESE TERMS LISTED ABOVE MUST BE MET BEFORE ANY
    ACTIONS CAN TAKE PLACE CONCERNING THIS ACCOUNT. IN ANY EVENT YOU FAIL TO PERFORM TO ANY
    OF THE STATED POINTS LISTED ABOVE. THEN THE FOLLOW TERM BELLOW BECOMES NEW PROPOSEL TO
    THE CONTRACT/AGREEMENT.
    ACCEPTANCE

    UPON ACCEPTANCE OF THE GOOD I WILL HOLD TITLE TO THE GOOD AND ALL INTEREST ATTACHED THERETO AND
    SHALL RETAIN ALL PROPERTY IN THE GOODS VESTED IN ME. UNDER THIS AGREEMENT I PROMISE TO ASSENT TO
    THE GOODS AND RETURN THEM IN A REASONABLE TIME. I SHALL RETURN TO YOU THE GOODS UNDER A FIRM
    OFFER AND YOU SHALL ACCEPT THEM AND PAY FOR THEM ACCORDING TO THIS AGREEMENT.

    STRICT PERFORMANCE
    THESE TERMS STATED BELOW SHALL BE UNDER STRICT PERFORMANCE OF THIS AGREEMENT AND ANY VIOLATION
    OF ANY OF THE TERMS WILL CONSTITUTE A BREACH OF THE WHOLE OF THIS CONTRACT!!!
    ● That the contract is void
    ● That your agency will not pursue any further collection efforts
    ● That this matter is settled and final
    ● That consideration must be given by way of signature before any assent or approval can be given for a
    promise to perform
    ● Cease and desist from any further communications concerning payment of any amount due
    ● That I may demand the full amount of this account due
    ● That the claimant may seek any remedy available for any violation of this agreement charging all
    expenses towards Prosper Market LLC

    MODIFICATION AND RESCISSION


    Please take notice that this agreement may only be rescinded or modified only by endorsement on a
    recorded record.
