 Parties

This TRANSFER AGREEMENT (“Agreement”), dated October 10, 2025, is entered by and between Dave C.
Burningham of DCB Manufacturing Corp., a duly registered business with its main office located at 33 E
Colfax Ave, Denver, Colorado (“Transferor”) and Michelle B. Pearson of Berkshire Financials Inc., a duly
registered business with its main office located 2 South Parker Rd., Denver, Colorado (“Transferee”).

The Transferor and Transferee are collectively referred to this Agreement as the “Parties” and individually as
“Party” with agreement as follows:

WHEREAS, the Transferor has a debt with the Transferee from its overdue cash loan, dated March 05, 2024, which
amounts to $300,000.00;

WHEREAS, the Transferor desires to transfer the ownership rights of its 1,343-square-meter lot located at 05 19th
St., Denver, Colorado (“Property”) to Transferee temporarily as collateral for its debt obligation.

WHEREAS, the Transferee accepts the Property as collateral subject to the fair terms and conditions set forth in this
Agreement, which are as follows:

Terms and Conditions

TERMS
The term of this Agreement shall commence on October 10, 2025, and end on October 10, 2030. If the Transferor
fails to repay its debt within the allotted duration, then the debt shall be considered as default, and the
Transferee shall officially own the Property.

PAYMENT AND INTEREST RATE

The Transferor agrees to pay $5,000.00 per month plus interest. The Transferor agrees that the Transferee shall
impose a 1% annual interest rate of the unpaid debt.

 PARTIES’ OBLIGATIONS
Upon signing this Agreement, both Parties’ obligations include the following:
Both Parties shall not sell the Property to any person or entity while it is bound to this Agreement.
Both Parties shall not build or install any infrastructures of the Property while it is bound to this
Agreement.

CONFIDENTIALITY
Both Parties acknowledge each Party’s information as confidential. Therefore, both Parties are strictly
prohibited from copying, sharing, and/or disseminating such information to any other individual or party that
is not legally bound to this Agreement with the exception that a written notice of approval or authorization is
received from the other party.

DISPUTE
In event of dispute between the Parties, both Parties agree to hire a mediator to carry out the peaceful
settlement of the dispute.

GOVERNING LAWS
This Agreement is governed by the laws and regulations of the state of Colorado.

NOTICES
All notices shall be made in writing and shall either be sent to each Party’s registered address as mentioned
above or through a registered mail.
