MOTO AGREEMENT TEMPLATE

Memorandum Of Terms Of Occupation (MOTO) for use between Crown Bodies


only

1 This MOTO forms part of the Civil Estate Occupancy Agreement for
Crown Bodies (CEOA).
2This MOTO between the UK Health Security Agency (called in this
document 'the Holder') and NHS Digital
(called in this document 'the Occupier') records the terms of occupation
of the property known as Part First Floor Civic Centre, Newcastle
Upon Tyne NE1 8QH
This MOTO incorporates and supersedes all previous others.

Describe the Space 3 The Occupier's Space comprises of the shared occupation of approx.
(including car parking) 1023 sqm, part 1st Floor, Block 3 (the Space’). The Occupier will

Insert Prescribed 4 The Holder will permit the Occupier to use and occupy the Space

5 All property costs connected to the shared occupation of the demise
will be subject to the occupation recharge that will apply during the
prescribed period of the MOTO. Refer to Finance MOTO SCHEDULE
APPENDIX 2.

6 (a) The Holder agrees to the following

*(i) to use best endeavours to comply with all maintenance obligations

*(ii) to use reasonable efforts to ensure that the Holder's landlord


fulfils all its obligations under the lease;

(b) The Holder will render a single covering charge to cover all
property costs. Refer to Finance MOTO SCHEDULE APPENDIX 2.

7 (a) The Occupier agrees to use the Space for the purposes only of
offices and the Holder will provide utility services for this use only.

(b) On signing this MOTO the Occupier agrees to pay the Holder its
proportion of the cost of ad-hoc maintenance or alterations specifically
requested by the Occupier.

8 The Occupier will make no physical alteration without the written


consent of the Holder.

9 For the avoidance of doubt, it is agreed and declared that:


(a) heating, water and other building services will be provided by the
Holder to the standard provided by the Landlord. The Holder will not be
responsible for failure to maintain this standard in circumstances
beyond its control;
(b) this Memorandum is confined to the Occupier. It does not constitute
a tenancy nor create any other estate, nor interest in the property. The
Occupier may not seek to assign nor dispose of the benefit of this
MOTO nor make any other arrangement concerning the use or
occupation of the Space by anyone or any body except with the
permission of the Holder; and

in the CEOA.
(d) The Holder acknowledges the lease attached is a draft lease and is
subject to change during the term of this MOTO. The Occupier will be
notified of any changes and will be issued with the new Lease.

10 The parties to this MOTO will observe all its terms and conditions.

SERVICES PROVIDED BY THE HOLDER’S IN-HOUSE STAFF

(List all services and identify the number of Holder’s and Occupier’s staff benefiting
from them. This will be the basis for the pro-rata apportionment of cost)

All non-property related matters that are not listed in Appendix 3 must be
sourced and provided by the Occupier at its own cost.

Where necessary, the Occupier will liaise with the Holder’s representative Tim
Voyce Estates and Facilities Manager on all property matters.
